Payment Terms:

Billing Method: Billed annually at Service start date

Taxes:

Client will be responsible for payment or reimbursement to WAGsys for any and all
Federal, State, County, or local taxes and other fees that relate to the Service
Agreement. The costs associated with the service subscription represented here do not
include any taxes.

Data Storage Limitation

Data Storage is limited to 100GB of Data compressed. Additional Storage Space
beyond the limitation is billed at the rate of

Assistance/Support:

This subscription service provides technical support via the internal support requesting
system. Support is provided Monday through Friday, 7 AM - 6 PM Est. Other times
support will be handled next business day. Additional support options such as 24/7 on
call technical support are available for additional annual costs. 24/7 support will
increase the annual subscription rate an additional $450.00 a year for year one plus 3%
annual increase

This Exhibit F- Service Provider’s Software as a Service Statement of Services shall be incorporated
in and governed by the terms of that certain Master Software as a Service Agreement by and between
(“Subscriber“) and (“Service Provider”) dated [the effective date of the invoice as amended (the
“Agreement’”). Unless expressly provided for in this Exhibit F in the event of a conflict between the
provisions contained in the Agreement and those contained in this Exhibit F, the provisions contained

in this Exhibit A shall prevail.

Services Description. The Service Provider shall provide to the Subscriber, 24/7 365 day a year
access to the cloud-based system, maintained on servers managed by the Service Provider with the
exception of down time needed to perform scheduled maintenance. The system, CIVIC gov, is a
web-based system based on the Linux, Apache, MySql, PHP, (LAMP) environment.

Start Date and End Date. Beginning on the first day of the invoice date and continuing for a 12
month period. These dates represent the term of the Services. The Services are not required until
after Customization / Integration Services, Training Services, etc. are completed, therefore the
Start Date for the Services may be later than the Start Date of the Implementation invoice.

Authorized Users and Services Fees. Authorized users are those identified by the municipality as
needing system access. External Accounts are accounts limited to owners of property within the
municipality’s defined geographical limits and contractors who are identified as the contractor of
record for identified properties (access provided by Citizen Portal).

Storage Threshold(s). The initial configuration is included in the specific proposal. Data
maintained in excess of that storage space shall incur additional charge.

Storage Fees. Storage fees for data stored in excess of the storage threshold shall be billed
annually. This rate is subject to change. Subscriber shall be notified 30 days in advance of any
rate change and shall be notified with 2 days of the data threshold event.

Technical Support Description. Service Provider will provide to Subscriber telephone and an
online support system as identified in the subscription services agreement. Technical Support will
include any research and resolution activity performed by Service Provider.

a) Request for Technical Support. Authorized Users will make Technical Support requests by
emailing Service Provider’s staff at support@wagsys.com, built-in support ticket system or
phone. The Technical Support staff shall assign to the request the Problem Severity Level (as
defined herein) indicated by the requestor. Any request made directly to staff cell phones or by
calling other company numbers does not meet the requirements of a technical support request
and the Service Provider cannot guarantee a response time. All support requests submitted via
the email system will be responded to quickly. The Service Provider will make every
reasonable attempt to respond to the customer with 120 minutes of the email or support ticket
being received by the Service Provider.

b) Problem Severity Levels 1 and 2 Response and Resolution. For Technical Support requests not
made by email, within the Request Response Time of such a request, Service Provider shall

confirm to the requestor receipt of the request by Service Provider. If a Problem Severity Level

1 or 2 request cannot be corrected to the reasonable satisfaction of the requestor within the
Request Resolution Time after the requestor makes the initial request for Technical Support,
Service Provider will: (a) immediately escalate the request to Service Provider’s management;
(b) take and continue to take the actions which will most expeditiously resolve the request; (c)
provide a hourly report to the requestor of the steps taken and to be taken to resolve the request,
the progress to correct, and the estimated time of correction until the request is resolved; and,
(d) every 2 hours provide increasing levels of technical expertise and Service Provider
management involvement in finding a solution to the request until it has been resolved.

c) Problem Severity Levels 3 and 4 Response and Resolution. For Technical Support requests not
made by email, within the Request Response Time of such a request, Service Provider shall
confirm to the requestor receipt of the request by Service Provider. If a Problem Severity Level
3 or 4 request cannot be corrected to the reasonable satisfaction of the requestor within the
Request Resolution Time after

the requestor makes the initial request for Technical Support, at the sole election of requestor:
(a) Service Provider will work continuously to resolve the request; or, (b) requestor and Service
Provider will mutually agree upon a schedule within which to resolve the request.

Technical Support Problem Severity Levels
a) Problem Severity Level 1.

1) Description. This Problem Severity Level is associated with: (a) Services, as a whole, are
non-functional or are not accessible; (b) unauthorized exposure of all of part of Subscriber
Data; or, (c) loss or corruption of all or part of Subscriber Data.

b) Problem Severity Level 2.

1) Description. This Problem Severity Level is associated with significant and / or ongoing
interruption of an Authorized User’s use of a critical function (as determined by the
Authorized User) of the Services and for which no acceptable (as determined by the
Authorized User) work-around is available.

c) Problem Severity Level 3.

1) Description. This Problem Severity Level is associated with: (a) minor and / or limited
interruption of an Authorized User’s use of a non-critical function (as determined by the
Authorized User) of the Services; or, (b) problems which are not included in Problem
Severity Leveis 1 or 2.

d) Problem Severity Level 4.

1) Description. This Problem Severity Level is associated with: (a) general questions
pertaining to the Services; or, (b) problems which are not included in Problem Severity
Levels 1, 2, or 3.

Customization / Integration Services. The Service Provider during initial configuration (one time)
shall customize the following to the best of the ability of the Provider and to the limitations of the
software solution a reasonable amount of the following:

Licensing, Permitting, Code Enforcement and Land Management System

The City of Nashua, NH, (referred to as the “City’) is soliciting quotes from qualified management software vendors.
The successful vendor will provide proposals for an integrated management system to fulfill a variety of needs for our
Building, Planning & Zoning, Code Enforcement, Environmental Health Department, City Clerk’s Office, DPW, Fire and

Police.

Instructions to Vendors:

Submit one (1) original and one (1) electronic version on CD or thumb drive of the proposal in a sealed envelope(s) or
package(s) clearly marked Licensing, Permitting, Code Enforcement and Land Management System.

Complete specifications and related documentation is also available on our web site, www.nashuanh.gov, Services, Bid
Opportunities, document RFP0611-033116. Only the names of those agencies that submitted a proposal will be posted
on the web site, under Bid Results, within three (3) hours of opening.

Quotes must be submitted, as outlined in the preceding paragraph, no later than 3:00PM on Thursday, March 31, 2016
c/o Central Purchasing Office, Lower Level, City Hall, 229 Main Street, Nashua, NH 03060. Quotes must be submitted in
the format provided and address the items specified in the quote specifications. The City of Nashua may reject any or all

of the quotes on any basis and without disclosure of a reason.

Postmarks or other timestamps will not be accepted in lieu of actual delivery. The firm can use whatever delivery
mechanism it chooses as long as it remains clear that the firm is responsible for submissions prior to the date and time.

The City of Nashua assumes no liability for the payment of costs and expenses incurred by any bidder in responding to
this request for quotes. All quotes become the sole property of the City of Nashua.

All quotes are binding for sixty (60) days following the deadline for bids, or until the effective date of any resulting
contract, whichever is later.

This request for quotes is not a contract and alone shall not be interpreted as such, but rather serves as an instrument
through which quotes are solicited.

Pursuant to NRO 5-78 (F), the Purchasing Manager shall not solicit a quote from a contractor who is in default on the
payment of taxes, licenses or other monies due the city. Therefore, this quote request is void as to anyone who is in
default on said payments as well as those who are or have been federally debarred.

Scope of Services

The Community Development Division (CDD), Environmental Health Department (EHD), and City Clerk's Office
(CCO), The Fire Marshal's Office (FMO), Department of Public Works (DPW), Nashua Police (NPD), at the City of
Nashua, New Hampshire wishes to obtain an integrated Management Information Tracking System to fulfill a
variety of divisional needs for CDD including building permits, inspections, enforcement of housing codes, tracking
of inspections, complaints and violations, Land Use Board management, planning and zoning ordinances; for EHD,
all aspects of food service establishment licensing and permitting including renewals and revocations, inspections
of food services, Day Care, spas and pools, and enforcement of health codes; for CCO, small vendor licensing ,
dog licensing, parking permits, and for NPD and FMO, Workflow Management of business rules that tracks permit
approvals, inspections/re-inspections, and manage daily tasks. The departments without needs listed will need
access and the ability to input and modify the system. The selected system will allow personnel to easily maintain
and access data and will integrate with the City’s ESRI GIS system, Onbase Document Management system,

Assessing Patriot Software version 4.5, and MS Office Suite.
Specifications
1. Existing Environment

The City of Nashua has a population of approximately 87,000 and covers an area of 32 square miles.
The Community Development Division has approximately 40 employees in four departments. These
include Planning, Department of Building Safety, Code Enforcement, and Urban Programs. Other
Departments that will use the system are Environmental Health, which has 6 employees; City Clerk’s
Office which has 6 employees: Nashua Police which has 2 employees, Fire which has 2 employees, and
The Department of Public Works which has 4 employees.

There are currently a number of software applications in use within the City and Community
Development in particular. The City’s computer environment primarily consists of personal computers
(PC's). The City Clerk, Environmental Health, and DPW, use ADMINS 4GL system (VMS operating
system) and CDD uses Municipal Software CityView Version 8.31.2134. Fire and Police will need have

access to the new system for approvals.
