This change order is for Newton st Pump station. Per drawing E-6-01 calls for new control panel be located at the
existing pole on the hill. This location was moved by the owner existing distance was 140' from control cabinet to new
wet well. New distance is 165'. Service conduits called for 140' from old location. New pole was added on the other
side of the job site and new distance from the control panel is 221'. This is the 4" and 2" service conduit change in

cost.

Replacement of Pump at Northgate Pump Station

To approve the purchase of a Fairbanks brand vertical solids handling pump from
Hayes Pump, Inc., of Concord, MA for the amount of $29,624.95. Funding will
be through Department 169 Wastewater.; Fund: Wastewater; Account Category:
71 Equipment.

Quote

The Northgate Pump Station is the biggest pump station within the City and
operates with two pumps - one in use and one as a backup. It is currently running
one old pump and one new pump. The Wastewater Facility would like to purchase
a spare new pump to have on the shelf in the event of a failure. The lead time on
these pumps is 12-14 weeks, and if there is failure of the pump station, it could
mean no sewer services for any of the connected area, including Nashua South.

The Fairbanks brand vertical solids handling pump that is in the attached quote is
a direct replacement to the failed pump. Hayes Pump, Inc. is the local distributer
of Fairbanks, making this a sole source purchase.

Re: Finance Committee — Transit Center Retrofit - Project Management and Construction Oversight

On March 4, 2019, the City of Nashua released an RFQ for the Transit Center Retrofit Project. In
August of 2019, the City entered into a contract with Greenman-Pedersen, Inc. (GPI) to provide
Engineering and Architectural Services for the Retrofit of the Nashua Transit Center.

This RFP also identified the potential for an additional phase of work from the selected engineering
firm, for the construction administration, inspection and oversight of the construction phase of the
project. FTA requires almost full time inspection throughout this phase of the project.

The City has found GPI to be a responsive and responsible firm and has been satisfied with the
work they have completed to date. GPI has provided a scope of work for resident engineering and
construction administration services provided by GPI and building construction support and
inspection provided by Samyn D’Elia Architects.

Based on a Scope and Fee provided for this phase, the Community Development Division and
Nashua Transit System recommend entering into a contract with GPI & Samyn D’Elia Architects,
in the amount of $120,818.84, for Project Management and Construction Oversight.

| would like to thank the Human Affairs Committee for their yeoman work that they did to push through all those
resolutions.

| would like to thank Great American Downtown and all of the other volunteers who made the stroll such a
success. Just to remind everyone, next year will be the 25" anniversary of the stroll so something to look
forward to.

| also want to take a moment and comment on the work our firemen are doing. We've been hearing for a while
now about the great work they’re doing at safe stations. But | know several of you joined me at the Fireman’s
Ball. If you looked at the program that was on the table that evening, you saw that they’re doing all of those
other things we think of firemen doing. | will leave some programs in the back. But as you go through them,
you'll see that they’re fighting fires and they're doing a really great job in saving property. Our dive team,
unfortunately, has been busier than we probably want it to be. And, of course, they’ve been assisting with auto
accidents. | would just like us to remember all of the other things they’re doing and the great work they’re doing
in our community.

On a sad note, | think all of you heard Mr. Hallowell is resigning from the Board of Education. | would like to
thank him for his service and wish him well.

| would like to wish Mr. Hallowell on his future endeavors. | happened to watch that program last night. He was
very emotional when he gave his resignation to the board. You can tell he’s a very compassionate and caring
person, and really took his job as a board member to heart.

On a lighter note, the Nashua Lions Club will be holding its second annual French toast breakfast at the
Nashua Senior Center on Saturday from 8-11 a.m. The proceeds from that breakfast go directly to the Senior
Center. There will also be a cookie walk, and | understand one of the staff members at the Senior Center
spent their Thanksgiving weekend baking 500 cookies for this event. We also will be having the annual
gingerbread contest. We have some really outstanding bakers out there. Also, the National Fire Department,
the seven stations, are doing red houses, and there will be a separate contest just for them, and we’re thrilled.
So besides doing the good things that they do at the safe stations, they also give back to their community.
We're really pleased with that. So come on down. There will be raffles. It’s 8-11 a.m. and it’s $6.00. Mr.
Fredette will be cooking.

Just a couple of quick things. | also would like to extend my appreciation to Mr. Hallowell who served the Board
of Education quite successfully for a long time. | think he’s done a yeoman’s job and | hate to see him go.

At the stroll, | had the opportunity, from standing at the Hunt Home looking back (and | have a video of it), it
was wall to wall people all the way back to City Hall. There had to be at least 30,000 people there. And | talked
to about three or four business owners down there that said this is one of their biggest nights ever during the
year. So this was greatly successful and | just want to applaud the Great American Downtown organization for
all the work they did to make it so successful.

I’d like to thank the Nashua Country Club for donating the Christmas tree. It was huge, and to get it down there
and get it all well decorated, that was a mammoth task. So to everybody involved, my thanks.

CONTRACT FOR PROFESSIONAL SERVICES

TITLE

THE CITY OF NASHUA, 229 MAIN STREET, CITY HALL, NASHUA, NH 03060

GREENMAN-PEDERSEN, INC.

NAME AND TITLE OF SERVICE PROVIDER

ADDRESS OF SERVICE PROVIDER

WHEREAS, the City of Nashua, a political subdivision of the State of New Hampshire, from time
to time requires the services of a Service Provider ; and

WHEREAS, it is deemed that the services of a Service Provider herein specified are both necessary
and desirable and in the best interests of the City of Nashua; and

WHEREAS, Service Provider represents they are duly qualified, equipped, staffed, ready, willing
and able to perform and render the services hereinafter described;

Now, THEREFORE, in consideration of the agreements herein made, the parties mutually agree as
follows:

1. DOCUMENTS INCORPORATED. The following exhibits are by this reference incorporated herein and are
made part of this contract:

Exhibit A--General Conditions for Contracts
Exhibit B--Scope of Services and Fee Schedule
Exhibit C--FTA Clauses

The Contract represents the entire and integrated agreement between the parties and supersedes prior
negotiations, proposals, representations or agreements, either written or oral. Any other documents which
are not listed in this Article are not part of the Contract.

In the event of a conflict between the terms of the Proposal and the terms of this Agreement, a written
change order and/or fully executed City of Nashua Purchase Order, the terms of this Agreement, the written
change order or the fully executed City of Nashua Purchase Order shall control over the terms of the
Proposal.

2. WORK TO BE PERFORMED Except as otherwise provided in this contract, Service Provider shall furnish

all services, equipment, and materials and shall perform all operations necessary and required to carry out
and perform in accordance with the terms and conditions of the contract the work described.
