Betsy McNamara will act as lead consultant for this project. Betsy counsels non-
profit organizations on how to raise money for programs or capital campaigns
from individuals, businesses, religious organizations, civic groups, foundations,
and government. Amy Lockwood will serve as an interviewer on this project. Amy
is an expert facilitator and interviewer, board guide and seasoned nonprofit
executive who has worked across northern New England supporting the
advancement of non-profit organizations working to advance their fields and
improve their communities.

PROPOSED SERVICES

Full Circle Consulting will conduct a feasibility study of 25 prospective donors and
opinion leaders that will:

e Test the campaign case for support;

» Test the feasibility of the proposed campaign goal;

* Identify the lead donors and/or volunteers for the campaign; and,

* Help determine campaign strategy.

Nashua staff and key volunteers

Fuil Circle Consulting will work closely with City of Nashua staff throughout the
process, including bi-weekly phone or in-person meetings to report on progress
against the timeline, trouble-shoot, and assign tasks.

Full Circle will subcontract the design and printing of the case for support and will
bill the City of Nashua for reimbursement. The City of Nashua is responsible for
producing and mailing the introductory letter and case for support to those to be
interviewed, facilitating volunteer involvement in the process, and producing and
mailing the post-study summary letter to those that were interviewed,

Interviewees may consist of prospective lead and major donors to the campaign;
opinion leaders with influence over decision makers and/or prospective donors;
and, foundation staff (state, regional and national if appropriate). All interviews will
be confidential and results will be reported in the aggregate.

PROPOSED COSTS

The proposed cost for this project is a flat fee of $24,000 plus an estimated
maximum of $1,000 for design and printing of the case for support. Full Circle will
invoice $6,000 upon signing of the contract, and will invoice $6,000 on June 1, July
1, and August 1. Payment is expected within 15 days of invoice receipt.

Full Circle will not commit to design and printing costs without approval from the
City of Nashua. Full Circle will invoice for reimbursement of design and printing
expenses as they are incurred.

Pursuant to NRO § 5-83 Professional Services (A) In the purchase of accounting, architectural, auditing,
engineering, legal, medical and ambulance services and purchases of independent professional
consultant services for personnel, data processing, actuarial, planning, management and other
comparable purchases competitive bidding shall not be required.

The Director of Economic Development and the Purchasing Department recommend approval of this

coniract in an amount of $63,450 to William C. (Niel) Cannon, Finance and Development Consultant
of New Hampton, NH.

Re: Tax Credit Consulting Contract

Request
The Office of Economic Development requests the approval of the contract before you in the amount of

$63,450 with Niel Cannon, a sole proprietor and a finance/development finance consultant from New
Hampton, New Hampshire.

Background on Procurement

This contract is a reputable finance development consultant that has worked extensively with New Market
Tax Credit projects previously. The project entails a phased approached with the initial phase will be the
solicitation of a Community Development Entity (“CDE”) to award part of their New Market Tax Credit
Allocation to this project. This phase is approximately $20,000 to $30,000 worth of work. The balance of
the contract would go to the 2™ phase with is the facilitation and closing of the transaction.

In March of 2018, the City of Nashua Mayor’s Office of Economic Development issued a Request for
Proposals seeking proposals from professional tax credit consultant to assess and outline how best to
execute a program that would achieve a New Market Tax Credit Allocation for the Performing Arts
Center.

While following required Purchasing Department protocol for public notification of consulting
opportunities, staff took additional steps to identify the most capable companies throughout the country.
Notices of the availability were sent directly to 6 firms.

The City received 3 proposals. A small evaluation team met and discussed the proposals and conducted
phone interviews with each of the respondents. It was the overall consensus that Niel be awarded the
contract based on his knowledge of New Hampshire’s development finance industry, past experience in
general with New Market Tax Credits and his innovative approach.
