Desian Basis Renort

A design basis report will be developed for each station to present the preliminary design information.
Each report will include a written description of the planned upgrades asscciated with the station
including a summary of the preliminary design and all site constraints identified through the field
investigation work. The design basis reports will also include a summary of the permitting requirements
as well as the cost estimate.

A preliminary site plan and a preliminary layout drawing will be included for each pump station {except
for Bridge Street}. The site plans will show existing conditions based on the survey data, and will show
proposed station and pipe layouts. Preliminary electrical drawings will be created for the Bridge Street
Station. Preliminary site plans will be created for the proposed gravity sewers and forcemains.

As noted previously, renderings will be created for the two pump stations to be located within park
areas. These will be provided to the City separately for input, and the final renderings will be included in
the design basis reports.

Pump Station Fiber Connections

Fiber connections will be installed at the Spaulding, Marshal, Fulton, Watson, and Trestle Brook
pump stations. Woodard & Curran's work will include the modification of PLC control panels,
configuration of Ethernet communications to the SCADA network at the Wastewater Treatment facility,
and configuration of loss of communication alarms for each of the identified pump stations. Standard
HMI and PLC programming will be developed to be used by all pump stations. Woodard & Curran will
also provide acceptance testing, record documentation, and training associated with the
systems.

Woodard & Curran will procure 3 Managed Fiber/Ethernet Switches to be installed and configured at
Wastewater Treatment Facility to replace several existing switches. Switch configuration will be
optimized and configured fo improve plant network speeds and reliability. Abandoned switches will be
utilized and repurposed for this project and installed at the pump stations.

The identification and connection of Fiber at the Wastewater Treatment Facility will not be done by
Woodard & Curran as part of this project, and it fs anticipated that this will be the responsibility of
Nashua IT Staff. The electrical installation and the procurement of fiber, fiber patch panel, fiber
termination, or fiber patch cables are also not included as part of Woodard & Curran's scope,

PROJECT TEAM & SCHEDULE

We are staffed and prepared to begin the work in July after the appropriate approvals, terms
and conditions, and contracts are executed. The following comprehensive list includes a
number of individuals who are available to work on different components of the project. This
project may not require work by all of these individuals, but the team is available to complete
the work as needed.

We expect to meet all calendar benchmarks as stated by the City of Nashua. Communication
will not be limited ta only onsite meetings. Woodard & Curran plans on an open, dynamic
process where communication is frequent via conference calls and/or Skype when schedules

ENGINEERING REPORT, DESIGN & BIDDING PHASE
CONTRACT FOR PROFESSIONAL SERVICES
FOR
TREATMENT WORKS

CITY OF NASHUA, NEW HAMPSHIRE

This AGREEMENT made and entered into at Hillsborough County, New Hampshire, this
_ day of 2016, by and between City/Town of Nashua, hereinafter called the OWNER, and
Woodard & Curran, hereinafter called the ENGINEER.

WITNESSETH:

WHEREAS, the OWNER intends to construct Treatment Works as described within the Request for
Qualifications titled “Pump Stations Upgrade Project (RFQ1090-052215)” and dated May 6, 2015
consisting of performing a field study of all (14) pump stations to development the upgrade option for each
of the stations including the potential for elimination, relocation and reconfiguration as well as upgrading
each station for integration into the OWNER’s Supervisory Control and Data Acquisition (SCADA)
system. A preliminary design will be provided based on the field study results. Final design and bid copies
will be provided for the upgrade to each of the fourteen pump stations generally known as the: Pump

Stations Upgrade Project hereinafter called the PROJECT, and

WHEREAS, professional sanitary engineering services will be required for the preparation of plans

and specifications and contract documents, and

WHEREAS, such services are of a distinct professional nature and hence not subject to the bidding

process,

NOW THEREFORE, in consideration of these premises and of the mutual covenants herein set
forth, the OWNER hereby employs the ENGINEER to furnish the following engineering services in
connection with the proposed PROJECT; and it is agreed by and between the OWNER and the ENGINEER

as follows:

ENGINEERING DESIGN PHASE CONTRACT
For Professional Services for Treatment Works

Services to be Performed by the ENGINEER

Report Phase

A. The ENGINEER agrees to produce a complete
and definitive Engineering Report to meet current
division requirements and to perform any and ali
engineering incidental there to. The detailed scope of
the work is as outlined in the attached Plan of Study.

B. Furnish five (5) copies of the Engineering
Report to the OWNER and two (2) copies to the
DIVISION. Additional copies to be available at cost.

C. Provide the DIVISION with one copy of design
calculations, work sheets, field notes, estimates and
other data generated in preparing the Engineering Re-
port in a form satisfactory to the DIVISION.

Design Phase

A. The ENGINEER agrees to proceed with all
engineering, surveying; drafting, calculations, borings,
and other work as required and necessary to develop
and produce final plans, specifications, and associated
contract documents involved in the construction of
treatment works for the:

Pump Stations Upgrade Project

as recommended in an Engineering Report as prepared
under the report phase of this agreement. The
ENGINEER further agrees that said services shall
include, but shall not necessarily be limited to:

1, Pfans, Specifications, and Contract Doc-
uments

a. The preparation of detailed plans,
specifications, and contract documents in
accordance with the rules and regulations
of the New Hampshire Department of
Environmental Services, Water Division,
hereinafter called the DIVISION, ready
for the receipt of bids and the award of
construction contracts for said construc-
tion; the work shall also include the
preparation of estimates of the cost of
construction based on the contract
documents. Prepare applications with
supperting and associated documents for
Federal, State and other grant or loan
programs. Assists the OWNER in
securing grants or loans by State, Federal
and other agency,

b. = The furnishing of all the necessary
subsurface investigations and field

completion of approved plans, specifi-
cations, and contract documents.

Bidding Phase

A. Assistance in securing construction bids,
conduct one pre-bid meeting, respond to bidder
inquires, prepare addenda as needed, conduct bid
opening, tabulation and analysis of bids, and recom-
mendation regarding award of contract. A copy of the
bid analysis will be furnished to the DIVISION, and
EPA. (Where applicable)

B. Completion of formal contract documents for
the award of contracts.

The OWNER'S Responsibilities

A. Assist the ENGINEER by placing at his disposal
all available information pertinent te the PROJECT,
including previous reports and other data relative to the
reports.

B. Make provisions for the ENGINEER to enter
upon public and private lands, municipal facilities and
industrial establishments as required to perform work
under this AGREEMENT.

C. The OWNER also agrees to comply with DI-
VISION and Federal requirements (where applicable)
and further agrees to acquire with the assistance of the
ENGINEER all the necessary easements, options or
outright purchases of land for the locations of said
treatment works as shown on the contract plans. The
provisions of this section shall be satisfied prior to
submission of documents referred to in III (A} below.
It is also understood that no approvals of reports or
plans and specifications or other associated documents
will be made by the DIVISION without fulfillment of
this requirement.

IV.

Time Of Completion

A. The ENGINEER agrees that he will submit to
the DIVISION for approval after modification or
revision as recommended by the DIVISION and agreed
to by the ENGINEER, the completed final plans,
specifications, contract, and associated documents in
compliance with the current issue of the DIVISION's
standards of design within 335 consecutive calendar
days following the execution of this AGREEMENT,
and deliver same to the OWNER within 30 calendar
days following the date of final approval by the DIVI-
SION.

B. It is agreed by the parties te this contract that
failure by the ENGINEER to complete the work within
the time stipulated under TJ, A, above may be con-
sidered sufficient basis for the debarment of the ENGI-
NEER from the DIVISION'S Roster of Prequalified
Engineers as provided for under New Hampshire Code
of Administrative Rules Env-Wq 603.08, or the
Assessment of liquidated damages as provided for
under RSA 485-A:; 4, XII.

Compensation to be Paid the ENGINEER
A. Method of Payments Amounts of Fees
|. | Payment to the ENGINEER, for services
rendered, shall be according to the following
schedule:
Monthly billing based on hours and rates
by labor category with mark-up and inci-
dental expenses in accordance with the
attached fee schedule.

3. If separate documents are required for

additional construction contracts on this PRO-
JECT, an additional fee as approved by the
DIVISION shall be paid to the ENGINEER.

4. Prior to formal approval of contract docu-
ments by the DIVISION, the ENGINEER shall
make such revisions in them as recommended by
the DIVISION and agreed to by the ENGINEER
without additional compensation. After formal
approval, if it becomes necessary to revise the
contract documents for reasons beyond the
control of the ENGINEER, payment for such
revision or revisions shall be made to the ENGI-
NEER subject to approval by the DIVISION.

Limits of All Payments

1. The ENGINEER hereby assures the
OWNER and agrees that the following fee for
his services (exclusive of surveys, borings, and
certain special services which follow) in con-
nection with the preparation of final plans,
specifications, and contract documents and other
work as generally described under I{A) is
adequate te complete the assignment and shall
not exceed

Additional Covenants

A. The ENGINEER agrees to provide in active
charge of this PROJECT for the life of the contract a
Project Engineer who is a permanent employee of the
ENGINEER and who is a “qualified sanitary engineer”
as defined under the DIVISION'S “Rules and Regula-
tions for the Prequalification of Consulting Engineers.”

ENGINEER from the DIVISION'S Roster of
Prequalified Consulting Engineers as provided for
under New Hampshire Code of Administrative Rules
Eny-Wq 603.08.

B. The ENGINEER agrees to be solely responsible
for all bills or claims for payment for services rendered
by others and for all services and materials employed
in his work, and to indemnify and save harmless the
OWNER, and all of the OWNER'S officers, agents and
employees against all suits, claims or liability of every
name and nature arising out of or in consequence of the
negligent acts or failures to act of the ENGINEER or
others employed by him in the performance of the
work covered by this AGREEMENT.

C. The ENGINEER further agrees to procure and
maintain at his expense such workmen's compensation
insurance as is required by the statutes and public
liability insurance in amounts adequate to provide
reasonable protection from claims for bodily injury,
death or property damage which may result from his
performance and the performance of his employees un-
der this AGREEMENT,

D. All documents, . including original drawings,
design calculations, work sheets, field notes, esti-
mates, and other data shall remain the property of the
OWNER, and shall be transmitted to the OWNER in
clean and orderly condition on demand; however,
these may be left in the possession of the ENGINEER
at the OWNER'S discretion.

E. The ENGINEER shall not sublet, assign or
transfer any part of the ENGINEER’s services or
obligations (except surveys and borings and other
special services) under this AGREEMENT without the
prior approval and written consent of the OWNER.

F, It is further agreed that the ENGINEER will
assist the OWNER or his authorized agent in providing
the DIVISION with clear documentation certifying
that the necessary easements, options or outright
purchases of land have been secured to provide for
location of treatment works and other associated
structures and equipment as shown on the contract
plans or described in the specifications. Similar
documentation will be submitted on approvals from
the State Department of Transportation and/or other
state agencies regarding location of treatment works
within rights-of-way and other lands under their
jurisdiction,

G, This AGREEMENT shall be governed exclusively
by the laws of the State of New Hampshire and any
litigation shall be brought in a court located in New
Hampshire.

ENGINEERING DESIGN PHASE CONTRACT

VI.

Insurance

A. ENGINEER shali carry and maintain in effect
during the performance of services under this contract:
Professional liability insurance in the amount of
$1,000,000; General liability insurance in the amount
of $1,000,600 per occurrence; $2,000,000 aggregate;
$1,000,000 Combined Single Limit Automobile
Liability; and Workers’ Compensation Coverage in
compliance with the State of NH Statutes,
$100,000/$500,000/$100,000. ENGINEER - shall
maintain in effect at all times during the performance
under this contract all specified insurance coverage
with insurers and forms of policy satisfactory to the
OWNER, acceptance of which shall not he
unreasonably withheld. None of the requirements as to
types, limits, and approval of insurance coverage to be
maintained by ENGINEER are intended to and shall
not in any manner limit or qualify the liabilities and
obligations assumed by ENGINEER under the
AGREEMENT. The OWNER shall not maintain any
insurance on behalf of ENGINEER. Any subcontractor
used is the agent of the ENGINEER and not the
OWNER. Subcontractor’s are subject to the same
insurance requirements as the ENGINEER.

B. ENGINEER will provide the OWNER with

-certificates of insurance for coverage as listed below

and endorsements affecting coverage required by the
contract within ten (10) calendar days after the
OWNER issues the Notice of Award. The certificates
and endorsements for each insurance policy are to be
signed by a person authorized by the insurer and who
is licensed by the State of New Hampshire. Certificates
must name the City of Nashua as an additional insured.

C ENGINEER is responsible for filing updated
certificates of Insurance with the City of Nashua’s Risk
Management Department during the life of the
contract. The OWNER requires thirty (30) days written
notice of cancellation or material change in coverage.

1. All deductibles and self-insured retentions shall
be fully disclosed in the certificates of insurance.

2. If aggregate limits of less than $2,000,000 are
imposed on bodily injury and property damage, the
ENGINEER must maintain umbrella liability
insurance of at least $1,000,000. All aggregates
must be fully disclosed on the required certificate of
insurance.

3. The specified insurance requirements do not
relieve ENGINEER of its responsibility or limit the
amount of its liability to the OWNER or other
persons, and ENGINEER is encouraged to purchase
such additional insurance, as it deems necessary.

4. Engineer agrees to indemnify.and hold Owner, its
officials, officers, employees,, and assigns harmless
from and against all claims, damages, causes of
actions, and fines to the extent such claims,
damages, causes of action and fines are based on or
arise out of Engineer's or others employed by the
engineer negligent acts or negligent omissions.

5. Owner agrees to indemnify and hold Engineer, its
directors, shareholders, employees, or others
employed by the engineer and assigns harmless
from and against all claims, damages, causes of
actions, and fines to the extent such claims,
damages, causes of action and fines are based on or
arise out of Owners negligent acts or negligent
omissions.

6. Neither party shall be responsible or held liable to
the other for special, indirect, or consequential
damages, including, but not limited to, toss of profit,
loss of investment, loss of product, business
interruption, or liability for loss of use of facilities
or Owners existing property, however the same may
be caused.

D. ENGINEER shail not allow any officer or employee
of the OWNER to have any indirect or direct interest
in this contract or the proceeds of this contract.
ENGINEER warrants that no officer or employee of
the OWNER has any direct or indirect interest,
whether contractual, non-contractual, financial or
otherwise, in this contract or in the business of the
ENGINEER. ENGINEER also warrants that it
presently has no interest and that it will not acquire any
interest, direct or indirect, which would conflict in any
manner or degree with the performance of services
required to be performed under this contract.
ENGINEER further warrants that no person having
such an interest shall be employed in the performance
of this contract. If any such interest comes to the
attention of the ENGINEER at any time, a full and
complete disclosure of the interest shall be
immediately made in writing to the OWNER. If the
OWNER determines that a conflict exists and was not
disclosed to the OWNER, it may terminate the contract
at will or for cause.

Termination

A. The OWNER shall have the right at any time for
any reason whatsoever to interrupt or terminate any
part of or all of the work required of the ENGINEER
under this AGREEMENT, with a seven (7) day written
notice of such interruption or termination transmitted
ta the ENGINEER by the OWNER. In the event of
termination of any part of or all of this AGREEMENT,
without fault on the part of the ENGINEER, the

ENGINEERING DESIGN PHASE CONTRACT
For Professional Services for Treatment Works

ENGINEER shall be entitled to compensation for all
work performed to the satisfaction of the DIVISION
and the OWNER, and pursuant to this AGREEMENT.
In order that the ENGINEER shall receive payment
under termination notice of any part of the work, ali
plans, drawings, tracings, field notes, estimates,
specifications, proposals, sketches, diagrams, and
calculations, together with all other materials and data
collected or prepared in connection with the PROJECT
shall be transmitted to the OWNER in a form
acceptable to the OWNER and DIVISION.

IN WITNESS WHEREOF, the parties hereto have affixed
