A special meeting of the Board of Aldermen was held Monday, June 29, 2020, at 7:00 p.m. via Zoom.
President Lori Wilshire presided; City Deputy Clerk Nicole Reyes recorded.

Prayer was offered by Deputy City Clerk Nicole Reyes; Alderman Michael B. O’Brien, Sr. led in the Pledge
to the Flag.

President Wilshire

As President of the Board of Aldermen, | find that due to the State of Emergency declared by the
Governor as a result of the COVID-19 pandemic and in accordance with the Governor's Emergency
Order #12 pursuant to Executive Order 2020-04, this public body is authorized to meet electronically.

Please note that there is no physical location to observe and listen contemporaneously to this meeting,
which was authorized pursuant to the Governors Emergency Order. However, in accordance with the
Emergency Order, | am confirming that we are:

a) Providing public access to the meeting by telephone, with additional access possibilities
by video or other electronic means:

To access Zoom, please refer to the agenda or the City’s website for the meeting link.

Federal Clauses — Sewer Line Replacements & Associated Administrative Building Repairs

1. No Federal Government Obligation to Third Parties.

The City and the Contractor acknowledge and agree that, notwithstanding any concurrence by the Federal
Government in or approval of the solicitation or award of the underlying contract, absent the express written
consent by the Federal Government, the Federal Government is not a party to this contract and shall not be
subject to any obligations or liabilities to the City, the Contractor, or any other party (whether or not a party to that
contract) pertaining to any matter resulting from the underlying contract.

The Contractor agrees to include the above clause in each subcontract financed in whole or in part with Federal
assistance provided by FTA. It is further agreed that the clause shall not be modified, except to identify the
subcontractor who will be subject to its provisions. Incorporate FTA Terms

2. Termination and Suspension.
Please see Termination and Suspension Language in Article 15 of the Agreement

3. Program Fraud and False or Fraudulent Statements or Related Acts.

The Contractor acknowledges that the provisions of the Program Fraud Civil Remedies Act of 1986, as amended,
31 U.S.C.§ 3801 et seq. and U.S. DOT regulations, "Program Fraud Civil Remedies," 49 C.F.R. Part 31, apply to
its actions pertaining to this Project. Upon execution of the underlying contract, the Contractor certifies or affirms
the truthfulness and accuracy of any statement it has made, it makes, it may make, or causes to be made,
pertaining to the underlying contract or the FTA assisted project for which this contract work is being performed.
In addition to other penalties that may be applicable, the Contractor further acknowledges that if it makes, or
causes to be made, a false, fictitious, or fraudulent claim, statement, submission, or certification, the Federal
Government reserves the right to impose the penalties of the Program Fraud Civil Remedies Act of 1986 on the
Contractor to the extent the Federal Government deems appropriate.

The Contractor also acknowledges that if it makes, or causes to be made, a false, fictitious, or fraudulent claim,
statement, submission, or certification to the Federal Government under a contract connected with a project that
is financed in whole or in part with Federal assistance originally awarded by FTA under the authority of 49 U.S.C.§
5307, the Government reserves the right to impose the penalties of 18 U.S.C.§ 1001 and 49 U.S.C.§ 5307(n)(1)
on the Contractor, to the extent the Federal Government deems appropriate.

The Contractor agrees to include the above two clauses in each subcontract financed in whole or in part with
Federal assistance provided by FTA. It is further agreed that the clauses shall not be modified, except to identify
the subcontractor who will be subject to the provisions.

Deputy City Clerk Reyes called the roll and asked them to state the reason he or she could not attend,
confirmed that they could hear the proceedings, and stated who was present with him or her.

The roll call was taken with 11 members of the Board of Aldermen present: Alderman Michael B. O’Brien,
Sr., Alderman Patricia Klee, Alderman Richard A. Dowd, Alderman Benjamin Clemons, Alderman David C.

Thank you. As is customary for Public Hearing, | will turn the meeting over to the Chairman of the Planning
& Economic Development Committee, Alderman Tencza.

Thank you, Madam President. The purpose of this Hearing tonight is to hold a Public Hearing on O-20-023
as amended, relative to advertising signage on umbrellas, awnings, and canopies in connection with
outdoor dining.

Madam President, | don’t see that anyone from the City is here to present on the topic, is that correct?
President Wilshire

Ok, well in that case, we will start in with the Public Testimony.

Sorry to interrupt. | can give you a brief overview of the Legislation if you'd like.

If you could, Alderman Clemons, that would be great.

Alderman Clemons

Sure, so what this Legislation proposed to do is to eliminate the interpretation that an umbrella on the
sidewalk that has advertising on it is a sign. And the reason being is that’s signs are prohibited on public
ways and sidewalks or in the pedestrian way. So this would exempt that if it is on an umbrella. That was
pretty straight-forward.

Thank you for that explanation. So now after that explanation, | will call for anyone who would like to give

ORDINANCE

RELATIVE TO ADVERTISING SIGNAGE ON UMBRELLAS, AWNINGS, AND
CANOPIES IN CONNECTION WITH OUTDOOR DINING

CITY OF NASHUA

In the Year Two Thousand and Twenty

The City of Nashua ordains and is hereby further amended by deleting the struck-
through language as follows:

During the period beginning with the effective date of this ordinance and centinninsto

Nesvember 15,2028, §190-93, subsection A of the Nashua Revised Ordinances shall not be
interpreted so as to prohibit any urnbrella, awning, or canopy displaying advertising signage
wrom being used and erected in connection with outdoor dining so Jong as vehicular and

pedestrian traffic is not obstructed thereby.
This legislation shall take effect following its passage.

The clerk is directed not to codify this ordinance in the Nashua Revised Ordinances but to
designate it as Covid-19 Emergency Measure No. _ [inserting the appropriate number] and

publish it on the city website.
