year for scheduled maintenance, and no more than 8 continuous hours per occurrence. Any
scheduled downtime which is scheduled to last more than 1 hour, shall occur on Saturday,

Sunday or after 5 pm, EST or before 8 am, EST.

Unscheduled downtime. The system shall not be unavailable for more than 12 hours per

calendar year for unscheduled downtime, and no more than 8 continuous hours per occurrence.

Remedy. If either scheduled or unscheduled downtime exceeds the amounts listed scheduled
downtime occurs for more than 1 hour during the week 8am — 5 pm, EST, there shall be a credit
at the end of the calendar year of $25 for each hour over or during the amount listed. The credit
shall not exceed the fee for services for the calendar year. Repeat or continuous violations may

be, in the City’s sole discretion, a breach of this contract and cause for termination for cause.

4. Public Disclosure Compliance.

The parties acknowledge that the City is a municipal government and that materials submitted
by the Service Provider to the City become public record. Such records may be subject to public
disclosure, in whole or part and may be required to be released by the City in the event of a
request for disclosure. In the event the City receives a public record request for information that
Service Provider has marked as "Proprietary and Confidential," the City shall notify the Service
Provider of such request and withhold disclosure of such information for not less than FIVE (5)
business days, to permit the Service Provider to seek judicial protection of such information,
provided that the Service Provider shall be responsible for attorney fees and costs in such action
and shall indemnify, save and hold harmless the City from any and all costs, attorney fees or
penalty assessment (including but not limited to statutory amounts) for withholding or delaying

public disclosure of such information.

5. Proprietary Rights Indemnification.

Service Provider represents and warrants that (1) no element of the System and or

methodology provided under this Agreement is the subject of any litigation ("Litigation"), and

(2) Service Provider has all right, title, ownership interest, and/or marketing rights necessary to

provide the System and/or methodology to City and that each License, the System and/or
methodology, and their sale, license, and use hereunder do not and shall not directly or
indirectly violate or infringe upon any copyright, patent, trade secret, or other proprietary or
intellectual property right of any third party or contribute to or induce such violation or
infringement ("Infringement"). SERVICE PROVIDER shall indemnify and hold City and all
end users and their respective successors, officers, employees, and agents harmless from and
against any and all actions, claims, losses, damages, liabilities, awards, costs, and expenses
(including legal fees) resulting from or arising out of any Litigation, any breach or claimed
breach of the foregoing warranties, or which is based on a claim of an Infringement and
SERVICE PROVIDER shall defend and settle, at its expense, all suits or proceedings arising
therefrom. City shall inform SERVICE PROVIDER of any such suit or proceeding against City
and shall have the right to participate in the defense of any such suit or proceeding at its expense
and through counsel of its choosing. SERVICE PROVIDER shall notify City of any actions,
claims, or suits against SERVICE PROVIDER based on an alleged Infringement of any Party's
intellectual property rights in and to the System and/or methodology. In the event an injunction
is sought or obtained against use of the System and/or methodology or in City's opinion is likely
to be sought or obtained, SERVICE PROVIDER shall promptly, at its option and expense,
either (i) procure for City, and its end users, the right to continue to use the infringing portion(s)
of the System and/or methodology as set forth in this Agreement, or (ii) replace or modify the
infringing portions of the System and/or methodology to make its use non-infringing while

being capable of performing the same function without degradation of performance.

6. Insurance Exemption.

Workers' Compensation. The SERVICE PROVIDER will have no employees, full or part-time
working in the State of New Hampshire. The onsite team of the SERVICE PROVIDER shall
consist of no more than 3 partners of the LLC under RSA 281-A:3. Sole-proprietors, partners
and self-employed person are not required to carry workers’ compensation on themselves.
Further, under RSA 281-A:2,VIII explains that if a corporation or limited liability company
(LLC) has 3 or less executive officers or LLC members and no other employees, (working in the
State of New Hampshire) coverage is not mandatory. The SERVICE PROVIDER does not

maintain an office or other physical location within the State of New Hampshire.

with our response to the Request for Proposal RFP0611-033116 through this transmittal letter.

Our offering is CIVICgov ONE Solution.. A web-based application designed and developed by Wagsys system
engineers and hosted in the Wagsys Cloud. While CIVICgov is cloud-based, Wagsys engineers can work with
municipal IT staff to implement the software locally. CIVICgov is database agnostic and independent of any
computer operating system. It will operate on any computer, any browser or any mobile device. The proposal
also includes an off-line mobile inspection app for smart phones and tablets.

2 Executive Summary

Wagsys Software Solutions (Wagsys LLC) was established in 2005. The company provides software solutions
to the government market, corporations, and the education and health care industries. The partners have over 80
years’ of combined experience working in government; have developed over 20 software titles and trained
thousands of government employees. We are also experts in National Incident Management Systems, Audit
Standard Compliance & Accreditation monitoring for government facilities, health care and educational
institutions. With over 40 years of community development and code enforcement experience, we are well
equipped to provide software solutions that meet the needs of government agencies throughout the United
States.

Our philosophy “Powerfully Simple” ensures that all our products meet the needs of our customers without
hindering the ability of the user to learn and operate the software. Our systems support transparency in
government initiatives. We have an extensive knowledge of electronic records management. We make
government more effective and efficient while providing citizen access via online portals. Our core values
include accountability, integrity, innovation and responsiveness to our customers. We are a civic-minded
organization that has donated our software suite to municipalities affected by disaster that could not afford to
purchase software.

3 Scope of Services

Wagsys understands that it is the City’s intent to obtain an integrated software solution such as CIVICgov ONE
Solution, that provides collaboration and record management across departments to include: Community
Development, Environmental Health, Clerk’s Office, Fire Marshal’s Office, Public Works, and the Police
Department at the City of Nashua while providing transparency and access to government 24/7 through the use
of Citizen Portals and integration with the City’s existing ESRI GIS, document management and assessing
software systems. We further understand the software solution must fulfill a variety of divisional needs for
permitting, inspections, enforcement operations, complaint and violation processing, Land Use Board
Management, planning and zoning ordinance and record management, all aspects of food service establishment
licensing and permitting, inspections of those operations and related operations to enforce health codes, vendor
licensing, animal licensing and control systems, parking permits and a complete suite for the Fire Marshal’s
Office and Police Department. The entire system must include workflow management and collaboration
utilizing meeting management, email, and scheduling system integrated to the application. We further
understand that the application must integrate and provide automated updates in a push/pull process using
API/REST/SOAP or ODBC technologies to further the automation of data updates between the selected
solution and the City’s existing solutions noted above.

The CIVICgov solution will exceed the City’s existing environment statistics which includes an approximate
population of 87,000, access to the system for approximately 60 staff in multiple departments.

We understand the City’s goal of acquiring a simple, user-friendly, sustainable system that provides detailed
and dynamic functionality without extensive customization.

Wagsys will work directly with other software vendors as required.

The City maintains ownership of all data maintained within the system. CIVICgov has no right to utilize the
data contained with CIVICgov for any purpose other than those authorized by the City. The data is not
encrypted and can easily be exported as the City requires.

4 Specifications & Kunctionai Reawirements

CIVICgov is a cloud-based, Software as a Service (SaaS) model. The system could be considered an off-the-
shelf product as it relates to ease of configuration and use. However, the processing power of the system and
depth of penetration into multiple municipal departments provides an overall solution for government agencies
of all sizes. We achieve this processing power while still maintaining a minimal modification process. Virtually
no complicated custom development is required.

Wagsys has the ability to integrate with any 3™ party vendor to develop code that allows complete automation of
data updates between various software versions using API/REST/SOAP and ODBC operations.

CIVICgov ONE Solution is module based. All modules within the application are fully integrated for ease of
use. The components included with this RFP are as follows:

4.1.2 Compliance to RFP: This module fully supports all the functional requirements of the RFP identified under
Specifications, 2 Scope of Services. See Section 8 — Addendum 1 Proposal Requirements

4.1.3 Features:

Print Report Card: This feature will create a PDF document listing all the open records. This can be mailed to title companies,
banks, etc. that require property searches.

Adjacent Searches: The adjacent search button opens the feature to perform proximity searches for the specific parcel. NOTE:
This data requires the use of grid east, grid north or lat/lon data which much be provided from the customer's assessor or GIS
parcel data. The distance, selectable in feet is available from the drop down menu. Select the correct distance and click the

Refresh button.

Bulk Printing Adjacent Search Results: If bulk notification letters have been provided during setup, staff can generate the
distance search and click the bulk print button. The print interface opens and the user can select the letter to print. A letter for
each owner listed will be generated in PDF format.
