| want to send my condolences to the family of David Tramack who we lost last week. David was a terrific guy.
He will be sorely missed.

Alderman Lopez

| became aware yesterday that two Latino members of our community, Hispanic members of our community
had a very unpleasant experience where somebody walked by and made a comment to the effect of “Let’s
build a wall.” | just want to remind the Nashua public that that’s not our character, that’s not our people.
Nashua has always been a city of immigrants, people coming together with differences to build things of
importance, things that matter: the homes that we all live in, the community that we are a part of. | just found it
to be a very unfortunate and unsettling situation. The two individuals involved happen to be very, very involved
and active and have done a lot for our community. They deserve to be recognized as more than just what they
look like by a stranger.

Alderman Caron

| would like to send our condolences to the Wayne Andrews family. Wayne Andrews was a longtime resident
of Nashua, a classmate of mine. He was also a dedicated firefighter for Nashua’s finest. He will be sorely
missed by the community. | know that Roland’s at breakfast time will be missing him. Also, the Board of
Aldermen got a note today from the marketing director for the Nashua Senior Center concerning their annual
Fire and Fusion event. | know that Alderman McCarthy, Alderman O’Brien and Alderman Melizzi-Golja attend.
| found out before | came that there is 30 tickets left out of the 350 that we have. That event takes place the
first Wednesday in May. Hopefully some of you will attend. It’s a good time had by all. Thank you.

| would like to convey condolences to the family of Victor Schultz. He was the husband of former
Representative Joan Schultz. He died this past Sunday. He was also at one time a candidate for ward
alderman, and a long term worker at the polls at the Bicentennial School. Our condolences to his family.

| would like to echo the sediments of Alderman Caron on the passing of retired firefighter Wayne Andrews.
Those that didn’t know Wayne, you missed a lot. If you’re a young male and you’ve got some bulk to you, you
definitely know Wayne. Wayne ran a gym out of the back of his house. He was instrumental in keeping a lot
of our youth together and doing the right thing of pumping the iron and working hard. He was in his own way a
community advocate and leader with the youth. He was also one of the strongest people that | knew and

represented the fire department quite well in competitions in New Zealand and everything else. | wish him the
best of luck in his voyage, and I’ll see you soon in that big fire house in the sky.

Alderman McCarthy

| wanted to comment briefly about the street renumbering petitions. First, while | realize a lot of us are new
here, we ought to try to get the committee work done at the committees if we can possibly do that. On the
issue, itself, | dealt with one of these in Ward 5 on Gendron Drive where it was going to renumber four houses,
and none of them were happy about it. My former Ward 5 alderman had another one on Skyline Drive, where |
know that was the same case. | think we’ve seen other ones around the ward. It is really tough to change
street numbers. Last week at 7:30 a.m. | got a phone call for Gerald McCarthy. Gerald is a guy that used to
live in Milford, Massachusetts when | lived there. When | moved here in 1980, Gerald followed me for some
reason. Gerald has been dead for five or ten years now. He still is believed by many people around this
country to live at my address even though he never did. Once this stuff is out there, it sticks. You can’t get rid
of it. It is a very difficult thing. As for the E911 project to clean it up, here’s some food for thought. That’s a
great idea and we can get it all fixed. Last year in its infinite wisdom, the legislature passed the accessory
dwelling unit legislation which allows us essentially to convert each one of the about 12,000 — 14,000 single
family residence in Nashua to a duplex. If tonight was any sample of that, we’re going to spend 6,000 hours in
here debating street renumbering by the time the effect of that ripples through. It’s a great idea. | don’t think
there’s a solution to it. When somebody has a dwelling unit, wnat do we do? Renumber the house so that the
dwelling unit can be the earlier number if it’s on the left side of the house but not on the right? It’s a problem.

| think as somebody pointed out, the solution to it is we have GIS systems that point to an exact spot on the
map where that is. We're not going to solve it by renumbering streets. | would encourage us not to go that
way.

I’m glad we passed the performing arts center. | think it is going to be great for Nashua in the long term. | look
forward to us trying to get the endowment funded, and | hope everybody around the horseshoe will be as
zealous as they would like the rest of the community to be in donating.

Alderman Wilshire

On March 2, at 1:00 p.m., we will have CDBG site visits for those applicants who have asked for funding.
There will be a list of places that we will be going to visit, and you are all welcome to join.

Alderwoman Melizzi-Golja

Alderman Wilshire, may | just add to that for new members. Those site visits are a posted meeting. You are
all more than welcome to join us. Also, PEDC was scheduled for next Tuesday. It will be cancelled. Our next
meeting will be March 6". Thank you.

Alderman O’Brien

Severe apologies for all you valentines, but the Infrastructure Committee will be meeting tomorrow night.
There is an important issue that is before us. It is going to start at 7:00 p.m., and we are going to have a joint
meeting with PEDC. We expect to have our friends from that committee to join us. Again, my condolences to
your valentines, but good to see you there at tomorrow night’s meeting.

5. PROJECT COMMENCEMENT

No later than thirty (30) days following mutually agreed upon period of performance schedule, executed
contract, City of Nashua issued Purchase Order, and a notice to proceed.

Trial period: 3000K vs. 4000K LED Products. The intent of the Trial period is to aid the City in choosing
which Kelvin temperature product is preferable, Given that the City currently has 4000K temperature
LED products installed in multiple locations, the Entity shall supply and install ten (10) 3000K
temperature LED products as samples. Whichever version the City decides to keep will be billed at the
agreed contract price once the Trial is over. The location of the Trial will be mutually agreed upon by the

City and the Entity.
6. FINAL COMPLETION

Final completion will be agreed upon by City and Entity and referenced in the agreement between
owner and contractor (see SCHEDULE A, Standard Agreement between Owner and Contractor)

7. SUBMITTAL REQUIREMENTS
7.1 A Mandatory pre-bid meeting will be held at 10:00 AM on Tuesday, February 23, 2016.
Participants are to meet at the Department of Public Works Administration and

Engineering Large Conference Room, 9 Riverside Street, Nashua, NH 03062.

7.2 A description of the Entity’s Information, Qualifications, and Experience including, but:

7.2.1. AnIntroductory letter, which includes the Entity’s name, contact name, mailing
address, telephone number, fax number, and email address. The letter will
address the understanding of the service being requested and any other
pertinent information the proposer believes should be included. The letter shall
be signed by the individual authorized to bind the Entity to the proposal.

7.2.2. The Entity must be licensed to do business in the State of New Hampshire at the
time of the conversions/installations;

7.2.3 Provide at least three (3) examples of similar type turnkey comparable projects.
Include reference names and telephone numbers.

7.2.4 Demonstrate your ability to provide qualified professionals for the project, such

as Electrical Engineers, Installers, 24 hour service and support, and the ability to

Re: Overview of TIF Program --- Relative to O-18-006

I am writing to share with you and your colleagues a broad overview of how “Tax Increment Financing”
works in New Hampshire.

Request

Additionally, I am requesting that this communication be forwarded on to the respective Chair(s) that may
have jurisdiction over this matter within the city. Historically and it is my understanding both Planning &
Economic Development and the Finance Committees have dealt with this matter in the past.

Ideally, I would welcome an opportunity to appear before each committee to discuss and have a general
conversation relative to how a TIF program works.

Tax increment financing (TIP) is a public financing tool used to help spur economic development in
areas that may otherwise be left to fallow in the wind. Introduced in California in the 1950's, TIF has
been used in most states across the county, including New Hampshire.

Nashua Specific Background

This is a tool that has been used in Nashua previously. In 2004 the city created the Nashua Riverfront
Promenade Tax Increment Finance District and a bond was issued for approximately $1.0M, which went
toward the creation of a river walkway and associated landscaping. Essentially, $100,000 is collected
yearly and applied to a bond as a payment for the above. In development finance this is a very common
tool used to spur economic and community investment.

What is a TIF?

In simple terms, a TIF Plan sets forth general goals for improvements to be carried out in a TIF District,
which is a defined area made up of individual properties. These improvements usually involve
infrastructure [roads, utilities, and public amenities such as parking and parks] which are all key
components for attracting and creating a healthy robust community. A TIF can help to create a
cooperative public / private partnership to achieve the goals and also be used to bring projects to fruition.

How are the improvements funded?

A key component of a TIF plan is the capturing and dedication of the new tax revenues resulting from the
new development to help pay for the costs of the improvements. A variety of other funding sources (for
example, bonds, loans, grants, or gifts) can also be used to pay for the improvements performed by the
City.

How is new tax revenue captured?

When the TIF district is created by the Board of Aldermen the base line values for the individual
properties in the district are established. Improvements to properties or new developments in the district
create added value and result in new tax revenues above and beyond the base line revenues. The new
revenues are set aside in a dedicated TIF account to pay for the improvements undertaken by the City; if
bonds are a funding mechanism for a public improvement, the TIF funds most likely go towards the
yearly bond payment obligations. The revenue can be used to achieve goals of the TIF Plan.

How are the financial interests of the City protected?

First, the timing of the City infrastructure improvements and the new revenues from the private
investments need to go hand in hand to insure that city costs and revenues match up as much as possible.
Second, the TIF plan could include requirements for Developer Agreements where the developers would
be responsible for any shortfall between the money the City has in the TIF fund and the outstanding
yearly obligations for bond payments. Third, where feasible and appropriate, the exposure of the City for
yearly financial obligations is minimized through the smart use of outside grants and other funds to pay
for the infrastructure improvements without the issuance of bonds.

How is the TIF district administered?

The TIF statute requires the appointment of a district administrator who oversees operations and issues of
the TIF district and plan. Also, an Advisory Board is appointed by the Board of Aldermen, with this
Board providing the Administrator and the Board with input and ideas on the planning and
implementation of the plan. The Board of Aldermen retains control over the expenditure of TIF funds.

What is the lifespan of the TIF?

Once all of the financial obligations for a set of projects are cleared, the Board can abandon the TIF and
the added revenues then flow back into the general funds of the City. But, the TIF plan can be modified in
the future by the Board of Aldermen to add new goals and specific projects, and these modifications can
create a multi-year TIF program(s) & plan(s). There is also the option of keeping the TIF active and
directing some smaller portions of the TIF funds to the ongoing maintenance and upkeep of the
improvements (landscaping, parks, etc.). This would be determined by the Board of Aldermen with the
recommendation of the Administrator, the Advisory Board, and city staff.
