Customer do not have an active Agreement between them as of the Effective Date of this SOW, then
the Master Services Agreement found at, https://www.navisite.com/navisite msa _us/ (the
“Agreement”) will govern. Capitalized terms used but not defined elsewhere in this SOW shall have the
meanings ascribed to them in the Agreement. By signing below the Customer hereby agrees to be bound
by the terms and conditions set forth herein and in the Agreement. This SOW is applicable to Company
services purchased by Customer. If any inconsistencies or contrary terms between the Agreement and
this SOW exist, the terms of this SOW shall govern, but only to the extent necessary to resolve any
such inconsistencies or contrary terms. Capitalized terms used herein but not defined herein will have
the meanings ascribed to them elsewhere in the Agreement.

So my question was how does weather affect the list?
Mr. Dookran

Okay, well meaning - like the winter?

Alderwoman Kelly

Correct.
Mr. Dookran

So the condition survey done by the consultant primarily is done during good weather and this winter as pretty
brutal, not just to us but everyone who has experienced it. As you might have heard it is one of the coldest,
early winters that we have had for 150 years or so. So whereas a certain street might have been in very
acceptable condition prior to winter, now it has gone beyond what we expected. In this case, it might be too
late to go back and reprogram that street because we already did all the utilities and so on they have looked at
those streets. There are some of them that might be easy to incorporate but for the majority of them we will
have to re-look at the streets and then program for the next contract. There are a couple reasons why a bad
winter that we’ve just had, how they affect the city streets, if you have a deep frost early on, and then you have
a thaw like we had in February. What happens is that we have all this water that has nowhere to go because
the ground is frozen so it sits there under the pavement and through constant traffic it gets beaten up, because
the water is there and the water pumps up all the gravel and the pavement. That’s why you’ve the street in
such bad condition.

We also have the situation where you have ground water present in some places in Nashua like the southwest
area, you have high ground water, it’s just inherent, it’s just natural. So this comes up in the wintertime and
creates a frost condition under the pavement. So this is ground water coming up and that in itself, frost heaves
in the street, that’s primarily due to ground water coming up within the gravel under the pavement and then you
see that bump in the street. And then we have a thaw again, that melts, has nowhere to go because below it
is frozen and breaks up the pavement. So yes, winter is bad for us but it is inherent in the climate and we have
to deal with that. If we were to build a street from scratch, you want to figure out a way of getting rid of ground
water. You also want to make sure that your streets are maintained throughout, that they preserve their shape
so that water itself can drain away to a catch basin or some facility that can take the water away.

Unfortunately, a lot of our streets are old, they haven’t been built to good standards and a paving program by
itself can’t address those because there are not sufficient funds to rebuild the streets. It’s more pavement
management, so whereas we might be able to pave the street and it looks for a couple of years, you have a
bad winter, you are going to be back to square one.

If 'm someone who lives on a street that feels like it is now crumbling is there a place for me to go and find
that, | think you called it a PCI is that correct?

Paving Condition Index, yes.

Just a regular citizen | want to know my condition of my road is, is there a place that | can find that?

| don’t know if we have it available on the web site but we could arrange for that. However, | could let you
know where we are with paving condition surveys. So the company that we use is Stantec, the report they
produced in 2016 was based on another company’s work done in 2015. So we have some of that information
that’s old now, it’s going to be 3 years old so | don’t anyone to be misled and to believe that their street is in
this number. So last year, Stantec was able to look approximately half of the city streets, mostly in the
southern area of the City. And this year, we have already contracted with them to do the northern side and so

by when they are done their work in a few months, we should have information that is pretty current regarding
the condition index. And maybe that’s the best time to make it available to the public.

Down under the sewer rehabilitation it says 2017/2018 does that mean that you did some of these?

Let me just take a look at that list.

| think it’s the last page.
Mr. Dookran

Ok what that means there is that the sewer work is already done and these are streets that the sewer program
would have had to pay for to restore the street because of the sewer work. So we are using sewer funds to
pave those streets. | think they have been identified. So the sewer work is done now the paving program is
going to come back and pave the street. That’s the whole idea about separating those. They are funded
differently.

Mayor Donchess

So those get paid out of the sewer user charges, the sewer fund because as a result of the rehabilitation of the
sewer, the street had to be torn up, and so the repair will be paid for out of the sewer fund in those eight
instances, as opposed to the regular paving bond.

Alderman Harriott-Gathright

Okay thank you.

Alderman Caron

Thank you. So you were talking about the sewer, they paved but they are supposed to repave that this year

because of the poor quality of paving that was done on that road? Am | correct? That’s not listed here so | just
want to make sure.

Right. So what we listed here are just streets that have to be paved. As you are aware, last year under our
regular annual program, we had a new contractor show up. And he was the low bid, we hadn’t used him
before. We did check references and we got good references, but you know, sometimes things don’t work out.
So this company paved several of our streets, we had two contractors, this other company paved the majority
of the streets, Main Street included and the pavement quality, the top layer turned out to be poor quality and
with that it’s going to be a challenge. We are going to meet with them again this week, at the end of this week,
and to discuss how we go forward. We are expecting to have them repave the street, you know mill out the top
layer and repave it. But it probably won’t go down without a battle.

Alderman Caron

So when are we looking for this paving to start. | know that the weather has been horrible. Are you looking for
a start date for May ending in September or October?

Mr. Dookran

Yes as soon as the contractor can bring his equipment and the weather will hold. Everyone should be aware
that every community in the State as well as the State itself has a lot of paving to do and we don’t have a lot of
contractors, there is just a handful of large contractors so everybody is booked. And they have to be able to
schedule all of these different jobs. Because when they move into town, they bring in a lot of equipment. We
will be meeting with them this week as well and we will be talking about schedule.

Thank you. If! could just speak to what Alderman Caron was talking about. For this new bid, what did we do
to vet this individuals or have we worked with them in the past?

Mr. Dookran

This contractor that we are seeking approval for is actually a contractor that is headquartered in Nashua. They
have never done a large paving contract with us. They have done quite a bit of work in Nashua, they have
worked as a subcontractor to other firms and so on but we looked, so far we have looked at a lot of the work
they have done in other places. Quite a number of projects in Massachusetts, $15 million dollar, $18 million

dollar projects so we think they come with a good reputation, good experience, but we will be talking with them
even further before we sign a contract.

SUBJECT: McFarland Johnson contract amendment #4 for 25 Crown Street Park and Ride project

In accordance with 0-14-011, communication of anendments to contracts, this memo is to inform the
Finance Committee of a subsequent change to the McFarland Johnson contract. A previous contract
amendment with McFarland Johnson in the amount of $169,229.11 was approved by Finance
Committee on May 17, 2017.

Additional scope items are required for McFarland-Johnson’s subcontractor, Sanborn Head, to perform
environmental due diligence to complete the project.

This new contract amendment adds this scope of work to the McFarland Johnson contract for a sum of
$9,200, bringing the total approved contract to $386,380.59. These funds are budgeted as part of the
construction budget and are covered by State and Federal funds from a NH DOT Congestion Mitigation
Air Quality grant.

SUBJECT: DATTCO contract amendment #2 for Transit Vans

In accordance with O-14-011, communication of amendments to contracts, this memo is to inform the
Finance Committee of a subsequent change to the DATTCO contract. The DATTCO contract was
approved by Finance Committee on May 17, 2017, for the purchase of 6 paratransit vans in the amount
of $758,790. A previous contract amendment with DATCO in the amount of $15,000 was approved by
Finance Committee on December 26, 2017, bringing the total contract to $773,790.

In March 2018, DATTCO notified us that they could not accommodate the rear ramp. In addition, they
could not meet the specifications for roof design. Therefore, we are getting a credit of approximately
$5,190 per van for a total credit of $31,140.

This new contract amendment reduces the total approved contract to $742,650.

The Financial Services Division is seeking approval to extend the existing contract with Melanson Heath
& Company for services to audit the City’s general-purpose financial statements and schedules. Attached
to this communication is a memo from CFO John Griffin and Senior Manager of Accounting, Rosemarie
Evans supporting the proposal to extend the contract.

We are seeking your approval to extend the contract for one year (FY18) with an option to renew for an
additional year (FY19) pursuant to NRO § 5-84 (A) (7), Purchases under extensions of contracts when no
price increase exceeds 10% per year”.

The award is contingent pursuant to NRO § 5-74 (B) which states that a contract that extends from the
current fiscal year into succeeding fiscal year(s) in which no funds have been appropriated nor otherwise
designated for this purpose shall be approved by the full Board of Aldermen before the contract shall
become binding on the City.

The Financial Services Division, Chief Financial Officer, and this Office recommend extending the
contract in the amount of $120,000 with Melanson Heath & Company, Nashua, NH.
