Scope of Work

Feasibility Study

Stantec will review available existing information and data prior to commencing design activities.
The existing information we'd like to acquire (if available) includes:
« Existing base plan and survey data, including a digital terrain model.
Existing utility information
GIS data
River flood/flow data
City’s templates for contract and bidding documents.
Resource agency correspondence

The feasibility study phase will include a project kick-off meeting and a site visit with City staff.

An archeological survey and documentation of the site will be completed to conclude NHDHR
review and approval of the project.

Design Phase

Three submittals will be made to the City for review and comment during the design phase.
These will consist of prints of the appropriate-level, progress bid documents. We assume that
these will be electronic, PDF submittals made by Email or FTP site. The design includes the boat
ramp, seasonal waterfront dock/tie-up area, relocation of the outfall in the immediate vicinity,
parking AND coordination for the new gravel access road (approximately 1,200 linear feet) and
associated drainage being designed by the City. Consultant will also provide preliminary
construction cost estimates for proposed improvements.

The Design Phase will include a preliminary design review meeting with City staff and a Board of
Aldermen meeting (likely Infrastructure Committee).

Permitting

Based on our preliminary site assessment and knowledge of the permitting of similar project sites,
we've included the Wetlands (NHDES and the City of Nashua), Shoreland and Alteration of
Terrain (AOT) permits in this scope. Based on our evaluation of the ramp area, we assume the
total area of launch/parking improvements will be less than 30,000 square feet. This area, when
combined with the impact of a new access road (of approximately 1,200 linear feet) will likely
exceed 50,000 square feet thereby triggering the AOT permit. City of Nashua planning board
approval is also required and included in the permitting phase.

Consultant will attend all meetings with regulatory agencies required to complete required
permitting. To complete permitting requirements, consultant may also be required to attend City
of Nashua Conservation Commission meeting and/or site walk, Zoning Board of Adjustments
meeting, and Planning Board meeting.

Final Design and Engineering
Revise plans to incorporate City input and finalize calculations, plans, and narrative to generate
final plan set and construction specifications.

Bid Phase
Stantec will provide the City with contract plans and bid documents and assist with the answering
of technical questions (RFI’s). We will include PDF’s in our plan set and specs from the City for

the access road components of the project. Additional bid phase services are not included but
can be added by contract addendum if desired by the City.

SUBJECT: — City of Nashua and Revive Recovery Memorandum of Understanding
DATE: May 16, 2018

In recognition of the current opioid crisis and the complexities of substance use disorders, to
combat the ongoing public health crisis in the City of Nashua, the Division of Public Health and
Community Services (DPHCS) is requesting approval to enter into a Memorandum of
Understanding (MOU) with Revive Recovery to provide supervision to peer tecovery support
wotketrs who ate training to become Certified Recovery Support Workers (CRSWs) and CRSWs
working at Revive.

The DPHCS and Revive Recovery plan to work in partnership to coordinate efforts to
support volunteers and peer recovery support workers through Substance Use Disorder (SUD)
activities and programs provided to address the current challenges for patients trying to access
treatment and ongoing recovery support, which Peer Recovery Support Workers and Certified
Recovery Support Workers provide.

The City’s Master prepared Licensed Alcohol and Drug Counselor (MLADC) will provide
weekly supervision services for two hours to peer recovery coaches on site at Revive. The
supervision will be provided as either one-on-one or in a group supervision setting with no more
than 8 CRSWs and the supervisor. The supervisions will include, but not be limited to, providing
an opportunity for peer recovery coaches and CRSWs to discuss ethical dilemmas, problems that
have arisen in the center, difficult or novel issues, and conflicts of interests.

The MOU is a sole source agreement. The MLADC is currently paid $25.00 per hour for 10
hours pet week. The City’s MLADC supervision services as described in the MOU shall be provided
at no cost to Revive and at no additional cost to the City other than the salary of the MLADC as
employed under the Division of Public Health and Community Services.

Certified Recovery Support Worker Supervision
Revive Recovery Center and City of Nashua
Division of Public Health and Community Services
Memorandum of Understanding

This Memorandum of Understanding (MOU) is effective as of February 1, 2018 between
the City of Nashua, by the Division of Public Health and Community Services,18 Mulberry
Street, Nashua NH 03060 (“City”) and Revive Recovery Center, a New Hampshire non-profit
corporation with a principal place of business at 263 Main St. Nashua NH 03060 (“Revive”).
City and Revive are hereinafter sometimes referred to, individually, as a “Party” and,
collectively, as the “Parties”.

WHEREAS, the City has experienced a marked increase in individuals identified as
being affected by substance use disorder (“SUD”) seeking recovery services;

WHEREAS, the cost of hospital and precious human life, due to SUD related health
crisis, has skyrocketed to epidemic proportions nationally and NH, specifically, has suffered
more than 369 lives lost to opioid overdoses in 2016;

WHEREAS, Peer Recovery Support Workers seeking certification as a Certified
Recovery Support Worker experience multiple challenges and barriers in the process of
achieving their certification.

WHEREAS, the City recognizes through SUD activities and programs provided through
SUD Prevention and Continuum of Care, that one of the current challenges for patients is access
to treatment and ongoing recovery support, which Peer Recovery Support Workers and Certified
Recovery Support Workers provide;

WHEREAS, in efforts to further combat this epidemic, the City is seeking to provide
supervision support to employees and volunteers of Revive who are Certified Recovery Support
Workers (CRSWs) or are working toward becoming a Certified Recovery Support Worker; and

WHEREAS, the Parties understand the importance to the public’s health of decreasing
substance misuse in the state, therefore have agreed to work together in good faith for the
coordination in support of the Peer Recovery Coaches and CRSWs.

NOW, THEREFORE, in consideration of the mutual agreements contained herein and
for other good and valuable consideration, the receipt of which is hereby acknowledged, the
Parties agree as follows:

1. Peer Recovery Coach and CRSW Supervision Services.

a. City of Nashua Division of Public Health and Community Services employs a Master
Licensed Alcohol Drug Counselor (MLADC) who will provide supervision to peer
recovery coaches training to become CRSWs and CRSWs working at Revive.
Services will include:

ij Weekly supervision services for two hours. The supervision can be either
be one-on-one or in a group supervision setting with no more than 8
CRSWs and the supervisor. The MLADC will conduct the supervision at
Revive. The supervisions will include, but not be limited to, providing an

opportunity for peer recovery coaches and CRSWSs to discuss ethical

ii. Maintaining records of supervision services
b. The City’s MLADC supervision services as described herein shall be provided at
no cost to Revive.

2. Licensure, Qualifications, and Professional Standards.

a. The Parties expressly acknowledge and agree that CAPRSS accreditation and the
licensure/certification of all Peer Recovery Coaches training to become CRSWs
and CRSWs is a fundamental tenant of this MOU and must be completed without
unreasonable delay.

b. Until such time as NH certification is available for all Peer Recovery Coaches
training to become CRSWs and CRSWs, Revive makes the following
representations to City each of which will serve as a continuing representation
during the term of this MOU:

i. Revive possesses the capacity, expertise, knowledge, and access to
substance misuse counseling and referral sources to appropriately provide
the Recovery Coaching services.

ii. All Peer Recovery Coaches training to become CRSWSs assigned by
Revive to provide Recovery Coaching services at Revive shall be
working towards the education prerequisites required by the Office of
Professional Licensure and Certification (OPLC) for Peer Recovery
Coaching, including forty-six (46) hours of education units in four
domains specific to CRSW credentialing and are in the process of
completing 500 of paid or volunteer work that is in accordance with the
rules set forth in Alc 303.02 and includes 25 hours of experience that is
performed under supervisionby a Licensed Alcohol and Drug Counselor
(LADC) or NH CRSW employed in an a clinical supervisory role.

iii. The forty-six (46) hours of education units in four domains mentioned
above includes: at least six (6) hours of education units related to HIV, six
(6) hours of education related to suicide prevention, and that a minimum
of sixteen (16) hours be specific to ethics. Revive acknowledges that the
NH DHHS requires these additional standards for licensure and guarantees
that if there are any changes or any further requirements mandated by NH
DHHS , Revive will require all Peer Recovery Coaches to meet such
requirements.

3. Term and Termination

a. This MOU shall commence as of the Effective Date and shall continue for one (1)
year. Thereafter, this MOU will automatically renew for successive one (1) year
terms assuming agreement from both Parties.

b. Either Party may terminate this MOU at any time both during and after the initial
one-year term, with or without cause, upon thirty (30) days notice to the other
Party. Further, the City shall have the right to immediately terminate this MOU if
at any time it loses funding for or is not then currently employing a MLADC or
LADC.

4. HIPPA Statement. Each Party hereby represents and warrants to the other Party it that it
shali comply with the requirements of the Federal Health Insurance Portability and
Accountability Act of 1996 (“HIPPA”), the Health Information Technology for
Economic and Clinical Health Act of 2009 (“HITECH”), 42C.F.R. Part 2, and the NH
state confidentiality laws, each as may be amended from time to time. The Parties have
independent knowledge of the requirement of these laws and their obligations under
them. Moreover, contemporaneously with the execution of this MOU related to quality
and other ongoing performance measures, Revive shall execute the City’s standard
Business Associate Agreement, which shall be incorporated into this agreement by
reference. City at its sole discretion, shall have the opinion to terminate this agreement
immediately with written notice to Revive in the event of a breach of this representation
and warranty.

5. Insurance. During the term of this MOU, Revive shall maintain in full force and effect
insurance in such amounts and with such limits of liability and covering risk of the type
normally insured against by other entities in the same line of business as such party,
including but not limited to (i) Worker’s Compensation and Employer’s Liability
Insurance coverage as required by applicable law; and (i1) commercial general liability
insurance and professional liability, including so-called tail insurance coverage, if
applicable, with limits of at least $1,000,000 per occurrence and at least $3,000,000 in the
ageregate with an insurer qualified to do business in the state and having a Best Rate of A
or better. Upon request of City of Nashua, Revive shall provide evidence of such
insurance.

6. Indemnification. Revive agrees to indemnify, defend, and hold harmless City from and
against all costs, losses, claims, expenses (including reasonable attorney fees), and
liabilities which City may incur as a result of Revive’s, or one of its Peer Recovery
Coach’s or CRSW’s, negligence, including omissions, breach of this MOU, or failure to
perform services in the manner required by law or local practice. City agrees to
indemnify, defend, and hold harmless Revive from and against all costs, losses, claims,
and expenses (including reasonable attorney fees) and liabilities which Revive may incur
as a result of City’s negligence, including omissions, breach of this MOU, or failure to
perform its obligations set or hereunder in the manner required.

7. Miscellaneous.

a. Inno event shall this MOU be construed as establishing a partnership, joint
venture, agency, or similar relationship between the Parties hereto, and nothing
herein contained shall be construed to authorize either Party to act as an agent for
the other Party. Revive will work independently and will not receive training or
direction from City. Revive will assume full responsibility for the compliance will
all applicable laws.

b. Each Party represents and warrants that is has the right, authority, and power to
enter into this MOU.

The laws of the State of New Hampshire, without regard to the conflicts of law
principles thereof, shall govern the validity, construction, enforcement, and
interpretation of this MOU.

. This MOU embodies the entire agreement between the Parties and supersedes all
prior agreement and understandings, if any, relating to the subject matter hereof;
and this MOU may be amended only by an instrument in writing executed by
each of the Parties hereto. It may be executed in counterparts.

This MOU imay not be assigned by either Party without the prior written consent
of the other Party

The waiver by either Party of a breach of any provision of this MOU shall not
operate or be constructed as a waiver of any subsequent breach by such Party.

If any provision of this MOU, or the application thereof to any person or
circumstance, is held to be illegal, invalid, or unenforceable for any reason, such
illegality, invalidity, or unenforceability shall not affect any other provision of
this MOU that can be given effect in the absence of the illegal, invalid, or
unenforceable provision. To this end, all provisions of this MOU are declared to
be severable.

All notices, requests, demands, and other communications requires or permitted
hereunder shall be in writing and shall be deemed to have been duly given (1)
when received by the Party to whom directed; or (ii) when deposited in the United
States mail when sent by certified or registered mail, postage prepaid to the
following addresses (or at such other addresses as shall be given in writing by
either party to the other):

Any claim or action brought relating to this MOU, the work performed or

contracted to be performed thereunder, or referable in anyway thereto shall be
brought in Hillsborough County (New Hampshire) Superior Court Southern
Judicial District or in the New Hampshire 9th Circuit Court—Nashua and not
elsewhere.
