CLIENT RESPONSIBILITIES

e The City of Nashua will perform a database search of the New Hampshire Department of
Environmental Services (NHDES) OneStop Data Geographic Information for presence of
known hazardous waste sites in the vicinity of the project.

* Prepare a project summary letter which can be mailed to abutters and other interested
parties prior to the project Local Concerns Meeting.

« Prepare the “Advertisement for Bids” and advertise the project for construction.

« Distribute sets of contract documents to the NHDOT, Client, prospective bidders and
construction reporting agencies; and maintain records of prospective bidders and bid
documents issued.

e Prepare Notice of Award and issue to the Contractor.

e Prepare and distribute Agreement between Client and Contractor.

Dear Mr. James:

Thank you for the opportunity to submit the following scope and fee to provide historic property consulting services to
Hoyle Tanner & Associates, Inc. (HTA) in support of the above referenced project HTA is performing for the City of

Nashua, NH (City).

Scope: This work consists of preparation of a New Hampshire Division of Historical Resources (DHR) Request for
Project Review Form (RPR Form) for the Pedestrian/Bicycle Bridge over Nashua Canal Project in Nashua for which
HTA will be preparing project plans. Preparation of the RPR Form will be in accordance with the RPR Instructions for
Transportation Projects as currently posted on the DHR website. It is understood that HTA will provide HDC with the
project plans and other project information to facilitate this work to avoid redundant effort. In general, RPR Form
preparation work includes the following:

« Determine and map geographical Area of Potential Effects (APE).

e Conduct DHR file review for already-identified historic properties within or adjacent to the APE.

e Conduct research to identify the age of properties within the APE.

¢ Conduct a field inspection and photography of project APE including all buildings and structures (bridges, stone
walls, etc.), objects, historic districts, and landscapes.
Compile research, field data, and photos in required RPR formats.
Prepare RPR Form with all required information and attachments for submission to DHR.
e Attend meetings with Project Consulting Parties to review RPR findings and recommendations, if required.

Staffing: All work and work products will be conducted and prepared by Richard Casella. Casella meets the Secretary
of the Interior’s Professional Qualifications Standards for Historic Preservation Consultants (36CFR61).

Fee: Cost plus fee $4,374.38. Please see attached Fee Detail.
Schedule: Work will be completed within 10 weeks following Contract and Notice to Proceed (NTP)

Dear Mr. James:

TES Environmental Consultants, L.L.C. (TES) is pleased to submit to you this proposal for wetland
delineation and related services associated with the proposed trail and pedestrian bridge associated with
the Nashua Mine Falls Trail Project off of Ledge Street in the City of Nashua. The specific services to
be provided are identified in the following list, consolidated from the required services list provided by
you in an e-mail communication dated May 14, 2016. These services relate to the survey request area
identified on an aerial photograph that you provided along with the list of required services.

1. Delineate wetlands within the project area; provide a sketch of the flagged wetland boundaries to
Hoyle, Tanner & Associates, Inc. (HTA) to guide the field survey; and stamp and sign plans as
Certified Wetland Scientist.

2. Prepare and submit to HTA a letter report on the wetland delineation methodology, the U.S. Fish
and Wildlife Service classification of the wetlands, the vegetation present in the wetlands, a
qualitative description of the functions and values of the wetlands using U.S. Army Corps of
Engineers methodology (a full functional evaluation is assumed to not be necessary for a project
of the modest scale of this proposed trail and pedestrian bridge), identification and description of
any vernal pools within or adjacent to the survey area, and representative photographs of all
wetlands and vernal pools within the survey area.

3. Assess the project survey limits for the presence of invasive species of vegetation identified in
the NH DOT Best Management Practices for Roadside Invasivd Plants; provide a letter report
describing the invasive species present (if any); and provide recommendations for appropriate
method(s) of their control.

The budget for this scope of work will be a not-to-exceed fee of $1,200.00. I am prepared to complete
the field portion of the project by May 25, 2016. Thank you for the opportunity to provide this proposal

Dear Mr. James:

Miller Engineering & Testing, Inc. is pleased to submit this proposal for consideration to

perform a subsurface investigation for the Heritage Trail to Mine Falls Pedestrian Bridge located

in Nashua, New Hampshire.

It is our understanding that the subsurface investigation will consist of two (2) test borings at the
proposed bridge location. The test borings will be advanced to depths of 50-feet. Locations of
the test borings shall be marked in the field by Hoyle Tanner & Associates, ME&T will notify

Dig Safe for underground utility clearance.

The borings will be performed in accordance with the following:

* Standard Penetration Tests (SPT) - These tests will be performed using a 1-3/8 inch inside-
diameter split-spoon sampler in conformance with ASTM Designation D-1586.

e Test Interval - SPT will be performed at the ground surface and continuous intervals or strata
changes.

e Depth of explorations -Two (2) test borings will be advanced to depths of 50-feet or refusal.

° Groundwater Elevation - Groundwater measurements will be made at each borehole location
following drilling.

Our services wil! be rendered in a manner consistent with the level of care and skill ordinarily
exercised by members of the National Drilling Contractor’s Association offering drilling services

please be advised that subsurface conditions may vary from those observed at locations where
samples are taken; and also, site conditions may change with time. Interpretations by us are
based solely on and limited by the information available to us and the standards of practice

current at the time and in the locality. We will review the data and make interpretations in

accordance with the standards set forth above.

Thank you for requesting a proposal from our firm, Based on our preliminary research, Doucet Survey,
Inc. is pleased to submit the following proposal for professional land surveying services. The following
proposed survey meets or exceeds the current state land survey standards.

Survey is limited to the approximate 79,500 sq. ft. area outlined in yellow te

on the attached map. Highlighted in blue are approximate locations of
centerline of river and river cross sections that would be surveyed. ;

Perform survey work in accordance with the attached HTA Scope of
Services.

Wetlands related work detailed in section 2 & 3 of said HTA Scope of Services would be
completed by our subcontractor Marc Jacobs, CSC.

Digsafe will not mark underground utilities for surveyors. Included is a line item for
underground utility marking by TMD Services, Epping, NH.

Due to the complexity of researching road records as a result of incomplete, unorganized, inconclusive,
obliterated, or lost documents, there is an inherent uncertainty involved when attempting to determine
the location and width of a roadway right of way. Field survey to locate readily observable
monumentation along the edge of roadway within the survey limits. Research would be limited to
review of current deeds, plans referenced in those deeds, properly indexed by street name and NHDOT
Right of Way Department.

This agreement/letter does not include:
I. Resolution of boundary disputes,
2. Assistance with or participation in any litigation or preparation therefore.
3. Boundary survey of adjacent parcels.

SCHEDULE OF WORK:

Work would begin within three weeks of receipt of signed agreement/letter and the client authorizing
work to begin. The plans resulting from the ground survey would be delivered within two weeks of
commencement of field work.

You would be billed every two weeks. We require a retainer of $0.00 at the signing of this
agreement/letter. Receipt of the signed agreement and retainer will serve as authorization to
begin. The retainer will be applied to our final invoice.

As set forth more fully in Paragraph 2.1 of the General Provisions, payment is due within 30 business days
of Hoyle Tanner & Associates’s receipt of payment from their client. Late fees will be added on past due
invoices at a rate of 1.5% per month (18% annually) and any collection fees shall be passed on to the

client.

This agreement/letter represents the entire understanding between Hoyle Tanner & Associates
and Doucet Survey, Inc. and may be modified only by a writing signed by both parties. If this
agreement/letter, fee schedule and general provisions satisfactorily set forth your understanding
of our agreement, please sign and return it to us with the specified retainer. If authorization to
proceed is not received within 90 days of this agreement/letter, the fees and scheduling of
services described above are subject to change.

Our receipt of this agreement/letter will serve as your acceptance of the terms of the agreement,
fee schedule, and general conditions, and as your authorization to proceed.

GENERAL PROVISIONS

Fees for Surveying Services
Fees for surveying services are based on the rate table detailed in the proposal. Fees for pretrial conferences and expert testimony will be billed at one and
one-half (1,5) times the rates detailed in the proposal.

Reimbursable Expenses

Direct, non-salaty expenses will be billed at our cost plus fifteen (15%) percent for overhead. Reimbursable expenses include:
Transportation and living expenses incurred for assignments outside the Newmarket, New Hampshire area.
Automobile expenses for personal or company vehicles at the current IRS approved mte per mile plus toll charges for travel from our Newmarket
office to the project and return and for travel at the job in conduct of work. Rental cars or trucks.

Long distance telephone calls, telegrams and cables,

Shipping charges for plans, equipment, etc.

Purchase of specialized equipment and rental of equipment from outside vendors.

Photographs and video supplies for project records and reproduction of drawings and reports.

Computer services provided by outside vendors.

Drafting and typing services and other labor provided by outside contract personnel.

Services of Others
On occasion, we engage the specialized services of individual consultants or other companies to participate in a project. When considered necessary, these
firms or other consultants will be used with our approval. The actual cost plus a 15% service charge must be paid prior to release of the consultant’s work.

Permit Fees
Pennit application fees shall be paid directly by the applicant. We will forward all applications to. you for signature and issuance of a check or checks for the

application fee.

2.0 PAYMENT TERMS

Invoices

Invoices for professional surveying services and expenses will be submitted bi-weekly and invoices for Services of Others will be submitted upon our receipt
of Others invoice for services. Payment will be due within thirty (30) days of the client’s receipt of reimbursement from the owner. If CLIENT objects to
all or any portion of an invoice, CLIENT shall notify Doucet Survey, Inc. (hereinafter “DST”) within fifteen (15) calendar days of the invoice date, identify
the cause of disagreement and pay when due, that portion of the invoice not in dispute.

Interest will be added to accounts in arrears at the rate of one and one-half (1.5%) percent per month (18% per annum) or the maximum rate allowed by law,
whichever is less, of the outstanding balance. Interest on late payments will be prorated over any part of the month. CLIENT will reimburse DSI for all
reasonable attomeys’ fees, court costs and expenses incurred pursuing CLIENT for overdue payments.

Payment

If payment is not made within thirty (30) days of the client’s receipt of reimbursement from the owner, we may, after giving seven (7) days written notice,
suspend services under this Agreement until we have been paid in full for services and expense charges. DSI. shall be entitled to apply any retainer funds
against outstanding invoices. If the project is suspended for more than thirty (30) consecutive days DSI shall be compensated for expenses incurred in the
interruption and resumption of its services. Suspension fees shall be in addition to compensation for surveying services under this Agreement and include
expenses directly attributable to the suspension for which we are not otherwise compensated. DSI’s fees for the remaining services and the estimated time
for performance shall be equitably adjusted. In the event of suspension of service, DSI will have no liability to CLIENT for delays caused by such
suspension.

3.0 ON-SITE CONSTRUCTION SERVICES

Job Site Safety

The General Contractor will be solely and completely responsible for working conditions on the job site, including safety of all persons and property during
the performance of the work and compliance with all applicable safety laws, codes, regulations, and requirements. These requirements will apply
continuously and not be limited to normal working hours. Neither the professional services of DSI, nor the presence of DSI or its employees and
subconsultants at a construction/project site shall impose any duty on DSI, nor relieve the General Contractor or Owner of their obligations, duties and
responsibilities including, but not limited to, construction means, methods, sequence, techniques, or procedures necessary for performing, superintending,
overseeing, managing and coordinating all aspects of the Work in accordance with the project documents and any health and safety precautions, laws, codes,
Tegulations, and requirements. DSI, and its subconsultants and employees, have no authority to exercise any control over any construction contractor or its
employees in connection with their work or any health or safety programs or procedures, The CLIENT agrees that the General Contractor shall be solely
responsible for jobsite and worker safety and warrants that this intent shall be carried out in the CLIENT’s contract with the General Contractor. The
CLIENT also agrees that the General Contractor shall defend and indemnify the CLIENT, DSI, and the employees and subconsultants of DSI. The CLIENT
also agrees that the CLIENT, DSI, and its employees and subconsultants, shall be made additional insured’s under the General Contractor’s policies of

general liability insurance,

4.2

Rights of Entry
Unless otherwise agreed, CLIENT will furnish written right of entry on the land from the record owner for DSI to make the planned investigations. We will

take reasonable precautions to minimize damage to the land from our operations, but have not included in our fee the cost of restoration of damage that may
result from our operations. Any expense associated with damage restoration will be borne by the CLIENT.

Client to Obtain all Required Notices, Permits and Licenses
