28. THIRD PARTY INTERESTS AND LIABILITIES. The City and Service Provider, including
any of their respective agents or employees, shall not be liable to third parties for any act or
omission of the other party. This contract is not intended to create any rights, powers, or interest
in any third party and this agreement is entered into for the exclusive benefit of the City and
Service Provider.

29, SURVIVAL OF RIGHTS AND OBLIGATIONS. The rights and obligations of the parties that
by their nature survive termination or completion of this contract shall remain in full force and
effect.

30. SEVERABILITY. In the event that any provision of this contract is rendered invalid or
unenforceable by any valid act of Congress or of the New Hampshire legislature or any court of
competent jurisdiction, or is found to be in violation of state statutes or regulations, the invalidity
or unenforceability of any particular provision of this contract shall not affect any other
provision, the contract shall be construed as if such invalid or unenforceable provisions were
omitted, and the parties may renegotiate the invalid or unenforceable provisions for sole purpose
of rectifying the invalidity or unenforceability.

31. | MODIFICATION OF CONTRACT AND ENTIRE AGREEMENT. This contract constitutes the
entire contract between the City and Service Provider. The parties shall not be bound by or be
liable for any statement, representation, promise, inducement, or understanding of any kind or
nature not set forth in this contract. No changes, amendments, or modifications of any terms or
conditions of the contract shall be valid unless reduced to writing and signed by both parties.

32. CHOICE OF LAW AND VENUE. This contract shall be governed exclusively by the laws
of the State of New Hampshire and any litigation shall be brought in a court located in the State
of New Hampshire.

purchase is manufactured by only one company.

The Radio Systems Manager and the Purchasing Department recommend awarding this purchase in an
amount of $505,899 to Motorola Solutions Inc. of Chicago, IL.

Mr. Kooken,

Pursuant to NRO Sec 5-84 (A)(4), Special purchasing procedures for sole-source
procurements, a quotation dated on March 15,2018 was solicited from the Motorola
Solutions, Inc to purchase a compatible radio communications equipment for the
Manchester/Nashua Redundant Radio Communications Center located at the Manchester
Boston Regional Airport. A copy of the quote and contract has been submitted, reviewed
and approved by City Attorney Steve Bolton, the Radio Committee and representatives of
the City of Manchester and is attached for your review.

This proposal includes radio communications equipment and installation services and has
been quoted utilizing the Massachusetts State Contract ITT 57, which provides larger
discounts than the State of NH Contract.

I would ask that you review the attached proposal and approve the sole source request to
Motorola Solutions Inc. totaling $505,899.00.

Funding is available in Citywide Communications Capital Projects accounts
57.3040 81300 57.1003.18.01 81300

Motorola Solutions, Inc. (Motorola Solutions) appreciates the opportunity to provide the The Nashua/Manchester,
NH Dispatch Center quality communications equipment and services. Motorola Solutions’ project team has taken
great care to propose a solution to address your needs and provide exceptional value.

Our solution combines hardware, software and services to fully meet the requirements of building out an Emergency
Back-Up Dispatch Center for the City's of Nashua and Manchester, NH. Our response includes “missicn critical”
components that will ensure a seamless integration and cutover to the new system te be located at the Manchester
Airport. The proposed solution consists of Motorola’s K2 CORE, MCC7508e Consoles, and Control Station Radios
which will allow for communication between the back up EOC and Nashua and Manchester's radio systems.

This proposal is subject to the terms and conditions of the existing contract between The Nashua/Manchester, NH
Dispatch Center and Motorela Solutions, dated March 15th, 2018 and shall remain valid for a period of 90 days from

(IV&D) to provide secure, reliable communications for The Nashua/Manchester, NH Dispatch Center. Installed
worldwide, ASTRO 25 solutions meet and exceed IV&D requirements for day-to-day operations, as well as
emergency response in the most demanding situations. ASTRO 25 provides a wireless platform that combines
uncompromising, real-world performance and the legendary reliability of Motorola Solutions.

ASTRO offers a Project 25, standards-based Internet Protocol (IP) solution with a flexible, modular network. ASTRO
25 can adapt to accommodate additional users, increased geographic coverage, enhanced data applications, and
connectivity to other networks—all to ensure an efficient and cost-effective solution for decades to come.

ASTRO 25 provides advanced call processing capabilities designed to meet the needs
of public safety. When an emergency involves multiple agencies, first responders can
share voice and data communication among their teams. In addition, centralized
command and control can deploy resources efficiently, maintain communication
security, and track personnel effectively.

7 | PROVIDING CONTINUED Using Project 25 standards.

Providing continued communications is paramount in the

ASTRO 25 system design. In the rare event of a device

failure, limited communications continue until the failure is

resolved and full communications are restored. If console

communications are lost, radio users will be able to iievadinte voice

communicate with other radio users through the Base wher itis needed most

Radio's repeat functionality. If a Base Radio experiences a

failure, the radio users on this channel can either switch to

another repeater channel, or revert to a pre-programmed simplex “Talk Around" channel that provides direct "Radio to
Radio” single-frequency communication.

1.2 SECURING YOUR OPERATIONS

Today's digital world is an evolving landscape, where mission-critical communication system operations face
increasing cyber threats. To safeguard the overall risk posture of the ASTRO 25 system, Motorola Solutions
institutionalized rigorous governance and oversight framework comprised of disciplines addressing applicable
technical, management, and operational security controls. The framework is diligently exercised throughout the
product's development, implementation, and operational support life cycies.

The Motorola Solutions ASTRO 25 IP platform offers powerful features |
that enhance your organization's ability to prevent, detect, and respond to ©
external and intemal threats.

In addition to system-level security capabilities, Motorola Solutions also has a robust set of cybersecurity service
standards that enhance and provide continuity for customer system security:

* Router Access Control Lists (ACLs) — Motorola Solutions employs ACLs te filter traffic at core, exit, gateway,
and site routers to ensure that only authorized traffic can transverse the network.

¢ Ethernet Switch Port Security — Ethernet Switch Port Security provides an additional layer of security at the
physical location of the equipment by preventing unauthorized access to the system through the ports ona
network switch.

° Secure Network Management — Secure Network Management utilizes the inherent authentication and
encryption capabilities of SNMPv3 to secure the traffic between the network managers and SNMPV3
enabled elements.

* Secure Software Download (SWDL)-— Secure SWDL ensures that transfer operations are authenticated
and encrypted, based on the Secure File-Transfer Protocol (SFTP), making it difficult for transmission to be
intercepted through unauthorized access.

1.3 PROTECTING YOUR COMMUNICATIONS

When secure communications are critical, radio systems can be configured with encryption. Encryption ensures only
authorized units in the system can listen to transmissions being made. Encrypted calls are protected end-to-end
throughout the network.

Secure Voice gives customers the security of end-to-end audio encryption for
conventional calls. Secure Voice provides two-level security for radios or consoles
to transmit and receive digitally protected (encrypted) audio. Both a standard or
proprietary encryption algorithm and a Common Key Reference (CKR) combine to
protect your communications.

Secure Voice offers the flexibility of manual or automatic selection of CKRs, as well as individual CKR or group CKR
(keyset) activation. Use of keysets allows console operators to switch between two keysets to enhance security
without disrupting communications.

From the console position, the Momentary Override feature allows the operator to quickly, but temporarily, override
the current transmission mode (clear or secure) and the currently selected encryption key of a channel resource.

1.4 ENSURING FAST, RELIABLE ALERTS

Through the Emergency Alarm and Emergency Call features, a user can quickly inform dispatch personnel of a life-
threatening situation. A simple press of the radio's emergency alarm button sends an audible and visible alarm and
the user's ID to the dispatcher and, potentially, other talkgroup members. The dispatch center receives immediate
notification, even when the system is busy, and an available channel is assigned immediately to the emergency call.
By using the control channel, the Call Alert feature allows a dispatcher or radio user to page another dispatch
position or individual radio without affecting voice channel capacity. Call Alert sounds a tone on the receiving radio,
if not in a voice call, and returns an acknowledgement to the initiating radio. A receiving unit with a display shows
and siores the sending unit's ID.

1.5 EMPOWERING CONSOLE OPERATORS

The ASTRO 25 conventional system empowers the console operator with the capabilities needed to control and
improve communications, as well as command base stations or other devices. The console operator's abilities
include the following actions:

e Choose mode or channel.

e Control the squelch on conventicnal resources so that all voice activity is heard.
® — Enable communications with a subset of radios on a frequency.

* Mute talkaround conversations from being heard at the console.
