STANDARD TERMS AND CONDITONS

The following are the standard terms and conditions of sale for Donnegan Systems, Inc., and will nec-
essarily be made part of any contract resulting from this proposal.

DELIVERY (Dock, Elevator and Dumpster):

Donnegan Systems, Inc. will notify your designated contact person twenty-four (24) hours prior to
delivery. Dock space and/or elevator availability will be arranged by you and made available at no
cost to Donnegan Systems, Inc. A dumpster for removal of all shipping and packing materials will
be provided at no charge to Donnegan Systems, Inc. the dumpster must be conveniently located and
easily accessible at all times during the installation of the equipment.

STORAGE:
lf, for any reason, you are not ready to receive the materials and storage is required, storage and han-
dling fees will be added to your invoice.

SPACE REQUIREMENTS:

The space shall be ready for installation and free and clear of all obstructions. If it is not and there
is a resulting delay, then the additional person-hours will be billed. The space shall be adequately
lit. If additional lighting is required to perform the work safely, the additional cost will be invoiced.
It is your responsibility to be certain the space is suitable for the installation of this equipment, |.e.,
adequate fire protection, clearances, and floor load capacity.

FIRE CODE:
It is the customer’s responsibility to verify that the shelving system height Is verified on-site prior to
placing the purchase order to ensure that proper clearance is maintained.

FREIGHT:

Due to volatility in freight charges, the shipping cost provided on this quote is an ESTIMATE only.
Freight costs and the number of truckloads may change. The actual freight cost will be charged at
the time of shipment OR on the final invoice. This estimate assumes the product ships in an enclosed
van. The freight estimate does NOT include flatbed truck, special equipment, special skidding, or
packaging unless the customer specifies at the time of the quote request. Additional charges such
as detention fees, re-consignment, refusal/re-delivery, and other unforeseen carrier charges will be
added to final freight billing. Shipping and delivery dates are approximate and are not a guarantee of
shipment or delivery on any particular date. Time shall not be of the essence of the contract. Seller
shall not be liable for delays in or failures of delivery due to strikes or labor troubles, supplier’s delays,
accidents, fire, flood, acts of God, action by a governmental authority, changes requested by Buyer,

Dear Members of the Board of the Alderman and Infrastructure Committee:

My wife and I support outdoor dining in Nashua but are opposed to
continuation of use of jersey barriers and 2-lane only traffic flow on Main
Street, Nashua in order to expand outdoor dining permanently or for any
further, extended period of time. While use of the barriers and limiting traffic
to a 2-lane flow on Main Street in order to accommodate expanded outdoor
dining may have been appropriate for temporary use during the pandemic, it
is no longer the case and should not be continued in 2002 or beyond.

Nashua has considered creating a 2-lane Main Street more than once since we
moved to the City in 1991, and has properly rejected the idea for reasons that
still apply today. I would very much like to see Nashua have a downtown like
those that exist on Manchester or Concord NH. But downtown Nashua is not
like the downtown areas of Manchester or Concord where 2-lane only traffic
patterns have been successfully implemented. Nashua’s geography and it’s
limited river crossings significantly constrains traffic and funnels much of the
City’s north-south traffic onto Main Street. Conversely, Manchester and
Concord’s geographic and roadway layouts permit the diversion of traffic
otherwise headed into their 2-lane downtown areas onto the numerous side
streets that run parallel to Elm Street in Manchester and Main Street in
Concord. Due to the river crossings in Nashua, north-south traffic cannot be
diverted easily or at all onto streets running parallel to Nashua’s Main Street
or cannot be diverted unless traffic first travels over parts of Main Street. Even
if the traffic could be sufficiently diverted away from our City’s Main Street,
Nashua simply does not have side streets adjacent to Main Street with the
capacity to handle significant traffic flow like the side streets that exist and
run parallel to the 2-lane downtowns in Concord and Manchester.

The next issue is parking. The 2-lane downtowns in Concord and Manchester
utilize head-in parking and not parallel parking. It would appear that Nashua’s
proposal utilizes parallel parking only, to the extent any parking whatsoever
on Main Street will be permitted under the Nashua proposal. Parking is
already at a premium in downtown Nashua. Expanding outdoor dining
permanently or for an extended period of time will only make parking in the
downtown area more difficult.

In addition, continuation of 2 lane traffic flow and use of barriers to
perpetuate expansion of dining areas into parking spots and traffic lanes on
Main Street is patently unfair to non-restaurant businesses located on Main
Street as well as to the customers of those businesses. Frankly, my wife and |
have learned to live without shopping downtown Nashua since the barriers
first went up and traffic flow was reduced to 2-lanes only on Main Street. For
example, we used to obtain compound meds for our pets from Wingates
Pharmacy on Main Street but switched to another pharmacy in the south end
of the City when it became difficult to travel into and through downtown
Nashua when barriers were erected during the pandemic. I am also aware and
have heard comments from elderly and disabled patrons of downtown Nashua
who cannot park close enough or walk far enough to frequent businesses
downtown that they have used historically.

Finally, it is concerning that a select number of businesses (i.e. restaurants
and bars) seem to be singled out for favorable treatment by the City when
non-restaurant downtown businesses do not receive benefits from the
proposal to continue expanded outdoor dining. In fact, non-restaurant
businesses are actually being harmed by expanded outdoor dining given the
comments by those businesses on the City’s proposal. My understanding is
that downtown sidewalks were expanded in order to accommodate outdoor
dining or increased outdoor dining when Mayor Lozeau’s administration
rebuilt the downtown sidewalks. So, restaurants have already been afforded
permanent changes that benefit their business operations. It simply is not
equitable for one group of businesses to bear the brunt of reduced parking
and traffic flow on Main Street that will result from the current proposal so
another group of businesses can benefit.

For the above reasons, Nashua has consistently and rightly rejected the
permanent or long-standing implementation of a 2-lane traffic flow pattern on
Main Street for the past 30+ years and should continue to do so at this time.
We urge the Infrastructure Committee and full BOA to reject this unfair and
poorly-conceived proposal. Thank you.

lam a lifelong Nashua resident writing to you against the downtown barriers. | have lived on Lawndale Ave, Main St,
Whitney St, Hills Ferry Road and am currently on Webster St. | avoid downtown now, when the barriers are in place. |
have stopped using Bar Harbor Bank in favor of a bank on Amherst St. | have stopped using Main St in general when the
barriers are up, therefore not passing businesses | used to patronize. The barriers impede parking and traffic to aid a
few restaurants. We all want local businesses to succeed but to vote for barriers under the guise of “It will increase foot
traffic” is 100% incorrect. All 4 individuals in my family now avoid Main St. when the barriers are in place. We now use
the highway and BSP, | am sure we are not the only family doing this.

Dear Alderman,

Outdoor Dining is an absolute must!

My wife is confined to a wheel chair. We have found that dining outdoors is more accessible and more comfortable for
her than dining indoors.

To me it makes downtown more alive. It makes downtown a destination not just a bunch of buildings to drive by.
People walking around, socializing, dining, shopping, is what is continually needed to make downtown vibrant.
My wife and | are all for Outdoor Dining.

To the BOA:
1 am personally in favor of reinstalling the barriers downtown.

I understand the concerns of other businesses that are adversely affected by the lack of parking and
accessibility to their downtown businesses.

I do not profess to be a city planner, but perhaps during the months that the barriers are in place there could be
a negotiated compromise on parking fees and a temporary halt to the issuing of parking violations, to make
parking more accessible to appease the non-hospitality downtown businesses. Also, better signage directing
people to the town garages could help as well.

On a similar but unrelated parking matter, I have always found it to be unfair that there are only paid parking
spaces near the "free" Public Library. This seems to me to be a contradiction. Allowing free access to the
library seems to be the intended spirit of the Free library system. I personally know people who choose not to
use this resource because of the paid parking situation.

A change in parking fees & enforcement along with the reinstatement of outdoor dining spaces would assist the
downtown in becoming a more vibrant place, and especially with the building of the performing arts center
especially, I think that removing some of the parking restrictions in place currently regarding parking will serve
the town in the long run, perhaps better than the short term gains from parking revenue.
