Dear Bill:

As requested, we are pleased to offer our quote for the above referenced project.

Our firm has trained engineers and programmers very familiar with the proposed work
at your plant. Recently we have completed similar projects at the Merrimack WWTF,
Pennichuck WTF and the Manchester WWTF. All the projects mentioned were
completed seamlessly with no interruption of plant functionality. Rob Robinson and Fred
McNeill at Manchester can attest to the work we have done for them if you require any
references. We are also the systems integrator for the city of Portsmouth on the Peirce
Island project and various other projects in and about the town.

Off site tasks

Produce SCADA and network diagrams

Produce I/O list for FAT & ORT testing

Review instrument list

Setup and configure SCADA servers, clients and historian server

Setup and register a domain for the WWTF

Install & test software on to SCADA PC’S

Total lump sum cost including labor, travel and misc. materials $114,000.00

We have included in the above pricing, one year’s software and programming support of
the existing system. Any new programming for additional functionality or new equipment
would be billed at our standard programmer rate of $120.00/mh. We also can provide
additional maintenance services on a contract or as needed basis. For example the
Manchester plant prefers as needed and the yearly billing is typically less than
$9,000.00, labor and materials, depending on the level of support required.

Pursuant to NRO § 5-83 Professional Services (A) In the purchase of accounting, architectural, auditing,
engineering, legal, medical and ambulance services and purchases of independent professional
consultant services for personnel, data processing, actuarial, planning, management and other
comparable purchases competitive bidding shall not be required.

The Superintendent Wastewater Department, the Board of Public Works (2/8/2018 meeting) and the
Purchasing Department recommend the award for this contract in the amount of $221,875 to Wright-
Pierce of Portsmouth, NH.

Primary Clarifier Upgrades — Final Design Phase

To approve Amendment | to the contract to Wright Pierce for professional
services for the final design and bidding phase services for upgrades to the
NWTF primary clarifier in an amount not to exceed $221,875. Funding will
be through: Department: 169 - Wastewater; Fund: SRF Loan; Activity:
Primary Tank Upgrades.

Wright Pierce Sample Contract, Work Scope and Cost Proposal

There are 5 primary clarifiers at the wastewater treatment facility that were last
upgraded in 2006. Wright Pierce was originally hired to evaluate the condition
of the tanks in February of 2017. They performed an extensive evaluation of
all components of the primary tank operations and submitted to the Wastewater
Department a Draft Preliminary Design Report (PDR) in January 2018. The
PDR is being reviewed by the Wastewater Department but it has provided a
defined scope from which Wright Pierce can proceed into the final design and
bidding phase.

Wright Pierce has proposed extensive upgrades to the existing primary tanks to
make the operation more reliable and less labor extensive. The proposed
upgrades include new chain and flights to improve the collection of the settled
primary sludge, creation of sludge hoppers where collected sludge will
concentrate, additional opening in the grease channel to allow for improved
grease flow thru the tanks to the collector near the outfall of each tank,
electrical, structural, odor control and other upgrades as well.

Wright Pierce has estimated it will take 5 months to complete the preliminary
design. Following completion of the final plans, the project will go for bid
which can typically take 2 months before selecting a qualified low bid
contactor.

The cost proposal has been reviewed and negotiated upon with Wright Pierce.
Their costs are reasonable and are approximately 8.8% of the estimated
construction cost of $3.6 million. Design costs in the range of 8 to 9% of
construction costs are considered reasonable for a project of this size.

AMENDMENT NO. 1
TO
ENGINEERING DESIGN PHASE
CONTRACT FOR PROFESSIONAL SERVICES

BETWEEN
CITY OF NASHUA
AND
WRIGHT-PIERCE

FOR
PRIMARY TANKS UPGRADES
DATED APRIL 20, 2017

This AMENDMENT No. 1, dated is attached to and made part of the
CONTRACT between the City of Nashua, New Hampshire (hereinafter called OWNER) and
Wright-Pierce (hereinafter called ENGINEER), dated April 20, 2017, for Professional Engineering
Design Phase Services.

WHEREAS, the OWNER would like to proceed with final design and bidding services for the Primary
Tank Upgrades based on the Preliminary Design Report prepared by ENGINEER dated January 5,
2018.

NOW, THEREFORE, in consideration of said AGREEMENT and other good and valuable
considerations, it is hereby agreed and acknowledged by and between OWNER and ENGINEER to
amend the AGREEMENT as follows:

1. The AGREEMENT shall be amended to include this Amendment, a copy of which shall be
attached thereto and made a part thereof.

2. In Exhibit A — Scope of Services, the draft Scope of Work for Task IIT — Final Design for
Primary Tank Upgrade and Task III — Bidding Phase Services shall be deleted in entirety from
the end of Task I — Prepare Preliminary Design Report for Primary Tank Upgrade. The
attached Exhibit A-1 shall be added to the end (at end of Task I — Prepare Preliminary Design
Report for Primary Tank Upgrade).

3. Compensation will be in accordance with Section IV of the original agreement except as
modified below:

A. Delete Paragraph IV.A.2A. in entirety and replace as follows:

“2A. The OWNER agrees to pay and the ENGINEER agrees to accept for all services
under Exhibit A-1, Task Il — Final Design, a fee not to exceed

Two-hundred-seven-thousand, four-hundred Dollars

($207,400.00).

EXHIBIT A-1: SCOPE OF SERVICES

I. Final Design for Primary Tank Upgrade

After acceptance by OWNER of the Preliminary Design documents and revised Construction
Cost estimate in the draft Preliminary Design Report dated January 5, 2018, and indication of
any specific modifications or changes in the scope of the Project desired by OWNER, and
upon written authorization from OWNER, ENGINEER shall:

A.

Amendment #1

Permitting, Codes, Regulatory Buy-in

Discuss building code requirements with authority having jurisdiction, and discuss
and obtain permissions from DIVISION for any sole-sourcing of equipment on the
project.

60% Completion Plans, Contract Documents and Cost Estimates

Based on the agreed upon preliminary design documents for the primary tank upgrade
and appurtenances, ENGINEER shall proceed to develop 60% design plans,
specifications, and bidding document. Provide a progress printing with five (5)
copies of the preliminary plans submitted to the OWNER for review and comment.
Hold a review meeting to discuss issues requirig OWNER input.

96% Completion Plans, Contract Documents and Cost Estimates

Following the review meeting, ENGINEER shall proceed with the 90% design plans,

specifications, and bidding documents as well as to prepare an updated estimate of

construction cost. Submit five (5) copies of these plans, specifications and bidding

documents to OWNER for review and comment. Advise OWNER of any adjustments

to the Construction Cost Estimate as a result of changes in scope of the Project.

1. Meet with OWNER to discuss comments on 90% documents and provide
written response to all comments received to the satisfaction of the OWNER.

2. ENGINER shall submit three (3) copies of the 90% plans, contract documents
and estimates to the DIVISION for their review. All comments from
DIVISION shall be incorporated into the documents with a written response
on how it was addressed.

3. The 90% documents shall be submitted to the OWNER within 160 days of the

OWNER’s Notice to Proceed with Task II.

Final Plans, Contract Documents and Cost Estimates

Upon the OWNER’s and DIVISION’s acceptance of the 90% plans and contract
documents as adequately completed, the ENGINEER shall proceed with the final,
bid-ready design plans, specifications and estimates for construction costs, revised to
address the comments from the draft reviews. The submittal shall be ready to be
