A regular meeting of the Board of Aldermen was held Tuesday, January 9, 2018, at 7:30 p.m. in the
Aldermanic Chamber.

President Brian S. McCarthy presided; City Clerk Patricia Piecuch recorded.

Prayer was offered by City Clerk Patricia Piecuch; Alderwoman-at-Large Lori Wilshire led in the Pledge to the
Flag.

The roll call was taken, with 15 members of the Board of Aldermen present.
His Honor, Mayor Jim Donchess, and Corporation Counsel Steven A. Bolton were also in attendance.
REMARKS BY THE MAYOR

First of all, we had our inauguration a couple days ago and | thought the ceremony went really well. | want to
thank the Inauguration Committee, the committee that organized it, as well as the City Clerk. So, welcome
again. We are really happy to have you. It’s really interesting to see all the new seating arrangements and all
the new faces. | think it will be an interesting and productive term.

Tomorrow morning, I’m holding the Coffee with the Mayor at jajaBelles at 8:00 a.m. if anybody would like to get
up early and attend. You're all, of course, welcome. We will be scheduling Town Hall meetings in each of the
wards over the next few months, so we'll be in touch about that as well.

The week or 10 days, we’ve had a couple of storms, neither easy to handle. There was the ice storm, those
are always difficult even though the depth is not as great as it can be; the ice is more difficult than snow really.
And then, we had 12-14” of snow this past weekend. So the Department of Public Works is still cleaning up;
there are some places where there are sight line problems and they'll be addressing those, and continue to
clean up as time goes on. If you have specific questions or things you think should be handled, please don’t
hesitate to call or contact Lisa Fauteux or me about anything in any of the neighborhoods.

Finally, Mr. President, | wanted to mention the passing of Judy Berman who | think some people know. She’s
not been active in city government for quite a while, but she served, | believe, two terms on the school board,
and also two terms as a Ward 2 Alderman. She was Vice President of Berman Real Estate, which she owned
with her husband, Dick Berman. She was active in everything: the Rotaries and many charitable organizations.
Ms. Berman was a very prominent realtor for many years. It is sad to see that she has passed away, and | just
wanted to give my condolences to Dick and her surviving family members, and just wish them the best.

I’m here to discuss the Performing Arts Center. |’m a little bit surprised, and | shouldn’t be surprised, that this
would be one of the first things on the agenda for the new year, but | am. Given the fact that on the election
there was a nonbinding referendum, and it only passed by 155 votes. Given the fact that this is a city of 57,057
voters in the election and we didn’t even have that many come out to vote; only like 18.81% came out to vote.
So that really isn’t a landslide, to say that we really need to spend $15.5 million on this building.

I’m a little bit concerned. I’m concerned because our taxes went up 2.88% this past year, and that was only
because we used 7.1%, | believe, surplus money. What would the real cost of our taxes have been if we didn’t
use that surplus money to put down on the tax rate? People think that Nashua is thriving like the rest of the
country. Yeah, it was fine to feel a little bit more movement in this country, but if we have high taxes, who is
going to really want to come to Nashua? In the school district, we have two buildings that are in deplorable
condition. So we learned about last year when we found out that we wanted to buy Alec’s Shoe Store old
building. What are we going to do with that? That’s over $10 million worth of building repairs. Where is our
priority? Is our priority in a Performing Arts Center? Where’s our priority in our children in this city, because we
always pit the kids against every project. But let’s be honest here: The kids are our future; the Performing Arts
Center is not going to get the books in the classroom to kids that need it. It’s not going to correct things in
these schools if you’re bonding $15.5 million.

Mr. Joe Johnson logs a lot on the Telegraph, and | read it sometimes. | don’t have time to do all this anymore.
Life goes on when you leave the Board of Aldermen. You only come in for important things, and | wasn’t even
coming in for this tonight. | was coming in because of lack of snow plowing in the city and the quality of
services went down between the 23” and the 25", of these storms this year, which I'll discuss later on because
that’s not on the agenda. But I'd like to read a little bit of wnat he said here. “It is beyond irresponsible for city
Officials to consider buying Alec’s Shoe Store building, unless and until an inspection report on the building has
been obtained and reviewed. This article makes no reference to any such report. After the Burke Street fiasco,
where renovations turned out to be a multiple of estimates, it could only be presumed that city officials are

incapable of judging a building’s suitability for desired use, and b), the project cost for Alec’s building or
similarity off base.”

In regard to the Burke Street property, Mayor Donchess recently said, “Once we started looking at it in more
detail, we learned that it was going to cost considerably more than $10-15 million.” [Nashua Telegraph, 1
August] When buying property, reasonable, prudent folks hire an inspector to prepare a written report. You
wouldn’t buy a house unless you have an inspector these days because you don’t want to walk into a money
pit. | don’t know if anybody saw that movie many years ago, The Money Pit, but that’s what happens. And we
don’t have a money pit: we don’t have a lot of money in this city, on taxpayers’ dollars. The goal is to avoid
post-purchase surprises, the hidden problems that would be costly to fix. This due diligence should be part of
the City’s standing operating procedures, rather than spending money on an option to buy, which would make
sense only if the building was likely to sell quickly. The city should get an inspector’s report, actually, an
independent inspector's report, not somebody from the city. It always has to be independent, so we always
have, in my opinion, clean hands.

The Alec’s Shoe building has been vacant for months. Paying for an option simply enriches the building’s own.
To pay for such an option is a misuse of public funds, even if the city employee has required expertise to
inspect the building, an outside expert should be hired. | just said that; | didn’t read that yet. If serious problems
are missed, the city can look to the inspector or the inspector’s insurance company for readiness. No such
redress can be had from city employees. Cummings has previously said that the conservative estimates show
that the Center will bring in more than $1.3 million a year to downtown businesses. Does Mr. Cummings have
a factual basis for his estimate? If so, on what does he base his estimate? If not, why does he offer an
estimate?

In short, the city needs to spend work on this Performing Arts Center that officials get and publish reports
prepared by experts that show in detail the condition of the building, the likely renovation cost, and the likely
sources of revenue from the project. Off the cuff estimates are fine for small projects, as is new athletic fields.
When it comes to multimillion dollar projects, due diligence is required. There seems to have been no such due
diligence. Those who oppose the doing of this due diligence need to change their ways. If they are unwilling to
do so, they should be replaced.

We have a new board here and | know that everybody is — everything is fresh and new to everybody. So | hope
that everybody is going to really take a look at this with open eyes, because we can’t afford another mistake.
We've got Burke Street building sitting there. Are we going to sell that building? What are we going to do?
There are a lot of problems. Who is going to want to buy a building with problems? So, | hope that the board in
this coming year will be looking at the needs of the city versus the wants of the city, and thinking about the
taxpayers’ pocketbook. | want to wish you all great luck, and I'll be talking to you about something else after.

| came here because on the agenda you have a letter about the vacancy at the Board of Ed. I’m kind of
anxious to see that. But when | was looking at your agenda, | also noticed that you had a letter - NRO 5-6 —
about compensation. | was sort of puzzled as to why only the Aldermen would have an ordinance to withhold a
stipend from someone who missed three meetings. We don’t have that on the Board of Ed, we don’t have that
for the Board of Public Works. We currently have someone who has been out for five months due to health —

and | know you're all new, so | know you'll think of it carefully. | thought if we’re going to do something, it ought
to be equitable across the city. | trust you'll do the job you’re elected to do.

I’d like to just tell you a quick little story. Thinking past 30 years, Jim, | see; Brian; Steve Bolton; Ernie Jette
who rented from me — 30 years ago | took a big shot in downtown Nashua. Everyone said it was crazy to
invest in downtown Nashua. You’re going to lose everything. It’s not worth your while. What I’m asking
everybody here is just take an open look at this thing. You know what? You've got to take chances in life.
Thirty years later, I’m still here and | plan on being around for a little longer.

With that, | welcome everybody, and hopefully we do the right thing for our great city of Nashua.

which was reconfigured into a full-signalized intersection

given us land from for Charron Avenue, and it was an exchange, if you will. We forgot, at the time, to do the
