For Professional Services for Treatment Works

|. SERVICES TO BE PERFORMED BY THE ENGINEER

A. The ENGINEER agrees to produce a complete and definitive Engineering Report to meet current division requirements
and to perform any and all engineering incidental thereto. The detailed scope of the work is as outlined in the attached
Exhibit A - Scope of Work for Engineering Services dated August 2021.

C. Furnish_hard copies and / or pdf files in accordance with Exhibit A deliverables ef+he-—Engineering Resert to the
OWNER and tve-2}-cepies to the New Hampshire Department of Environmental Services, Water Division, hereinafter
called the DIVISION. Additional copies to be available at cost.

E. Provide the DIVISION with one copy of design calculations, work sheets, field notes, estimates and other data generated
in preparing the Engineering Report in a form satisfactory to the DIVISION.

i. THE OWNER'S RESPONSIBILITIES

A. Assist the ENGINEER by placing at his disposal all available information pertinent to the PROJECT, including previous
reports and other data relative to the reports.

B. Make provisions for the ENGINEER to enter upon public and private lands, municipal facilities and industrial
establishments as required to perform work under this AGREEMENT.

Wl. Time of Completion

A. The ENGINEER agrees that he will submit to the DIVISION and the OWNER for approval after modification or revision
as recommended by the DIVISION and agreed to by the ENGINEER the completed report within 730 consecutive
calendar days following the acceptance of the contract by the OWNER, and deliver same to the OWNER within 60
calendar days following the date of final approval by the DIVISION.

B. Itis agreed by the parties to this contract that failure by the ENGINEER to complete the work within the time stipulated
under Ill, A, above may be considered sufficient basis for the debarment of the ENGINEER from the DIVISION'S Roster
of Prequalified Engineers as provided for under New Hampshire Code of Administrative Rules Env-Wq 603.08, or the
Assessment of liquidated damages as provided for under RSA 485A: 4, XII.

IV. COMPENSATION TO BE PAID THE ENGINEER
A. Method of Payment Amount of Fee
1. Payment to the ENGINEER, for services rendered, shall be according to the following schedule:

with the attached Exhibit B — Fee Schedule.

3. The OWNER agrees to pay and the ENGINEER agrees to accept for all services under this AGREEMENT, a fee not to
exceed Two Million Six Hundred Thousand and 00/100 Dollars ($2,600,000.00), and the ENGINEER agrees that the
work proposed is sufficient to satisfactorily complete the study and that the monies to be paid are adequate.

The attached fee schedule with labor category, hours, hourly rate, markup, incidental expenses, and fees for special
services, shall be the basis for billing for engineering services.

a. The ENGINEER agrees that prior to submitting the report to the DIVISION for formal approval he shall make
revisions in the report as recommended by the DIVISION and agreed to by the ENGINEER without additional
compensation. After formal approval if it becomes necessary to update the report for reasons beyond the
control of the ENGINEER, payment for such revision or revisions shall be made to the ENGINEER on a basis to be
negotiated with the DIVISION.

V. ADDITIONAL COVENANTS

A. The ENGINEER agrees to assign in active charge of this PROJECT for the life of the contract a Project Engineer who is a
permanent employee of the ENGINEER and who a “qualified sanitary engineer” is as defined under the DIVISION'S
“Rules and Regulations for the Prequalification of Consulting Engineers.” The Project Engineer shall be?

Any proposed change in identity of the Project Engineer on the PROJECT shall first be approved by the DIVISION before
transfer of responsibility is made. Failure of the ENGINEER to abide by the above covenant is agreed to be sufficient
basis for debarment of the ENGINEER from the DIVISION'S Roster of Prequalified Consulting Engineers as provided for
under New Hampshire Code of Administrative Rules Env-Wq 603.08.

C. The ENGINEER further agrees to procure and maintain at his expense such workmen's compensation insurance as is
required by the statutes and public liability insurance in amounts adequate to provide reasonable protection from
claims for bodily injury, death or property damage which may result from his performance and the performance of his
employees under this AGREEMENT.

D. All documents, including original drawings, design calculations, work sheets, field notes, estimates, and other data shall
remain the property of the OWNER and shall be transmitted to the OWNER in clean and orderly condition on demand;
however, these may be left in the possession of the ENGINEER at the OWNER'S discretion. ENGINEER may retain one
copy of the information produced under this Agreement for archival purposes.

E. The ENGINEER shall not sublet, assign or transfer any part of the ENGINEER'S services or obligations under this
AGREEMENT without the prior approval and written consent of the OWNER and the DIVISION, and the contract shall
be binding upon and inure to the benefit of the parties, their successors and assigns.

if fully set forth herein.

To approve the purchase of a set of 4 wheels and teeth for the Caterpillar 826K
compactor from Caron Compactor Company of Escalon, CA in the amount of
$63,525. Funding through Department 168 Solid Waste; Fund: Solid Waste;
Account Classification: 54 Vehicle Repairs & Maintenance.

Caron quote.

The wheels and teeth on the all 4 wheels of the Caterpillar 826K compactor are
extremely worn and due for replacement soon. These replacements are necessary to
ensure good compaction of the waste coming into the landfill and to reduce
unnecessary wear on the compactor by requiring trash to be rolled more in order to
properly compact it.

It is cheaper and will require less down time to replace the wheels and teeth than to
have all of the old teeth removed and replaced individually.

The Solid Waste Department has used Caron’s compactor teeth on the last two
compactors and they have been proven to be both durable and reliable.

Commercial Street/Fort Square Utilities Upgrade, City of
Gloucester, MA

Deputy Project Manager for the investigation, design, permitting, bidding
(under M.G.L. c. ¢ 30, § 39M), and construction services for the City’s Pub-
lic Infrastructure Replacement Project. The project includes approximate-
ly 3,200 If of 8” to 12” water mains, 2800 If of sanitary sewers, 1,100 If of
sewer force main, 1,500 If of storm drains, and a 150-gpm submersible
sanitary sewer pump station. The project is located in a heavily developed
urban area, which includes a mix of industrial marine facilities and resi-
dential properties. The drainage system was designed to incorporate pro-
prietary separators to capture and retain total suspended solids, floatables,
and total petroleum hydrocarbons. Existing bulkheads, seawalls, and rip-
rap were modified to accommodate the new work. Full depth reconstruc-
tion of roadways, sidewalks, and curbing were also included.

Worcester Road Pump Station Elimination, Town of Framingham, MA
Deputy Project Manager for the final design phase for the construction of
anew wastewater 5.6 mgd self-cleaning trench wet well pumping station,
6,200 feet of 30-inch interceptor sewer, and 1,900 feet of 8-inch and 14-
inch dual force mains. The project includes a compact pumping station
site, complex excavation, and significant groundwater dewatering. Odor
control was provided using activated carbon. Provisions for the addition
of Bioxide were also made to address concerns of hydrogen sulfide corro-
sion and odor issues. The project includes environmental permitting, SRF
funding assistance, and public outreach.

Mill Cove Relief Siphon Design and Construction, Massachusetts
Water Resources Authority, Weymouth, MA

Senior Engineer responsible for design of 2,000-feet of 42-inch HDPE
sewer siphon across Mill Cove; incorporated horizontal directional drill-
ing to circumvent a lengthy permitting process and reduce cost and con-
struction time for the Massachusetts Water Resources Authority (MWRA).

Washington Street Drain and Outfall Design and Inspection
Program, City of Gloucester, MA

Project Manager providing engineering services during construction of
the Washington Street Drain Project, which is the first component of the
City’s long-term control plan for CSOs. Providing services for approximate-
ly 1,200 If of storm drain (12-inch to 60-inch) that discharges into the Out-
er Gloucester Harbor, approximately 500 feet offshore of Pavilion Beach.

Deer Island Treatment Plant As-Needed Technical Assistance,

City of Nashua, NH
Capacity, Management, Operation and Maintenance (CMOM) and Stormwater Collection System
Investigation and Evaluation Program — Phase II
Scope of Work for Engineering Services

Background

The CMOM program was developed by the US Environmental Protection Agency (USEPA) as a flexible, dynamic
framework for municipalities to minimize the risk of SSOs by identifying and implementing widely accepted
wastewater industry practices to:

e Better manage, operate and maintain sewer collection system
e Investigate capacity constrained areas of the collection system

e Respond to SSO events to minimize impacts to human health and safety, and the environment

Since there is no Federal requirement, many states have been adding CMOM or CMOM-type requirements into
wastewater NPDES Permits, including New Hampshire. The EPA Region 1 and the State of New Hampshire
Department of Environmental Services (DES) requires the development of a “Collection System O&M Plan” as
part of its wastewater NPDES Permits that covers the pipes, manholes, and pump stations in the separate and
combined sewer systems.

During Year 1 and 2 of this program, the City of Nashua worked with Hazen and Sawyer (Consultant) to develop
the CMOM Program in a capacity to satisfy the conditions of the NPDES draft permit. Hazen delivered the
following items under the Year 1 and 2 contract:

e CMOM O&M Manual
Several Standard Operating Procedures
Prioritization of assets for inspection
Review and Rehabilitation recommendations for approximately 130,000 LF of Sanitary Sewer pipe,
43,000 LF of Storm Sewer Pipe, 2,500 LF of culverts, and all manholes associated with each
Expansion of the City’s Hydraulic Model
Stormwater BMP inspections
Rehabilitation recommendations for all eight siphons
Updates to the City’s GIS database

This document shall be used to continue with the development and implementation of the CMOM program for
the City of Nashua to guide employees on the proper preventative maintenance of their sewer collection and
drainage system. The CMOM Program is to help the City be proactive versus reactive to operation and
maintenance of its sewer systems, and thus mitigate costly repairs and potential violations to the Clean Water
Act. The CMOM program shall also serve as a tool for the City for budgeting future Capital Improvement
Projects. In addition, the City desires to develop a preventative maintenance plan for the drainage system.
While the drainage system is independent of the sewer collection system, both systems would benefit from an
operation and maintenance program. The Engineering scope of services provided shall be for a two-year period
for implementation of Nashua’s CMOM Program and continuation of the City’s Stormwater collection system
investigations and evaluations. Since this project is funded through an NHDES CWSRF loan, final approval of
work deliverables is required and will be submitted accordingly.
