ARTICLE 1 —- THE CONTRACT DOCUMENTS

The CONTRACTOR shall complete the work described in the Contract Documents for this project.
The documents consist of:

1. This Agreement signed by the OWNER and CONTRACTOR, including the General Terms
and Conditions;

RFP0609-031116, issued February 4, 2016 and Addendum #1, issued March 4, 2016;
Siemens Industry, Inc. Proposal dated March 11, 2016;

Payment and Performance Bonds;

Insurance Certificate;

Written change orders for minor changes in the Work issued after execution of this
Agreement; and

7. Fully Executed OWNER Purchase Order

The Contract represents the entire and integrated agreement between the parties and supersedes prior
negotiations, proposals, representations or agreements, either written or oral. Any other documents
which are not listed in this Article are not part of the Contract.

In the event of a conflict between the terms of the Proposals and the terms of this Agreement, a
written change order and/or fully executed Owner Purchase Order, the terms of this Agreement, the
written change order or the fully executed Owner Purchase Order shall control over the terms of the
Proposals

Thank you Mr. President. It is National Library Week and I’d like to take the opportunity to remind
Nashuans that their library is no longer just about borrowing books, it’s also downloading e-books and
audio books, borrowing a lap top to use in the building, to check out a telescope or a ukulele, to book a
room for your next meeting, take a computer class and much more. And it’s all free, all you need is a
library card. Thank you Mr. President.

Thank you Mr. President. | know it was expressed earlier but I’d like to publically say that my
condolences go out to the McGuinness family. | had the pleasure to serve with Sean on this Board. |
did find him to be one of the true gentlemen of the Board with his decorum and he will be sorely missed.

| also would like to send out my condolences to the McGuinness family for their loss. While we didn’t

always see eye to eye on some of the motions here in this Chamber, he was always a consummate
gentleman and a fantastic person and he’ll be missed.

| too would like to send my condolences to the McGuinness family. Sean was a good guy.
Alderman Caron

| too would like to send my condolences. Our first term together, he sat next to me and he had a dry
sense of humor but he was the consummate gentleman in this circle. So he’s going to be greatly
missed.

But on another point, the Breakfast Exchange Club is holding their annual Potato Fest next Thursday
from 4:30 to 7:00 at the Senior Center. This is a baked potato with all the condiments, home-made
chili, they have a raffle. They do a lot of work with the elderly throughout the community, welfare
programs and it is a great evening, Alderman Lopez is at the door before they open. Tickets are $6.00
in advance and they are $8.00 at the door and | only brought 10 tickets and for those Aldermen who
bought them from me tonight, thank you very much. It is greatly appreciated. | know that | will be there
but | have to leave early because we have a Town Hall meeting at 7:00 that might. Thank you Mayor.

Alderman Lopez

| am looking forward to the baked potato festival myself. It’s also my nephew’s birthday so Kyle I'll
make it | swear. | just have to have a potato first. This Thursday is our Ward 4 Town Hall with the
Mayor at Amherst Street School at 7:00 and we are looking forward to an update on the tannery project.
So | encourage anybody in Ward 4 who is interested in or living in that area particularly to attend.

That’s at Amherst Street School at 7:00.

And then additionally on April 21°, we have a whole bunch of community service projects that are
happening downtown, including the Downtown Parks Clean-Up organized by Great American
Downtown. There is a poverty simulation dinner taking place at 4:30 at Arbor run by Be The Change
and | just wanted to comment on it because some poverty simulations are “I’m sleeping in a box so |
know what it’s like to be homeless”. That’s not what this is. This is something that really is meant to be
an exercise that is personal to you and look at the different constructions that you take for granted
maybe just because they were how you were raised, or you were offered opportunity. And what it looks
like for people in other situations in other parts of the world even who have to operate under different
rules and different conditions. Because in a way, a lot of times, the solutions and the leadership is
going to come from recognizing the differences between the situations that people have. So the
poverty simulation dinner April 21*' at the Arbor Restaurant at 4:30.

| also wanted to express my condolences to the family of Sean McGuinness. | found him to be a
particularly humorous and tolerant Alderman. He was very welcoming and open to anybody new and
he was very helpful to me feeling a little bit more comfortable on the Board when | first began. So my
condolences to his family.

Alderman Gidge

Sean was also a State Representative, he was up in the Commerce Committee with me and if you want
to go archive our public access television station, | did an hour with him and we talked about everything,
life, how we felt. Sean was a real gentleman and a very, very smart person and knew his numbers on
the Commerce Committee. So, of course, we feel bad for his family.

Alderwoman Melizza-Golja

Yes first just to remember that the sculpture symposium is going to be opening on May 10 and tickets
are now available for that opening event which will be out at the airport. The sculptures will be at
Makelt Labs until June 2 when there will be a closing event.

| commented last night around Sean’s passing but | would like to join the members of the Chamber in
condolences to his family. | had the pleasure of sitting next to him his last term on this Board. And as
others have said he was certainly a gentleman and he very courageously handled his illness. And so
condolences to his family. Thank you.
