3. PERIOD OF PERFORMANCE. Professional Engineer shall perform and complete all work by December
31, 2022 which date shall only be altered by mutually approved written agreement to extend the period of
performance or by termination in accordance with the terms of the contract. Professional Engineer shall
begin performance upon receipt of an Executed Contract and a valid Purchase Order issued from the City

of Nashua.

4, COMPENSATION. Professional Engineer agrees to perform the work for a total cost not to exceed
Dollars { $225,365.00 )

The Contract Sum shall include all items and services necessary for the proper execution and completion
of the Work.

Unless Professional Engineer has received a written exemption from the City of Nashua, Professional
Engineer shall submit monthly requests for payment for services performed under this agreement in
accordance with the values stated in the Agreement. Such requests shall be supported by such data
substantiating the Professional Engineer’s right to payment as the City of Nashua may reasonably require.
Professional Engineer shall submit monthly requests for payment for services performed under this
agreement shall be submitted as follows:

Please do not submit invoices both electronically and paper copy.

In addition, and to facilitate the proper and timely payment of applications, the City of Nashua requires
that all submitted invoices contain a valid PURCHASE ORDER NUMBER.

Requests for payment shall be submitted no later than fifteen (15) days after the end of each month and
must include a detailed summary of the expenditures reported in a form that supports the approved budget.
Specifically, Professional Engineer agrees to provide the following with each request for payment:

1. Appropriate invoice forms. The forms shall include the project purchase order number, a listing
of personnel hours and billing rates, and other expenditures for which payment is sought.

2. A progress report. The report shall include, for each monthly reporting period, a description of
the work accomplished, problems experienced, upcoming work, any extra work carried out, and a
schedule showing actual expenditures billed for the period, cumulative total expenditures billed
and paid to date under the contract, and a comparison of cumulative total expenditures billed and

paid to the approved budget.

The City of Nashua will pay for work satisfactorily completed by Professional Engineer. The City of
Nashua will pay Professional Engineer within 30 days of approval by the City of Nashua of the submitted
invoice forms and progress reports. The City of Nashua will make no payments until the invoice forms and
progress reports have been submitted and approved.

Re: Contract for Engineering Services for the Heritage Rail Trail East

The City of Nashua was awarded a NH Department of Transportation (NH DOT) Congestion
Mitigation and Air Quality (CMAQ) grant to design and construct a bicycle and pedestrian trail
extending approximately three-quarters of a mile from Main Street to Denton Street, next to the
25 Crown Street future rail station. The Heritage Rail Trail project was started in the late 2000s
to reduce congestion along East and West Hollis Street, one of the most congested corridors in
the City of Nashua and the Nashua Region, by providing an alternative bicycle and pedestrian
transportation route through the heart of the City’s most densely populated neighborhoods. The
City has consistently moved this project forward over the last 10+ years through the acquisition
of all necessary land or easements along the entire corridor, and completed construction of the
Heritage Rail Trail West from City Hall to Will Street/Simon Street. Most recently the
Department of Public Works installed needed new lighting along the heavily used western trail
through a FY2017 budget appropriation.

In compliance with the NH DOT funding for this project, the selection of an engineering firm
followed the Local Public Agency rules. A Request for Qualifications must be advertised and the
selected firm must be based on qualifications and not cost. Fees and scope are discussed after
the firm is selected. The Request for Qualifications for comprehensive engineering services,
including the feasibility and design phase engineering for this project, was issued on March 15th
and closed April 19th, 2019.

We received six (6) submissions and interviewed four (4) firms. A team comprised of City staff
participated in the evaluation of qualifications which included Sarah Marchant (CDD Director),
Julie Chizmas (CDD Transportation and Long Range Planner), Peter Kohalmi (Deputy City
Engineer), Mike Harris (DPW Operations Manager), and Nick Caggiano (Parks Superintendent).

From the four (4) firms interviewed, the team unanimously agreed that the contract should be
awarded to CMA Engineers, Inc., based on their qualifications, prior experience on similar
projects, and familiarity with NH DOT processes. Once approved by NH DOT, we entered into
scope and fee negotiations. According to the terms of this grant, NH DOT pays 80% of expenses
with the remaining 20% being paid by the City. The Community Development Division
recommends awarding the contract for comprehensive engineering services to CMA
Engineering, Inc., of Manchester, NH in the amount of $166,398.

Dear Ms. Marchant:

CMA Engineers is pleased to provide our agreement for engineering services for the Nashua Heritage Rail
Trail East project, funded in part by the NHDOT Congestion Mitigation and Air Quality (CMAQ) program. Our
Scope of Services and Fee Estimate are included in Exhibits A and B. The scope has been prepared in
accordance with the program requirements of “NHDOT’s Local Public Agency Manual for the Development
of Projects”. Additionally, the following items should be noted:

1. Approval of Contract

This contract will be reviewed by the NHDOT prior to execution by the City. Work cannot begin on this
project until the NHDOT has reviewed and approved the scope of work and the City’s Independent
Governmental Estimate (IGE).

2. Project Team

The team for this project consists of the individuals listed below supplemented by the balance of CMA
Engineers’ engineering and technical staff. Field survey and right-of-way determination will be
completed by Hayner/Swanson, Inc. (HSI), geotechnical and environmental services will be completed

This schedule will be updated as the project needs are better defined, and an anticipated construction
period is discussed with the City. The schedule will also be dependent on State reviews. We expect that
all construction will be completed in a single-season during the summer of 2020.

4. Engineering Fees

This is a cost-plus-fixed-fee contract for the schedule assumed above. Our fee estimate for the
Engineering Study, Preliminary Design, and Final Design (inclusive of bidding assistance) for this project,
inclusive of labor, expenses and consultants’ costs has been estimated at $166,398. This fee does not
include costs for the Construction Phase at this time, which can be negotiated at a later date once the
project is further refined and closer to construction. A detailed estimated project cost breakdown is
included in Exhibit B of this agreement. If total fees exceed the estimated fee total of the value specified
above, we will advise the City as to the circumstances requiring such increases, and not exceed the
budget without additional authorization. Invoices are submitted monthly with payment of invoices due

net thirty (30) days of the invoice date.

5. Agreement

CMA Engineers’ standard terms and conditions are attached and shall apply except where specifically
modified above. This agreement, including Exhibit A (Scope of Work) and Exhibit B (Fee Estimate), and
all associated attachments, may only be modified in writing, signed by all parties. We note that City
acceptance of this agreement is subject to review and concurrence of the NH Department of

Transportation.

DETAILED PROJECT SCOPE

The scope of the work for the design includes those elements specifically included in the City of
Nashua’s original CMAQ grant application, as approved by the NHDOT to further expand the Heritage
Rail Trail, alleviate congestion on East Hollis Street, and enhance pedestrian/bicycle facilities in one of

the most densely populated areas in the Nashua region. The project will construct a 10’ wide paved
multi-use trail along the former rail line from Main Street to the Denton Street intersection, provide
safe ADA compliant crossings, provide lighting along the trail, and restore/repurpose the Commercial
Street Bridge for pedestrian/bicycle use. The scope is additionally supplemented by the City’s Request
tor Qualification (RFQ02676-021519, 1/3/2019; RFQ0276-041919, 3/15/2019); review of City supplied
project related information and reviewed against the Local Public Agency Manual of the Development
of Projects (Version 3.0, March 2017). The proposed project will allow the City to complete the long
sought-after Nashua Heritage Rail Trail East.

Projeci Kickofi Meeting 2 Fieicd Review

An initial meeting with the City and potentially NHDOT will be held to review the purpose and
goals of the project, issues and concerns, and discuss the project schedule. All pertinent
information related to the project (City GIS and utility information, historic plans, conceptual
plans, base mapping, previous environmental NEPA documents, etc.) will be turned over for
CMA Engineer’s use. CMA Engineers will also conduct a field review at this time.

Topographic and Right-of-Way Survey

Hayner/Swanson (HSI) shall perform on-the-ground topographic survey as directed by CMA
Engineers of the area as outlined on Exhibit "A" attached. Topographic survey will be
conducted within the limits of the railroad ROW for the length of the new trail, and additional
areas at intersections to support the design of sidewalks, crosswalks, ramps, and pedestrian
signals. The services are limited to location and elevation of surface features (bridge, rails,
drainage culverts, signs, etc., including visible evidence of utilities). Horizontal Datum shall be
NAD83 NH State Plane. The Vertical Datum shall be NAVD88 US Survey Feet. Work shall be
performed for a proposed 20 scale plan with one (1) foot contours.

HSI shall perform the necessary research required to determine the limits of the former B&M
Railroad Right-of-Way. The research shall include research at the City Assessors Office, City
Engineering Department, Hillsborough County Registry of Deeds, NHDOT Bureau of Rail &
Transit, NHDOT ROW, B&M railroad records, and NH State Archives. HSI will locate physical
monumentation along the route as to be able to determine the limits of the Right-of-Way.

statement. An overview plan based on City GIS and/or available aerial imagery will be
prepared for the meeting.

Concerns Meeting. This statement will clearly define the project goals and objectives, without
proposing project solutions. This statement will be used to measure the alternatives
developed as part of the design process.

7.05 Engineering Anaiysis
Feasibility level design plans with only minimal/essential design/detail elements will be
developed based on the project information and CMAQ application package provided by the
City, field reconnaissance, and input from the public and other stakeholders. The rail trail will
be evaluated to address minor trail profile improvements, surface improvements, drainage
improvements, ADA compliant pedestrian crossings, ROW issues/impacts, appropriate
incorporation of pedestrian scale lighting and lighting at crossings, utility issues/impacts and
to improve connectivity. The information from this analysis will be used in the development
of proposed alternatives.

Structural Evciuation and Recommencations
The existing rail bridge crossing over Commercial Street is currently barricaded but is
intended to be repurposed for use as a pedestrian overpass to connect the adjacent
sections of trail. Conceptual review has indicated that a 10-foot wide walking surface along
the bridge will be required to provide a consistent clear width along this section of the trail.
Key design criteria will be based on the requirements of the AASHTO Guide Specification for
the Design of Pedestrian Bridges and the NHDOT Bridge Design Manual. Review of
alternatives will consider safety, serviceability, materials, maintenance, constructability,
permitting requirements, economics, and aesthetics for each proposed structural element.
The following tasks will be performed during the study phase:

a. Site Inspection and Condition Assessment
A team of two structural engineers will perform a detailed inspection of the existing
bridge superstructure members. The results of the condition assessment will be used to
determine what loading the bridge is rated to carry and whether structural repairs to
existing members will be required.

b. Structural Alternative Analysis
Based on the results of the tasks described above, feasibility level alternatives and
designs with only minimal/essential design/detail elements will be developed using the
requirements of the City and design criteria from the applicable codes.

Terracon will conduct a site walk-reconnaissance to visually assess the planned project
easement/alignment. Current conditions in the proposed project area will be inspected
