Re: Emergency PO Request — Emergency Bar Rack Repair for $137,660 at WWTF

Pursuant to 5-90 (G) of the NRO, | have authorized an Emergency Purchase Order to
Huber Technology of Huntersville, NC to perform repairs.

Included is a copy of a memo dated July 24, 2019 from David Boucher, Wastewater
Superintendent to Lisa Fauteux, Director of Public Works explaining the cause and
the need for this emergency work, a copy of the quote from Huber Technology for
repairs costing $137,660 and a Field Service Report from Huber Technology of
Huntersville, NC that details the damage and repairs needed.

Once filed with the City Clerk’s office a Requisition will entered and a PO
generated that will allow these repairs to be implemented and completed as soon

as possible.

Engineer's expense, to the City of Nashua. Professional Engineer shall not use, willingly allow or
cause to have such materials used for any purpose other than the performance of Professional
Engineer's obligations under this contract without the prior written consent of the City of Nashua.

PUBLIC RECORDS LAW, COPYRIGHTS, AND PATENTS Professional Engineer expressly agrees that
all documents ever submitted, filed, or deposited with the City of Nashua by Professional Engineer
(including those remitted to the City of Nashua by Professional Engineer pursuant to paragraph
20), untess designated as confidential by a specific statue of the State of New Hampshire, shall be
treated as public records and shall be available for inspection and copytng by any person, or any
governmental entity.

No books, reports, studies, photographs, negatives or other documents, data, drawings or other
materials including but not limited to those contained in media of any sort (e.g., electronic,
magnetic, digital) prepared by or supplied to Professional Engineer in the performance of its
obligations under this contract shall be the subject of any application for a copyright or patent by
or on behalf of Professional Engineer. The City of Nashua shall have the right to reproduce any
such materials.

Professional Engineer expressly and indefinitely waives all of its rights to bring, including but not
limited to, by way of complaint, interpleader, intervention, or any third party practice, any claims,
demands, suits, actions, judgments, or executions, for damages or any other relief, in any
administrative or judicial forum, against the City of Nashua or any of its officers or employees, in
either their official or individual capacity ofithe City of Nashua, for violations of or infringement
of the copyright or patent laws of the United States or of any other nation. Professional Engtneer
agrees to indemnify, to defend, and to hold harmless the City of Nashua, its representatives, and
employees from any claim or action seeking to impose liability, costs, and attorney fees incurred
as a result of or in connection with any claim, whether rightful or otherwise, that any material
prepared by or supplied to Professional Engineer infringes any copyright or that any equipment,
material, or process (or any part thereof) specified by Professional Engineer infringes any patent.

Professional Engineer shall have the right, in order to avoid such claims or actions, to substitute at
its expense non-infringing materials, concepts, products, or processes, or to modify such infringing
materials, concepts, products, or processes so they become non-infringing, or to obtain the
necessary licenses to use the infringing materials, concepts, products, or processes, provided that
such substituted or modified materials, concepts, products, or processes shall meet all the
requirements and be subject to all the terms and conditions of this contract.

FINAL ACCEPTANCE Upon completion of all work under the contract, Professional Engineer shall
notify the City of Nashua in writing of the date of the completion of the work and request
confirmation of the completion from the City of Nashua. Upon receipt of the notice, the City of
Nashua shall confirm to Professional Engineer in writing that the whole of the work was completed
on the date indicated in the notice or provide Professional Engineer with a written list of work not
completed, With respect to work listed by the City of Nashua as incomplete, Professional Engineer
shall promptly complete the work and the final acceptance procedure shall be repeated. The date of
final acceptance of a project by the City of Nashua shall be the date upon which the Director of
Economic Development or other designated official accepts and approves the notice of completion.

TAXES Professional Engineer shall pay all taxes, levies, duties, and assessments of every nature
due in connection with any work performed under the contract and make any and all payroll
deductions required by law. The contract sum and agreed variations to it shall include all taxes
imposed by law. Professional Engineer hereby indemnifies and holds harmless the City of Nashua
from any liability on account of any and all such taxes, levies, duties, assessments, and deductions.

RE: Headworks Bar Rack

The Wastewater Facility had logs and damaging debris
enter into the wet well of the Facility on May 13, 2019.
This debris caused significant torque on the equipment,
bending the scraper arms and rakes on both bar racks. We
replaced the scraper arms and straightened the rakes,
thinking this was the extent of the damage.

On July 6, 2019, the Facility experienced a failure of
the short channel bar rack. We called the manufacturer
who sent a technician out to inspect the equipment and
determine what had happened. The tech reported that the
chain appeared to have come free of the sprockets at the
bottom of the channel when the equipment had reversed
itself. Once the chain was free of the sprockets, the bar
rack continued to run, with no indication on our SCADA
computer system of any alarms. This caused the chains to
kink, the rakes to bend, and damage to the sprockets and
other components.

When discussing why this happened, the technician did ask
if we had anything abnormal come up the bar rack. We told
him about the logs from May and he said that could
absolutely have had an effect on the stretching of the
chains.

This equipment is pivotal to the operation of the
Wastewater Facility. We currently have a redundant
screen; however, if the second screen were to fail, the
Wastewater Facility would not be able to take flow into
it. The Facility currently takes an average of 11 million
gallons of sanitary sewer waste each day. This waste
would not be able to get to the Facility for treatment.
During a rain event, the Facility can take 50 million

gallons per day of combined sanitary sewer waste and
storm water flow. This flow would not be able to get to
the Facility for treatment. The flow would back up in the
City’s collection system and eventually trigger the
combined sewer overflows that discharge directly to the
Merrimack and Nashua Rivers with no treatment. This could
result in major negative environmental impacts as well as
fines from the NH Department of Environmental Service and
US Environmental Protection Agency.

We are requesting an emergency PO be issued in the amount
of $137,659.56 to Huber Technology, Inc for the parts and

installation to repair the short channel bar rack.

Aftermarket Saies & Service Rates 2019

Field service Base Rate, Rates are calculated from the day the Service

Specialist departs Huber Technology, Huntersville, North Carolina until the day

the Service Specialist returns to Huber Technology, Inc., Huntersville, North

Carolina. Rates include weekends and holidays. If a Service Specialist is required

to travel from any other location, including, Germany the rates are calculated
from when the Service Specialist departs the home office until the day the
Service Specialist returns to the home office.

Travel, Time includes transportation to and from the airport, security clearance,
time between flight changes, driving time and local travel to and from worksite.

Travel time in excess of eight (8) hours may be billed at the premium rate.

Double Time.Any Sunday or Recognized Huber Technology, Inc. Holiday.
Transportation. The customer is responsible for reimbursing Huber Technology,
Inc. for all transportation charges associated with service work. Flights will be
booked as coach-tourist class unless it is unavailable. Rental car, gas, taxis, airport
/ hotel limousines, company or personal vehicles will be used when necessary.
Standby rate, Applies to the time a Service Specialist is available for work and is
located at or near the job site but unable to work due to circumstances beyond his
control. Time shall be considered time worked and will be charged at the applicable

base or premium rate.

Accommodations and Meals. Meals are charged at $51.00 per day or $66.00 per
day depending on the area (See Business Rate Plan 1 and 2). If an overnight stay

is required, the customer is required to reimburse Huber Technology, Inc. for
lodging charges. Hotel rooms will be booked on a business executive, single
occupancy basis.

Hazardous Locations,

Huber Technology, Inc. reserves the right to recall its personnel if the
worksite does not meet governmental health and safety standards.
Minimum Daily Charge. For all Field Service Base Rates or combinations
of Base Rates, the minimum fee will be for eight (8) hours. If services are
performed on the same day as travel, travel time will be billed in addition
to service time.

Overtime, The overtime rate applies to work or travel in excess of eight (8)
hours per day (weekdays) and all Saturday work. Workdays in excess of
(16) hours are prohibited. Service specialist are NOT required to perform,
and may decline, work in excess of twelve (12) hours. The overtime
charge shall be at the base rate plus a one hundred percent (100%)
premium.

Recognized Huber Technology. Inc. Holidays New Year’s Day, Good
Friday, Memorial Day, Independence Day, Labor Day, Thanksgiving Day,
the Friday after Thanksgiving Day, Christmas Eve and Christmas Day.
Expenses, The customer is responsible for ALL expenses associated with
service work. All travel expenses including airfare, taxi, mileage for
personal or company owned vehicles or any other chauffeured vehicle,
living

accommodations and meals will be invoiced. Invoices will include a cost
break-down. Copies of receipts will not be furnished unless specifically
requested. Original receipts cannot be provided. Receipts for under $25.00
cannot be provided. Use of personal or company owned vehicles will be

SCHEDULING — 10 Working Days Notice, Request for field service should be made

in writing (letter, fax or e-mail) to Huber Technology, Inc. at least ten (10) working

service arrangements will be made. The purchase order is to be made out
to Huber Technology, Inc. and must contain the following information:
