APPENDIX I Innovative Options

We propose several optional innovations which aim to dramatically increase the P-Channel audience.

These options are not included in the basic proposal, but are proposed in response to the Q&A in
Addendum 1 concerning options we would like the city to consider.

These options are not currently priced. A cost will be provided for any of the following options the city
may wish to exercise.

1.

Initiatives to Promote Viewership.

We propose to rebrand the channel and edify the community with local people, local stories, and
local content. It can be watched locally and worldwide on BRB TV App. We will teach the
community what Public Access is and how to use it and how the citizens can embrace it within and
for their community.

Part of our rebranding efforts will be to include fresh, vibrant and new content and rebrand the
concept of public access to lose the stigma of an archaic, boring content channel with little to no
viewership to become a legitimate TV station with a new concept: “BRB TV-where you want to be”.
Viewers will be able to watch on their local TV cable channel, on the internet, and on the BRB App.

We propose to use the public access channel to bring edifying content to the community and provide
sense of inclusion through content. We will combine uplifting radio shows with live TV and utilize
the radio to promote TV shows. The cross promotion of TV and radio is unique aspect to our
proposal.

Rather than a plethora of repeated shows, it is our goal to provide fresh content on TV on regular
consistent weekly basis, with innovative and creative editing and promotion of shows, and upcoming
events.

We will develop diversity programming-bilingual shows, and seek content for all nationalities and
ethnicities.

We will have channel 96 as source of information for city-content weekly interviews/shows with
Health Dept., DPW, NPD, NFD, Aldermen, Mayor, and Showcase City Employees/Depts.

We will create Educational programming on TV with content to include reading, math, history,
literature, comedy, music, vignettes, hobbyists, children's programming, puppet shows and kids
hosting show for their local school news/sports/events.

We will need to obtain music licensing for ASCAP/BMI/SESAC so programs have bumper music,
music shows (i.e. Sundays with Sinatra), to have music played while billboards are displayed and
ticker scrolls. We will seck to broadcast on multiple platforms such as Roku, Apple and FireStick,
Amazon. We anticipate broadcasting with close captioning and with translation services given our
bilingual members on our team.

We will explore the use of and utilize local colleges (SNHU and Rivier) for staffers, journalists,
anchors. We will explore ‘content for credit' with academic institutions within the city and explore
college course curriculum and use of the BRB TV studios.

We anticipate developing a News Team with Live morning and evening newscast and leasing a
vehicle wrapped with station logos to promote station while collecting news for broadcast.

2. Streaming Content.

Nashua has a video server that takes care of all three stations with on-demand programming and
streams live content. We propose to add Roku and Amazon Fire Stick for the viewer’s streaming
access. These comprise about 60% of the streaming access (OTT) devices used today.

3. Closed Captioning.

We propose closed captioning with apps available to accommodate any language.

If a viewer wants to see closed captioned text, whether English or any other language offered, he/she
would do it with the Closed Captioning (CC) menu, same as any streamed program. We would
promote how to do this with a video. The P-channel offers both English and Spanish programs
today. We would naturally offer Spanish to English for the Spanish language shows and English to
Spanish for English language shows.

The VEED close captioning app can be utilized. This would have to be done for selected videos that
we produce and it would be encouraged for any hosted show and anyone producing a video as an
incentive for dramatically improving their viewership. We will instruct contributors as part of the
production process, and provide user documentation.

4. Nashua Performance Arts Center Coverage.

We propose to set up a network access point inside the Nashua Performing Arts Center (PAC) to
incorporate studio/broadcast events and promote the new and unique opportunity offered by this
entertainment center.

5. Studio inside the Performance Arts center.

We will investigate and propose to CTAB to setup a small studio equipped with cameras inside
the Performance Arts Center to interview artists and others involved with the PAC.

Sample Contract Terms & Scope of Work
for an Agreement between City of Nashua and Contractor for

Public Access Television Operations and Management Services

This Contract is between the City of Nashua, a New Hampshire municipality, (“City”), in its capacity as
cable television 1 franchising au autho ity pursuant to 47 United States Code 522(10) and 531, and (Contractor
Name Here), a non-profit én (“Contractor”). Contractor shall operate, manage sil coordinate the
use of the City’s public access television channel, including designated equipment and facilities on a
nondiscriminatory, content-neutral, non-commercial basis subject to lawful scheduling and other
customary or lawful operating and programming guidelines as may be implemented by the Contractor in
accordance with applicable law.

Payments in the form of access support grants received under franchise agreements with the local cable
television system operator(s) are the sole source of City funding for the payment to Contractor under this
contract. As a conditioned precedent to the effectiveness of this contract, the City Board of Aldermen
must approve or must have previously approved the expenditure of these funds each budget year
pursuant to this Agreement. Contractor acknowledges that any City payments are subject to municipal
finance procedures and timetables as may be required by the City

NOW, THEREFORE, the parties, in consideration of the premises and the mutual covenants herein
contained, and intending to be legally bound, agree as follows:

SECTION 1. TERM.

A, The initial term of this contract begins on, 20XX, and ends June 30, 2025. Each contract year
shall be contingent upon Board of Aldermen aj approved funding. The City and Contractor may by
mutual written agreement extend the term of the contract, with each term extension being one year,
unless an alternate term extension is agreed to in writing. This contract may not renew beyond
the final termination date of June 30, 2027 without review and approval of a new and revised
agreement by the Board of Aldermen, the Mayor, the Cable Television Advisory Board, and the City
PEG Program management.

B. If this contract is not extended, or is terminated prior to the City negotiating and executing a new
agreement with Contractor or some other provider of public access management services, the City
at its sole discretion may request Contractor, and Contractor agrees, to hold over and continue
providing services under the terms and conditions contained in this contract until the City has
negotiated and executed a new contract with Contractor or some other provider of public access
management services for up to one-hundred and eighty (180) days, unless a longer time period is
mutually agreed upon by the parties in writing.

1. A hold over request by the City must be made to the Contractor in writing, no fewer than
thirty (30) days prior to the contract termination date unless the Contractor agrees to a shorter
hold over request notice period.

2. If the contract is being terminated due to default, any hold over request shall be included in
the notice of default.

during any hold over period, provided that Contractor provides City with supporting
documentation of such costs, and subject to such costs not exceeding the payment provided.

2. Place no further orders or subcontracts for materials, services, or facilities, other than as may
be necessary or required for completion of such portion of work under the contract that is not

of work terminated, abandoned, or suspended under the notice, assign to the City of Nashua

In the event of a termination, abandonment, or suspension at-will, Contractor shall receive all

anticipated profit on unperformed services or other unperformed work.
