employee of the City of Nashua with a view toward securing a contract or securing
favorable treatment with respect to the awarding or amending or making of any
determinations with respect to the performance of this contract. If City of Nashua
determines that such gratuities were or offered or given, it may terminate the contract at
will or for cause in accordance with paragraph 8.

The rights and remedies of this section shall in no way be considered for be construed as a
waiver of any other rights or remedies available to the City of Nashua under this contract
or at law.

Third Party Interests and Liabilities. The City of Nashua and Independent Contractor,
including any of their respective agents or employees, shall not be liable to third parties for
any act or omission of the other party. This contract is not intended to create any rights,
powers, or interest in any third party and this agreement is entered into for the exclusive
benefit of the City of Nashua and Independent Contractor.

Survival of Rights and Obligations The rights and obligations of the parties that by their
nature survive termination or completion of this contract shall remain in full force and
effect.

Severability. In the event that any provision of this contract is rendered invalid or
unenforceable by any valid act of Congress or of the New Hampshire legislature or any
court of competent jurisdiction, or is found to be in violation of state statutes or regulations,
the invalidity or unenforceability of any particular provision of this contract shall not affect
any other provision, the contract shall be construed as if such invalid or unenforceable
provisions were omitted, and the parties may renegotiate the invalid or unenforceable
provisions for sole purpose of rectifying the invalidity or unenforceability.

Modification of contract and Entire Agreement. This contract constitutes the entire
contract between the City of Nashua and Independent Contractor. The parties shall not be
bound by or be liable for any statement, representation, promise, inducement, or
understanding of any kind or nature not set forth in this contract. No changes, amendments,
or modifications of any terms or conditions of the contract shall be valid unless reduced to
writing and signed by both parties.

Choice of Law and Venue. This contract shall be governed exclusively by the laws of the
State of New Hampshire and any claim or action brought relating to this contract, the work
performed or contracted to be performed thereunder, or referable in anyway thereto shall
be brought in Hillsborough County (New Hampshire) Superior Court Southern Judicial
District or in the New Hampshire 9th Circuit Court—Nashua and not elsewhere.

As you requested, here is our proposal to help the City of Nashua with the design and installation of
interpretive signs at two locations within the area of the Millyard.

For your interest, I have also included some discussion on the idea of starting a program of interpretive
signs for the City of Nashua. Many cities have such programs and Nashua seems a good candidate for
such an effort as the revitalization of the downtown is going so well. There are many areas in the City
that offer possibility, Main Street, Library Hill and the Court House spring to mind. If that is of interest,
these two signs could be designed so that they would fit with that effort in the future. I look forward to
the conversation!

Project Understanding

Nashua Millyard

French Village sign: Rather than focus specifically on the Charles Gordon house at 40 Pine Street,
removed for the Parkway project, the sign will interpret French Village as a whole. The sign will
be located in the public park located on the site of the Labine Building that burned in February
2010. It was a Romanesque Revival style flatiron type commercial block with a store on the first
floor and a French-Canadian social hall upstairs. The Gordon House was a mixed commercial and
residential building with a first-floor storefront. Both buildings were contributors to the National
Register eligibility of the French Village Historic District.

French Village Historic District was documented on a NHDHR Area Form by VHB and
determined eligible for the National Register in 2008. It is a mill-related working-class
neighborhood associated with French Canadians and other ethnic groups over time. The form was
a combination project/district area form that defined the boundaries of a district but focused on the
project area on Pine and Palm streets. It contains historical information and description of
individual properties but little overall summary of the historic significance of the area and little
text that could be directly excerpted for use in a sign. The form includes copies of reconnaissance-
level inventory forms completed in 1988 by Boston Affiliates. There are no historic photographs.
Historic maps are included but not of high enough quality to be extracted for use. The current
photographs in the form are black and white. Individual inventory forms were also completed in
2008-09 for buildings including the Labine Block.

Mill yard and canal sign: The interpretive sign is mitigation for demolition of a mill yard waste
house, a contributing building in the National Register listed Nashua Manufacturing Company
Historic District. The sign will be located off Pine Street at Storehouse Number 2 near the former
waste house site, adjacent to the Nashua canal and the railroad. The sign is expected to include

information about the canal and its surroundings including the storehouse and waste house on the
railroad spur. Some history of the company and the operation of the larger industrial complex will
be included for context.

There is considerable information about the mill district and its buildings. The historic district was
listed on the National Register in 1987. The Broad Street Parkway EIS from 1996 includes
additional information. In 2012 Lisa Mausolf completed an area form updating the district
discussion and focusing on a specific part of the Nashua company district. Richard Casella
recently completed NH Historic Property Documentation for the storehouse, waste house, and the
canal. These include many historic maps and images.

Interestingly, the Millyard was the focus of an exemplary effort by students at the Fairgrounds
Middle School in 1998 when they formed a Student Historic Preservation Team to save the historic
Gate House. Their effort received an award from the New Hampshire Preservation Alliance in
2009. This could be included in the text of this sign. Information regarding the Mine Falls ‘Nashua
Manufacturing Company 1886 Gatehouse is attached.

Preservation Company will work with the designers to make sure that the final interpretation is
logical and accurate. Preservation Company efforts will include:
e Research, writing and provision of illustrations and text for the sign and permission to
use selected images.

Signs Program Discussion

With the creation of two signs, we suggest that the City of Nashua give consideration to developing
an interpretive sign program for the City. The two signs for this project could then be designed as
part of that program. BaileyDonovan has considerable experience creating branding and designs
that could be used for such a program and has included information in their project proposal.

Several other cities in New Hampshire have interpretive sign programs. Two have web sites.
These links will illustrate some possibilities. (Portsmouth has a short discussion about their
“program”’).

Mine Falls /Nashua Manufacturing Company 1886 Gatehouse

Mine Falls Park consists of 325 acres of primarily undeveloped land in the center of Nashua, NH,
located primarily between the Nashua River and a canal system. In 1823, the Nashua
Manufacturing Company purchased the land (that is now the park) in order to construct a canal
and gate system to power a mill complex that would manufacture textiles. In 1824, the Nashua
Canal and Mill Pond were hand dug in order to convey the Nashua River water to the
manufacturing facilities. In 1886, the gatehouse was constructed as part of this canal system. The
Nashua Canal, Mill Pond and the gatehouse are on the list of National Register of Historic Places.
The gatehouse was in disrepair and, in part due to the interest of the Fairgrounds Middle School
Historic Preservation Team, federal grant money was awarded to partially restore the building and
surrounding area.

A Historic Preservation Study of the gatehouse, completed in January 2006, was conducted to
obtain an inventory of both the interior and exterior of the building, to summarize the physical
evolution of the building and evaluate the importance of the architectural, structural, mechanical,
and archaeological components of the gatehouse. Recommendations for the historic preservation
and physical restoration of the structure were made and prioritized as part of the study. Based on
the available funding, the design of Phase I of the restoration and preservation of the gatehouse
began in January 2007 by the Louis Berger Group of Manchester, NH and in March 2008
construction of the improvements began by Engelwood Construction Company of Bedford, NH.
Improvements included interior and exterior cleaning, roof replacement, pointing and replacement
of bricks; replacing windows and doors; installation of railings; replacing wooden stairs to the
sluice area, updating the electrical supply while preserving the old components; installation of
safety and emergency systems, and rehabilitating the mechanical furnishings in the gatehouse.

The gatehouse is significant for its unique and refined construction methods, integrity of design
and materials and surviving mechanical equipment integral to the design and function of the
building. The surviving components represent the evolution of the operation of sluice gates from
manual power through early and later electrical systems and therefore provide insight into the
changing technologies and equipment associated with such specialized structures. The gatehouse
is located at one of the main entrances to Mine Falls Park. Now that the gatehouse has been
partially restored and with its location in a highly used and well-maintained area in the park, the
gatehouse can be a focal point to Nashua’s past.

Since 1998 when the Fairgrounds Middle School Student Historic Preservation Team (SHPT)
showed an interest in preserving the gatehouse, the project became an entity in the community that
many within the City and outside the City could embrace. Mary Coe Foran, teacher advisor and
the SHPT (over one hundred students through the 10-year process) led the charge to get interest in
the project and provide comment and input at all stages. Funding of the work was provided by a
HUD grants spearheaded by Sen. Judd Gregg. Dr. James Garvin gave wonderful direction to the
student group in the early stages Nashua and was an avid supporter through the completion of the
project. Dean Shallop and others at the Nashua Telegraph wrote articles throughout the ten years
it took to complete the project. City leaders- three mayors, alderman, staff of the Parks,
Engineering, Community development (Others) took necessary action through the different phases
to get the project done.
