SirsiDynix SMS Notification for Symphony SaaS, Annual Subscription - 10K Message Package

Subscription to the SMS Notification feature requires your ILS system to be on SirsiDynix Symphony 3.4.1 Patch
Cluster 1 or above.

Up to 10,000 messages included per year. Additional messages used, if allowed, will be deducted from the
subsequent subscription package purchased. Messages not used at annual renewal will be forfeit.

You may change the subscribed package to increase or decrease the number of messages at annual renewal time.

Harvest Unleashed for Enteprise or Portfolio

SirsiDynix will deliver a custom harvest agent. The agent will extract additional data to enhance searching and
filtering in Enterprise or Portfolio. The agent will be delivered to the Symphony server. The enhanced data includes:
See References (4XX), RDA attributes, Date Created polices (facets) and ‘dummy items’ for On Order material. All
of which bring significant ennancements to discovery within Enterprise and Portfolio.

SirsiDynix SMS Notification Software installation

Project Management.

Project Management includes the services of a Project Manager. The Project Manager is your primary point of
contact during the implementation. You will work with your project manager to plan timeframes, schedule resources
fram the professional services team, and coordinate with other depariments at SirsiDynix to deliver products and
services outlined in this quote.

Depending on the type of implementation, the Project Manager will do the following:
- Actas your primary SirsiDynix coniact during your implementation
- Identify customer needs and key tasks to be accomplished by both the customer and SirsiDynix to ensure
a successful implementation
- Organize meetings with you and appropriate SirsiDynix staff to kick off your implementation project
- Work with SirsiDynix global operations staff to develop, communicate, and manage the overall
implementation schedule
- Bring key SirsiDynix staff onto the project to ensure proper resources are available to meet critical
milestones of your schedule
- Report to you regularly via phone and email status reports to keep everyone apprised of project progress
- Monitor quality control checks at critical intervals in your project
- Assist with the transition from Implementation phase to Customer Support

Terms and Conditions

SirsiDynix Professional Services performed by way of remote network access require ssh (Unix/Linux), Remote
Desktop (Windows) or unattended Logmein Rescue (Windows) access for the duration of the project. The
library may limit connectivity fo the SirsiDynix Corporate IP address or implement a Cisco AnyConnect VPN
tunnel. Other remote connectivity options may incur additional fees, onsite travel fees or void the ability of
SirsiDynix to perform the project. A full description can be found in the Access Requirement for Support Guide
on our customer support website.

Maintenance must be ordered for all copies of the Software and for all elements of the Software which are
used conjunctively by Customer. Customer's System shall remain within two (2) previously released software
versions of the most recent version of the software at all times or an additional maintenance surcharge service
charge will be added to the maintenance renewal.

Customer shall not integrate products offered by third parties into Software, Subscriptions or Subscription
Software without additional license from SirsiDynix.

SirsiDynix shall have the right to aggregate and retain non-personally identifiable data.

The term of any quoted products is for no less than the Initial Term and shall automatically renew for the length of
the Initial Term. Subsequent years’ Maintenance and Subscription fees are to be paid annually in advance.
Following the first year of System operation, Maintenance and Subscription fees will be subject to annual increases.
Unless otherwise specifically stated in writing, products and/or services purchased at promotional prices ar with
promotional discounts do not qualify for such discounts or limitations on price increases for subsequent years.

SirsiDynix Products and Services
+ 100% due upon delivery of the first of any quoted SirsiDynix Products and Services

Any reference to license metrics and/or licensed amounts included in this quote shail be applicable only to the
Products and/or services mentioned in this quote. This document and any software or professional services
associated with this document are hereby fully incorporated into the current Agreement executed between
SirsiDynix and Customer. If there is no current agreement between the parties, the terms and conditions of the
current SirsiDynix Master Software License and Services Agreement shall be deemed the controlling Agreement
between the parties, a copy of which shail be furnished upon Customer's request. Any and all pre-printed terms

and conditions on Customer's Purchase Order(s) submitted to SirsiDynix are hereby rejected and shall be
superseded by the current Agreement, unless such additional terms are statutorily required of the Customer. In the

Re: Finance Committee — 14 Court Street Fire Suppression

In the spring of 2019 the City solicited bids to design and install an automatic fire sprinkler system
and fire alarm system within the existing two-story, 4,000 SF 14 Court Street building. The scope of
work also includes removal and reinstallation of selected existing grid ceilings and interior lighting
upgrades.

A team of city staff including Jay Hunnewell, Building Maintenance Manager; Mark Collins, Plans
Examiner; William McKinney, Building Safety Department Manager; Sarah Marchant, Community
Development Director; and Adam Pouliot, Fire Marshal reviewed the four bids that were received
from Mark Carrier Construction, Inc (MCCI), Berkeley Building Company (BBC), Build-Tech
Developers and NorthPoint Construction Management.

The bids were reviewed by the following criteria:
Qualifications and experience of project team
Past performance and service on similar projects
Proposed approach to scope of work

Overall quality of proposal

Overall project cost

The team reviewed all four proposals and selected NorthPoint as the most qualified bid response.
The team then entered into negotiations to change the ceiling materials and light options to reduce
the overall cost of the original bid response by $4,000.

Based on a team review of project submittals and subsequent negotiations on alternative ceiling
materials and lighting option, the Community Development Division recommends entering into
contract for $295,857.00 with NorthPoint Construction Management to complete the work
described in the contract. It is expected work will begin on the project before the end of the year and
the project will take approximately 4 months to complete.

The Contract represents the entire and integrated agreement between the parties and supersedes prior

In the event of a conflict between the terms of the Proposals and the terms of this Agreement, a
written change order and/or fully executed OWNER Purchase Order, the terms of this Agreement,
the written change order or the fully executed OWNER Purchase Order shall control over the terms
of the Proposals

ARTICLE 2 — WORK TO BE PERFORMED

Except as otherwise provided in this contract, CONTRACTOR shall furnish all services,
equipment, and materials and shall perform all operations necessary and required to carry out and
perform in accordance with the terms and conditions of the contract the work described.

ARTICLE 3 —- PERIOD OF PERFORMANCE

CONTRACTOR shall perform and complete all work by which date shall only be
altered by mutually approved written agreement to extend the period of performance or by
termination in accordance with the terms of the contract. CONTRACTOR shall begin performance
upon receipt of an Executed Contract and a valid Purchase Order issued from the City of Nashua.

ARTICLE 4 —- CONTRACT SUM

Subject to additions and deductions by Change Order, the OWNER shall pay CONTRACTOR, in
accordance with the Contract Documents, the Contract Sum of:

The Contract Sum shall include all items and services necessary for the proper execution and
completion of the Work.

ARTICLE 5 —- INSURANCE AND INDEMNIFICATION

CONTRACTOR shall carry and maintain in effect during the performance of services under this

contract:
> General liability insurance in the amount of $1,000,000 per occurrence; $2,000,000
aggregate;

> Motor Vehicle Liability: $1,000,000 Combined Single Limit;*Coverage must include all
owned, non-owned and hired vehicles; and

>» Workers’ Compensation Coverage in compliance with the State of NH Statutes,

$100,000/$500,000/S 100,000.

The parties agree that CONTRACTOR shall have the status of and shall perform all work under
this contract as an independent CONTRACTOR, maintaining control over all its consultants, sub
consultants, or subcontractor’s. The only contractual relationship created by this contract is between
the OWNER and CONTRACTOR, and nothing in this contract shall create any contractual
relationship between the OWNER and CONTRACTOR’s consultants, sub consultants, or
subcontractor’s. The parties also agree that CONTRACTOR is not an OWNER employee and that
there shall be no:

Withholding of income taxes by the OWNER:

Industrial insurance coverage provided by the OWNER;

Participation in group insurance plans which may be available to employees of the OWNER;
Participation or contributions by either the independent CONTRACTOR or the OWNER
to the public employee’s retirement system;

Accumulation of vacation leave or sick leave provided by the OWNER;

Unemployment compensation coverage provided by the OWNER.

CONTRACTOR will provide the OWNER with certificates of insurance for coverage as listed
below and endorsements affecting coverage required by the contract within ten calendar days after
the OWNER issues the notice of award. The OWNER requires thirty days written notice of
cancellation or material change in coverage. The certificates and endorsements for each insurance
policy must be signed by a person authorized by the insurer and who is licensed by the State of New
Hampshire. General Liability and Auto Liability policies must name the OWNER as an
additional insured and reflect on the certificate of insurance. CONTRACTOR is responsible for
filing updated certificates of insurance with the OWNER's Risk Management Department during
the life of the contract.

All deductibles and self-insured retentions shall be fully disclosed in the certificate(s) of
insurance,

The specified insurance requirements do not relieve CONTRACTOR of its responsibilities
or limit the amount of its liability to the OWNER or other persons, and CONTRACTOR is
encouraged to purchase such additional insurance, as it deems necessary.

The insurance provided herein is primary, and no insurance held or owned by the OWNER
shall be called upon to contribute to a loss.

CONTRACTOR is responsible for and required to remedy all damage or loss to any
property, including property of the OWNER, caused in whole or part by CONTRACTOR
or anyone employed, directed, or supervised by CONTRACTOR.

The insurance provided herein is primary, and no insurance held or owned by the OWNER,
shall be called upon to contribute to a loss.

CONTRACTOR is responsible for and required to remedy all damage or loss to any
property, including property of the OWNER, caused in whole or part by CONTRACTOR
or anyone employed, directed, or supervised by CONTRACTOR.

Regardless of any coverage provided by any insurance, CONTRACTOR agrees to indemnify
and hold harmless the OWNER, its agents, officials, employees and authorized representatives
and their employees from and against any and all suits, causes of action, legal or administrative
proceedings, arbitrations, claims, demands, damages, liabilities, interest, allorney’s fees, costs
and expenses of any kind or nature in any manner caused, occasioned, or contributed to in whole
or in part by reason of any negligent act, omission, or fault or willful misconduct, whether active
or passive, of CONTRACTOR or of anyone acting under its direction or control or on its behalf
in connection with or incidental to the performance of this contract. CONTRACTOR’s
indemnity and hold harmless obligations, or portions thercof, shall not apply to liability caused
by the sole negligence or willful] misconduct of the party indemnified or held harmless.
