20 years to 2067. The lease assigns the Airport Authority the right to manage the airport on behalf of itself and
for the purpose of furthering aviation. There were fees that were set forth in the 1975 lease that specified how
much a tie down would cost, how much per square foot for hangar space and in the 2003 revision which took it
to 2047, that specific paragraph was eliminated and the authority to set fees and terms for all of the sub-leases
was granted to the Nashua Airport Authority. All of the buildings at the airport are privately funded, the land is
leased. Anyone who wants to buy a building or build a new building who wants financing is going to have to
produce a guarantee that they will be able to stay on that land for a period of time and granting the extension
for 20 years will help that. If we were to extend the lease for an additional 99 years from today to 2115 as a
date that would just sort of be convention and that would eliminate the need for us to come back periodically
and it would also grant assurance to investors coming in that they know they can feel comfortable either
financing something or putting up their own money to build at the airport.

Do you know of a specific instance where a person was denied a loan because our current lease expires in
2047?

This issue came to the forefront now because of an occurrence exactly like that.

We continuously re-up the lease, we have does it at least a dozen times and | suggested to Alderman
Schoneman that it might make sense to just take care of it so a new fresh set of faces can do it the next time it
is necessary.

We talked about maybe extending it by 99 years but this is 20 years, there’s no down side to that. We want
the Airport Authority to manage to the airport and we do want people to have confidence that their capital
improvements are not going to be yanked out from underneath them. Is there any reason why you wouldn’t
make it a 99 year extension?

Alderman Schoneman

| don’t see any down size and | checked with legal to make sure there was no issue with this. We talked about
99 years but the legal department said that the 99 years isn’t even specified in this case since there is no tax
associated with the transfer of ownership and that’s the only case where 99 years would apply. We can extend
it to whatever we want but just for clarity’s sake | am not suggesting a 99 year extension, I’m just suggesting
making it 99 years from now which would be 12/31/2115.

Whether or not we extend the lease we don’t get authority over the airport just by denying the extension of the
lease or not. All that would happen is that we would put at risk capital improvements. Everybody that wants to
build on a piece of land, if they want to get a bank loan they want to know that the land isn’t going anywhere
and we have seen a specific instance of that. As far as how the existing sub-leases are handled, that’s the
purview of the Airport Authority.

Alderman McCarthy

The Airport Authority was created by the state legislature in a set of acts that are attached to the end of the
Charter which give the Airport Authority the ability to lease property for an airport and to sub-lease property on
the airport.

Alderman Schoneman

The amount of money that is invested into some of those hangars is quite substantial and the longer the term |
think the more conducive it is to someone coming in and investing a large amount of money. The term of a
lease and what happens at the end of it are factors that weigh very heavily on someone’s decision to invest
and | think that if we were to do this until 12/31/2115 we will be giving the airport as much freedom as we can
in order to attract business investments in Nashua.

Alderman Siegel

The one concern that | do have is noted in the analysis, it’s about the types of leases that we are signing.
Twenty years with a 20 year option. | would suggest that, while not germane to this legislation; that the Airport
Authority be cognizant of the fact that the world changes a lot in 20 years. | hope that it’s fiscally prudently
managed because I’ve heard tails that the amount we are actually getting is minimal and then the chargebacks
are fairly substantial. There is a large gap between what we are charging the lease holders and what they are
charging for their sublets. That may or may not be true but just be aware of that.

Alderman Schoneman

We are aware of that and | think that the Airport Authority changes membership periodically and it’s a five
person Board and | think there is a greater sense now of looking to the future and making sure that we are
doing the right thing. We have some business minded people on the authority and we are looking at a
strategic plan and a new master plan.

the following special purchase. (3) Purchases which can be procured through cooperative
intergovernmental purchase agreements with other governmental jurisdictions and (5) Purchases from a
sole manufacturer, where it is determined to be more efficient and economical to reduce costs of

RE: Purchase of Hazmat Wide Area Monitoring System for Nashua Fire Rescue (Value:

Fund: 2016-17 State Homeland Security Program (SHSP) Grant $87,573.00

Mr. Kooken,

This project for Nashua Fire Rescue will replace our existing approximately 12 year old hazmat
wide area air monitoring system. The existing system suffered a catastrophic hardware failure
and is not serviceable by the manufacturer due to end of life product line. Additionally, the
system is no longer compatible to integrate with other Hazmat teams in the state to form a wide

area monitoring system (newer technology/vendor).

The new AreaRae Pro RDK hazmat wide area monitoring system will be funded by the 2016-17
State Homeland Security Program (SHSP) Grant in the amount of $87,573.00 Nashua was
recently awarded and accepted (R-16-078). The new AreaRae Pro RDK system will allow the
Nashua Fire Rescue Hazmat Team to regain this important air monitoring ability, as well as once
again be compatible with other hazmat team’s air monitoring equipment in the state.

The Information Technology Division and this Office recommend the award of this purchase of
an AreaRae Pro RDK System for the amount of $87,800.00 to Industrial Protection Services
LLC, Wilmington MA. Nashua Fire Rescue will fund the shipping costs which exceed the
grant awarded of $227.00. This overage was generated due to the manufacturer updating the
system to the next generation post the grant quotation. The manufacturer is awarding the new
generation AreaRae Pro RDK system for the cost of the old system. This is an approximate
savings to the City of Nashua of over $30,000.00 between the ori ginally quoted older generation
AreaRae Pro RDK system and the newest/current generation system to be delivered.
