ENGINEERING DESIGN PHASE CONTRACT
For Professional Services for Treatment Works

A. The ENGINEER agrees to provide in active
charge of this PROJECT for the life of the contract a
Project Engineer who is a permanent employee of the
ENGINEER and who is a “qualified sanitary engineer”
as defined under the DIVISION'S “Rules and Regula-
tions for the Prequalification of Consulting Engineers.”

the assignment is appended for convenience of reference.

Any proposed change in identity of the Project
Engineer on the PROJECT shall first be approved by the
DIVISION before transfer of responsibility is made.
Failure of the ENGINEER to abide by the above cove-
nant may be considered basis for debarment of the EN-
GINEER from the DIVISION'S Roster of Prequalified
Consulting Engineers as provided for under New
Hampshire Code of Administrative Rules Env-Wq
603.08.

B. |The ENGINEER agrees to be solely responsible
for all bills or claims for payment for services rendered
by others and for all services and materials employed in
his work, and to indemnify and save harmless the
OWNER, and all of the OWNER'S officers, agents and
employees against all suits, claims or liability of every
name and nature arising out of or in consequence of the
negligent acts or failures to act of the ENGINEER or
others employed by him in the performance of the work
covered by this AGREEMENT.

C. The ENGINEER further agrees to procure and
maintain at his expense such workmen's compensation
insurance as is required by the statutes and public liabili-
ty insurance in amounts adequate to provide reasonable
protection from claims for bodily injury, death or
property damage which may result from his performance
and the performance of his employees under this
AGREEMENT.

D. All documents, including original drawings, de-
sign calculations, work sheets, field notes, estimates,
and other data shall remain the property of the OWN-
ER, and shall be transmitted to the OWNER in clean
and orderly condition on demand; however, these may
be left in the possession of the ENGINEER at the
OWNER'S discretion.

E. |The ENGINEER shall not sublet, assign or trans-
fer any part of the ENGINEER's services or obligations
(except surveys and borings and other special services)
under this AGREEMENT without the prior approval
and written consent of the OWNER.

F. _ Itis further agreed that the ENGINEER will assist
the OWNER or his authorized agent in providing the
DIVISION with clear documentation certifying that the
necessary easements, options or outright purchases of
land have been secured to provide for location of
treatment works and other associated structures and
equipment as shown on the contract plans or described
in the specifications. Similar documentation will be
submitted on approvals from the State Department of
Transportation and/or other state agencies regarding
location of treatment works within rights-of-way and
other lands under their jurisdiction.

11. Existing Utility Locations - Contractor's Responsibility

A. The location of existing underground services and utilities shown on the drawings is based
on available records. It is not warranted that all existing utilities and services are shown,
nor that shown locations are correct. The Contractor shall be responsible for having the
utility companies locate their respective utilities on the ground prior to excavating.

B. _ To satisfy the requirements of New Hampshire law, RSA 374, the Contractor shall, at
least 72 hours, exclusive of Saturdays Sundays and holidays, prior to excavation in the
proximity of telephone, gas, cable television and electric utilities, notify the utilities
concerned by calling "DIG SAFE" at telephone number: 1-888-344-7233.

C. The Contractor shall coordinate all work involving utilities and shall satisfy himself as to
the existing conditions of the areas in which he is to perform his work. He shall conduct
and arrange his work so as not to impede or interfere with the work of other contractors
working in the same or adjacent areas.

12. Cutting, Fitting and Patching

A. The Contractor shall do all cutting, fitting, or patching of his work that may be required to
make its several parts come together properly and fit it to receive or be received by work
of other Contractors, as shown upon or reasonably implied by the drawings and the
specifications for the completed structure, including all existing work.

B. The Contractor shall not endanger any work by cutting, digging, or otherwise and shall
not cut or alter the work of any other Contractor, save with the consent of the Engineer.

C. All holes or openings required to be made in new or existing work, particularly at pipe,
conduit, or other penetrations not covered by escutcheons or plates shall be neatly
patched. All such holes shall be made completely watertight as approved by the Engineer.

D. Size and locations of holes required in steel, concrete, or other structural or finish
materials for piping, wiring, ducts, etc., which have not been located and detailed on the
drawings shall be approved by the Engineer prior to layout and cutting thereof. All holes
shall be suitably reinforced as required by the Engineer.

E. Workmanship and materials of patching and repair work shall match the adjacent similar
work and shall conform to the applicable sections of the specification. Patches and joints
with existing work shall provide, as applicable in each case, visual, structural, and
waterproofing continuity.

City of Nashua Waste Water Treatment Facility - Energy Recovery Generator Upgrade
Engineering Design Services

i. Executive Summary

Waldron Engineering and Construction, Inc. (Waldron) has compiled a project team with a
depth of cogeneration design experience and waste water treatment plant operations
experience that will ensure success for the design aspects of the Waste Water Treatment
Facility Energy Recovery Generator Upgrade project. The team brings the following
attributes to the project:

e Experience in CHP projects with reciprocating engine technology
e A significant number of CHP projects

e Experience in CHP project Construction Administration

e Experience in Waste Water Treatment Plant and Biogas systems

Our waste water system consultant, Genesis Industrial Group, built, owns and operates a
180 wet-ton per day merchant anaerobic digestion with a 1,000 kW CHP facility in
Brunswick, ME and has been in service for nearly 2 years. Geneses has been through the
design, construction, startup, and troubleshooting phases. Waldron will leverage Genesis’
valuable experience on the digester gas system design and operation to ensure the success
of this project.

Waldron has the in-house capability to assist the Waste Water Treatment Facility during
the equipment and construction bid phases. Waldron is happy to provide construction
management of all field construction efforts for any of its projects, if the City of Nashua is
interested to pursue as an option. We have a proven track record and have delivered
similar CHP projects within the established project budget, exceeding the anticipated
performance goal and more importantly, on time completion so that the Facilities
successfully achieved the energy efficiency and economic goal.

Our experience with energy projects will allow us to achieve the utility interconnections,
secure the air permit, including noise, and most importantly - design to maximize the CHP
availability resulting in maximum operational benefit to the Facility.

We have the experience to make your project a success. Our CHP projects are success
stories and we will give you access to each project as references. We hope you give us the
