REMARKS BY THE MEMBERS OF THE BOARD OF ALDERMEN
Alderman Deane

I'd like to repeat one of the remarks made by our Mayor. With the storms we’ve been having, especially the
last one, our crews did an outstanding job in getting the roads cleared and the sidewalks done. It’s nice to see
the capability and manpower to do that. On another note, I’d like to send my condolences out to the families
and friends of Mike Zapenas, who passed away. He spent a lot of time up at Lincoln Park pulling his hair out.

| spent some time up there with him helping him with a number of his projects, as well as Mel Dutton. Mel
used to be an umpire when | was president over there for ten years. | wasn’t president for ten years, | was
there for ten years. Mel was part of the original six umpires that | had over there. There’s only one left. The
rest of them have all passed away. He’s a great guy, who spent a lot of time for the kids and the community
and so did Mike as well. Thank you.

Alderman Cookson

| would also like to express my condolences to the Zapenas family, as well as our own Alderman Lopez for the
loss that his family has experienced. To both families, my family’s thoughts and prayers go out to you. | would
also like to thank Alderman Schoneman for chairing the last Infrastructure Committee meeting in my absence.
And | would like to thank Alderman Moriarty for making a quorum. We appreciate that. I’m glad that we were
able to see our business continued to be conducted and those items that were debated at the last
Infrastructure meeting made it on to tonight’s agenda so nothing was held up. | wanted to express my
appreciation and thanks for the quorum that evening and continuing to conduct the business of the city. Thank
you.

|, too, would like to thank the mayor and the staff at DPV. We had a few issues that came up and we got

speedy responses and we really appreciate it considering the two back-to-back storms that took place. | also
want to express my condolences to the Zapenas family. | worked a lot with Mike, especially when we were

making the changes over at Lincoln Park. He was a very dedicated gentleman to the youth of our city. Also,
my condolences to Alderman Lopez in the passing of his mother. Thank you.

Alderman Siegel

| would like to echo the praise for the DPW, especially given that we had a snow emergency that was
supposed to last until 6:00 p.m., and it was pushed back to noon which helps businesses. | can tell by the
number of phone calls | didn’t get how good a job they did also. That’s always very encouraging. Also my
condolences to our colleague, Alderman Lopez’s family.

To my colleague, Alderman Lopez, | want to express my family’s condolences for your loss. Thank you.

To echo everyone else’s praises to DPW, thank you. We often have issues on the hills, and | received no
phone calls so thank you. Also, condolences to Alderman Lopez and his family. Thank you.

Alderman McGuinness

The Department of Public Works has done a great job these last two storms. Mr. Mayor, who is ultimately
running the show, they have done a great job. And, I’m very sorry, Alderman Lopez.

Alderman Moriarty

Opera New Hampshire is having their annual Valentine Day opera. It’s going to be on February 25. La traviata,
I’m told is one of the most popular opera plays. It’s at the Stockbridge Theatre in Pinkerton Academy at 7:00 p.m. You
can go on line at Opera NH. | would also like to express my condolences to Alderman Lopez.

Alderman O’Brien

|, too, would like to thank DPW. It’s a thankless job. Looking on the social media, some people do complain. |
know the hours that they work. They are doing a fine job. They try their best. Thank you, you guys. You
made us proud. You kept the city open. Second, I’d like to thank every single city resident that shoveled a
hydrant in this particular snowstorm. You have done a lot to protect the safety of your neighbors. | encourage
every abled body person that could do so, shovel. Take care of it. If not, our fire department can get it but it’s
good when the citizens step forward. Third, | do have another loss. Mary Ann Knowles, who was a
representative from Hudson. A good friend of mine, very active in politics and very active in the local as well.
She will be missed. And to my good friend, my brother, Alderman Lopez, in the passing of his mother. My
condolences. It’s very tough to go through. | did it myself. And to my lovely wife, Diane. We're here. Happy
Valentine’s Day.

Alderman Lopez

| just want to express my gratitude to everybody who expressed condolences. It was a devastating loss to our
family. We took a lot of comfort from people reaching out both in the public and the board of aldermen. We
really appreciate the flowers we received, and we were really touched when President of the Board McCarthy,
Mayor Donchess and Sue Lovering attended the wake. It was the night before a blizzard, and it was up in
Epsom. We really never had that expectation, but it meant a lot to my family that you were there.

Also, | want to express gratitude to the work of Department of Public Works for clearing the snow and for the
city to take the time to clear the Heritage Trail. | Know there’s been a lot of public pushback of people
frustrated not being able to get out of their driveway, but for people who cannot get out of their apartment to get

to their doctor’s appointments, to get food, it’s extremely important that the city help them. | think the city really
stepped up. A lot of people in my neighborhood have been doing that as well, partly to participate in the
shovel competition we’re having but also because they really care about people, particularly Kenny Blaha.
He’s been taking over his one section in front of Palm Street and making sure it’s passable for everybody. The
PAL Center started to pitch in. As hard as DPW works, they can always use an extra hand or an extra shovel
so it’s much appreciated.

President McCarthy

| would echo the comments on the Department of Public Works in the last couple of storms. I’ve seen a lot of
comments, pro and con, on social media. | would ask all the residents of Nashua bear in mind that neither we
nor the public works employees made the snow. We’re trying to deal with it the best we can. It is a difficult
and an extensive and expensive proposition to clear 350 miles of streets and 100 miles of sidewalks. Cut them
some slack. They do the best they can under the circumstances. We do the best we can under the
constraints that we find ourselves in to be able to fend snowplowing. If we can an infinite amount of money,
I’m sure we could get it all cleaned in an hour. We don’t, and we can’t. | would also echo my condolences to
Alderman Lopez and his family on their loss.

The Human Affairs Committee that was cancelled the other night will be rescheduled to March 2.

PEDC will meet next Tuesday after the State-of-the-City. We will be meeting down here in the Chamber.

Re: Special Meeting of the Sole Shareholder — March 24, 2017

Dear President McCarthy:

In accordance with the Articles of Incorporation and By-Laws of Pennichuck Corporation, I am
pleased to provide this letter to inform you that a Special Meeting of the Sole Shareholder of
Pennichuck Corporation has been scheduled for Friday, March 24, 2017 at 8:00 a.m. at the
offices of Pennichuck Corporation, 25 Manchester Street, Merrimack, NH.

As we have discussed briefly prior to this letter, the purpose of the Special Meeting of Sole
Shareholder is to consider and vote upon the proposal to elect John M. Murphy to the
Pennichuck Corporation Board of Directors.

The Pennichuck Corporation Board of Directors is very pleased to nominate Mr. Murphy

for consideration by the City of Nashua, in the City’s capacity as the sole shareholder of
Pennichuck Corporation at the Special Meeting. The process that the Board has followed to
identify Mr. Murphy and, ultimately, to nominate him for the City’s consideration follows the
requirements set forth in Pennichuck’s By-Laws. As you know, these By-Laws were first
approved by the City at the time of the City’s acquisition of Pennichuck in January 2012, and
were amended in numerous respects by the City’s action on March 23, 2013. The By-Laws, as
approved by the City, authorizes the Pennichuck Board of Directors to identify and nominate
candidates to fill any vacancy that may arise in Board offices. Once nominated, the City, acting
in its capacity as the sole shareholder of Pennichuck, then has the power to consider a
nomination, and ultimately, to approve and elect the nominee to serve as a Pennichuck Director.

Mr. Murphy, if elected, would serve as a Class B director, filling the vacancy resulting from the
resignation of James McMahon from the Pennichuck Board.

NOTICE OF SPECIAL MEETING OF SOLE SHAREHOLDER
To be Held on Friday, March 24, 2017, 8:00 a.m.

To the City of Nashua, New Hampshire, in its capacity as the Sole Shareholder of Pennichuck
Corporation:

In accordance with the By-Laws of Pennichuck Corporation and applicable laws, Pennichuck
Corporation hereby provides notice that you are cordially invited to attend the Special Meeting
of Sole Shareholder of Pennichuck Corporation. The City of Nashua, New Hampshire, is the
Sole Shareholder of Pennichuck Corporation.

The Special Meeting will be held at Pennichuck Corporation, 25 Manchester Street, Merrimack,
New Hampshire, on Friday, March 24, 2017 at 8:00 a.m., for the following purpose:

1. To elect John M. Murphy to the Pennichuck Corporation Board of Directors
as a Class B director to fill the vacancy resulting from the resignation of
James McMahon.

To facilitate the City’s review of the matter to be addressed at the Special Meeting, the

Pennichuck Corporation Board of Directors have approved the delivery of the Proxy Statement
attached to this Notice.
