Binding Effect. This Agreement shall be binding upon and for the benefit of the
parties hereto and their respective legal representatives, successors, and assigns.

Severability. If any term or provision of this Agreement, or the application thereof
to any person or circumstance, shall to any extent, be held invalid or
unenforceable by any court of competent jurisdiction, then the remainder of this
Agreement or the application of such term or provision to any other than those to
which it is held invalid or unenforceable, shall not be affected thereby, and each
term and provision of this Agreement shall be valid and enforced to the fullest
extent permitted by law.

Governing Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of New Hampshire.

16. STATUTORY NOTIFICATIONS. Pursuant to Section 477:4-a of the New Hampshire
Revised Statutes Annotated, the SELLER provides the following notifications to the BUYER.

RADON GAS. Radon gas, the product of decay of radioactive materials in rock
may be found in some areas of New Hampshire. This gas may pass into a
structure through the ground or through water from a deep well. Testing can
establish its presence and equipment is available to remove it from the air or
water.

ARSENIC. Arsenic is a common groundwater contaminant in New Hampshire
that occurs at unhealthy levels in well water in many areas of the state. Tests are
available to determine whether arsenic is present at unsafe levels, and equipment
is available to remove it from water. The Buyer is encouraged to consult the New
Hampshire Department of Environmental Services private well testing

recommendations (www.des.nh.gov) to ensure a safe water supply if the subject
property is served by a private well.

(c) LEAD PAINT. Before 1977, paint containing lead may have been used in
structures, The presence of flaking lead paint can present a serious health hazard,
especially to young children and pregnant women. Tests are available to
determine whether lead is present.

By virtue of the execution of this agreement, BUYER hereby acknowledges receipt of the
foregoing Notification Regarding Radon Gas, Arsenic, and Lead Paint.

IN WITNESS WHEREOPF, the parties have executed this Agreement as of the date first
above written.

CHANGING THE STARTING TIME OF REGULAR MEETINGS OF BOARD OF
ALDERMEN

CITY OF NASHUA

In the Year Two Thousand and Twenty-One

The City of Nashua ordains that Part | “Administrative Legislation”, Chapter 5
“Administration of Government”, Article IT “General Provisions”, Section 5-7 “Meetings” of the
Nashua Revised Ordinances, as amended, be hereby further amended by deleting the struck-
through language and adding the new underlined language as follows:

“8 5-7 Meetings.

A. The Board of Aldermen shall hold regular meetings at #39 7:00 p.m. on the
second and fourth Tuesday of each month, except during the months of July and
August, when the regular meetings shall be held on the second Tuesday of those
months.

This ordinance shall become effective immediately upon passage.

ORDINANCE

TEMPORARILY CHANGING THE DOWNTOWN IMPROVEMENTS
FUNDING PLAN

CITY OF NASHUA

In the Year Two Thousand and Twenty-One

The City of Nashua ordains that Part I “General Legislation”, Chapter 320 “Vehicles
and Traffic”, Article XI “Parking Meters”, Section 320-43.1 “Funding for downtown
improvements” of the Nashua Revised Ordinances, as amended, be hereby further amended by
adding the new underlined language as follows:

“§ 320-43.1. Funding for downtown improvements.

A. Starting with the FY2013 budget, an amount equivalent to the sum of any parking
revenue received over and above $728,000 shall be appropriated annually in the
budget to be used for the purpose of improving the Downtown - | zoning district.
Uses of these funds shall include, but not be limited to, improvements to
infrastructure, beautification, and marketing-and promotion. The time frame for
the calculation of the amount shall be January 1 to December 31. Beginning in
2013, if at the end of the year the parking revenue shall fall below $1,128,000 or
exceed $1,378,000, the Board of Aldermen shall review the amount of $728,000
above, and adjust that amount as necessary.

B. Notwithstanding subsection A above, for the calendar year of 2021, and Fiscal
Year Budget 2022, an amount equivalent to the sum of parking revenue of
$100,000 shall be appropriated in the FY2022 budget for the purpose of
improving the Downtown-1 zoning district. In calendar year 2022. and Fiscal
Budget Year 2023, the funding shall resume as stated in subsection A, above.”

This ordinance shall become effective immediately upon passage.

Budget Review Committee

The amount proposed to be appropriated via transfer into the

Downtown Improvement Committee Expendable Trust Fund for
FY 2022 is $100,000.

ANALYSIS

This legislation reduces the proposed annual funding for downtown improvements in the
FY2022 budget due to lost parking revenue during the COVID-19 pandemic. This funding plan
is not binding on any board of aldermen, and is subject to annual budget appropriations.

ORDINANCE

AMENDING THE RESIDENTIAL DISTRICTS ORDINANCE WITH RESPECT
TO RESIDENTIAL DRIVEWAYS

CITY OF NASHUA

In the Year Two Thousand and Twenty-One

The City of Nashua ordains that Part Il “General Legislation”, Chapter 190 “Land Use”,
Part 2 “Zoning Districts and Supplemental Use Regulations”, Article III “Base Districts”,
Section 190-17 “Residential Districts (R-40, R-30, R-18, R-9, R-A, R-B, R-C)” of the Nashua
Revised Ordinances, as amended, be and hereby is further amended by deleting the struck-
through language and adding the new underlined language as follows:

“§ 190-17. Residential Districts (R-40, R-30, R-18, R-9, R-A, R-B, R-C) and
Residential Uses.

Purpose: These districts implement the following Master Plan recommendations:

e Protect the character of existing neighborhoods through zoning regulation
and enforcement.

A. No application for development approval in the R-40, R-30, R-18, R-9, R-A, R-B,
R-C Zoning Districts or residential uses in other Districts shall be approved unless
the proposed use and/or development conforms to the requirements of this article
and a building permit is issued in accordance with Part 3. If subdivision and site
plan approval are required the proposed development shall comply with the
requirements of Parts 4 through 8.

B. Only one principal structure shall be permitted on a lot, except where otherwise
provided by this chapter.

C. All proposed uses shall comply with the-parking standards Avticle SCV and
sign regulations (Article X) regardless of whether a site plan is required,

D. Specific residential district criteria. The following standards apply to all
residential districts: All two-family dwellings (duplexes) shall be structures
