LEGISLATIVE YEAR 2020
RESOLUTION: R-20-071

PURPOSE: Authorizing the Mayor and City Treasurer to issue bonds not to
exceed the amount of eight million dollars ($8,000,000) for two
construction projects. The first being the construction of a publicly
accessible ground level parking garage to a proposed 146 unit
multi-family apartment project on a city owned parking lot, which
would include an area for parking 48-50 spaces. The second being
additional funding for the performance arts center. The new total
amount needed for the performance arts center project will now be
twenty one million dollars ($21,000,000) - R-18-001 authorized
$15,500,000 and this current resolution R-20-070 authorizes

$5,500,000.

ASSIGNMENT:
FISCAL NOTE: It is anticipated that the bond would be sold in FY 21/22 for a term

of twenty five years. It is estimated the interest rate will be
approximately 2.5% (TAXABLE) and the total cost of the bond
will be approximately $10,664,225 including interest-level debt.
The average annual payment will be approximately $426,569.

At this time it is undeterminable if the TIF district will have
sufficient funds to cover the first 2 years of bond payments related
to the PAC. It is also anticipated the full or a portion of the
revenue derived from the sale of the air rights for the new
apartments building may be available for these projects in
anticipation of a supplemental appropriation request.

ANALYSIS

This resolution authorizes the City to issue and sell general obligation bonds up to $8,000,000
for the Parking Garage and Performance Art Center (PAC) The garage has not been through the
most recent Capital Improvements Program but it is scheduled for a meeting in September 2020.
Funding for this bond will be generated through a new proposed Tax Increment Financing
District (TIF). Pursuant to Nashua City Charter §54-a, this resolution requires a “duly advertised
public hearing”. Also see NH RSA 33:9, which requires a 2/3 vote of all the members for
passage of this resolution.

In the Year Two Thousand and Twenty

RESOLVED by the Board of Aldermen of the City of Nashua that the City of Nashua is
authorized to accept and appropriate $356,046 of Federal grant funds from the U.S. Department of
Transportation, Federal Transit Administration, and $26,828 from the State of New Hampshire
Department of Transportation into Transit Grant Activity “Transit Low or No Emission Grant
Program” for the purpose of purchasing 2 electric vans, 1 electric vehicle and related electrical
upgrades and charging stations. Matching funds in the amount of $34,828 are required for this grant
of which $26,828 is currently allocated for van replacements in the City’s CERF plan, and the

AGREEMENT PURSUANT TO RSA 72:74

This is an agreement between the City of Nashua (Nashua) a New Hampshire municipal

corporation with its principal place of business at 229 Main Street, Nashua, New Hampshire and

Pennichuck Water Works, Inc. (Pennichuck) a New Hampshire corporation and regulated utility.

The parties agree as follows:

1.

Pennichuck shall install renewable electric generating facilities in the form of solar
panels and related equipment on certain of its properties in northeast Nashua.

As to any such properties Pennichuck shall not be liable for municipal real estate taxes
but shall instead make a payment in lieu of taxes (PILOT) each year in accordance with
New Hampshire RSA 72:74. Said PILOT shall be equal to the value of the real estate
comprising each separate parcel as of April 1 of each year less the value of the solar
facilities and related equipment (Adjusted Value). multiplied by the tax rate determined

by the New Hampshire Department of Revenue Administration for Nashua in said year.

. The PILOT shall be paid in two installments each year, the first on or before July 1 in an

amount of 50% of the total tax bill or PILOT for the previous year and the second on or
before December first in an amount equal to the total due for that year less any payment
made on account of the July obligation.

Interest on any late payment will be charged and shall accrue in the same manner and at
the same rate as for municipal real estate taxes.

Pennichuck may in any year challenge Nashua’s calculation of the Adjusted Value in the
same manner and with the same filing deadlines as applicable to municipal real estate tax

abatements.
