ORDINANCE

CHANGING THE LOCATION OF THE HANDICAPPED PARKING SPACE ON
WATER STREET

CITY OF NASHUA

In the Year Two Thousand and Twenty-One

The City of Nashua ordains that Part Il “General Legislation”, Chapter 320 “Vehicles
and Traffic”, Article XII “Parking, Stopping and Standing”, Section 320-72 “Handicapped
parking” of the Nashua Revised Ordinances, as amended, be hereby further amended by deleting
the struck-through language and adding the new underlined language in the appropriate
alphabetical order as follows:

“§ 320-72. Handicapped parking.

A. The following parking spaces are designated as spaces for the handicapped:

RESOLUTION

AUTHORIZING PENNICHUCK CORPORATION AND PENNICHUCK EAST
UTILITY, INC. TO ENTER INTO A TERM LOAN WITH COBANK, ACB

CITY OF NASHUA

In the Year Two Thousand and Twenty-One

WHEREAS, the City of Nashua is the sole shareholder of Pennichuck Corporation
(““Pennichuck”) and each of its subsidiaries;

WHEREAS, Article (X (3) of the Articles of Incorporation of Pennichuck and Article V
§2 of the by-laws of Pennichuck require the approval of the sole shareholder (the City of
Nashua) for Pennichuck to create, incur, assume, or guarantee any indebtedness for borrowed
money, which includes contracting a loan on behalf of Pennichuck or its subsidiaries; and

WHEREAS, Pennichuck East Utility, Inc. is a regulated New Hampshire public water
utility, and is a wholly owned subsidiary of Pennichuck which, in turn, is wholly owned by the
City of Nashua,

NOW, THEREFORE, BE IT RESOLVED by the Board of Aldermen of the City of
Nashua that the City approves (1) the loan to Pennichuck East Utility, Inc. from CoBank, ACB,
in an amount of $1,135,409, with a 25-year amortization schedule; and (2) the guarantee by
Pennichuck Corporation of the payment by Pennichuck East Utility, Inc. of said loan.

Alderman LeBrun

| want to commend the City Clerk on a job well done at the polls yesterday. | think in Ward 5 it ran like a fine
Swiss watch.

Alderman Siegel

Just to address to Mr. Sullivan's comments with regard to my motivation about suggesting that this go to
committee, it had nothing to do with leaving here early, that was an assumption on his part. It was for the
expediency and efficiency of accomplishing a task which is to get better information and provide interactive
participation which this forum does not allow.

Alderman Dowd

My thoughts are with the families of Angie Kopka and Fred Britton. Angie has been around for a long time in
many capacities and | served with Fred Britton on the Airport Authority and it was a very pleasant experience
working with him on the Airport Authority and the Board of Aldermen and he will be missed.

The other thing is that there was a lot of concern of the poll workers on Charlotte Avenue because of the
sight lines with the crosswalks and | was standing there trying to help people cross the street | noticed that
there were some number of cars that were speeding through there and some had big signs in the back of
them. Is there any way that we can enforce the 20 MPH speed limit that they have when school is in session
during polling?

Alderman Cookson

City Clerk Piecuch, you did a fantastic job yesterday. Please express that to your co-workers and
employees. Also, thank you to the voters that came out. | believe the final count was somewhere in the
neighborhood of 72% of all registered voters participated in yesterday’s election. Now we know that they are
there and | am looking forward to future elections and seeing that same participation.

Alderman Wilshire

| would also like to commend the City Clerk and all of the poll workers for a great job yesterday. | had a
really good experience given how many people there were voting.

Also | would like to send my condolences to the family of Fred Britton and Angie Kopka. Fred was a terrific
member of this Board and | enjoyed serving with him and | had known Angie for many years, they will both
be missed.

Congratulations as well to two members of this Board who were re-elected, Representative LeBrun and
Representative O’Brien.

Happy Veteran’s Day! | will not be able to make the parade but | thank all of the Veteran’s for their service.

President McCarthy

| would also like to echo the sentiments in thanking the City Clerk’s office. Our election’s always run like a
“finely tuned Switch watch” rather than a typical American election.

| would express my condolences to the families of Fred Britton and Angie Kopka.

Lastly | wanted to talk about some changes in the Aldermanic office. If you recall some time ago we met with
the delegation and in had some discussions on this Board there was a request that we figure out a way to be

ANALYSIS

This resolution approves the proposal by Pennichuck Corporation and one of their regulated
public water subsidiaries to enter into a term loan as described in the resolution.

We have forwarded additional information provided by Pennichick on the proposal to the Board
of Aldermen.

Article EX (3) of Pennichuck Corporation’s Articles of Incorporation and Article V §2 of the
Pennichuck Corporation’s by-laws requires City approval for the borrowing,

RESOLVED by the Board of Aldermen of the City of Nashua that the Mayor is
authorized to convey the City’s right, title and interest, if any, subject to any restrictions and
easements of record to the abutter, Etchstone Properties, Inc., in discontinued portrons of (Old)
Groton Road by deed substantially in the form of the attached, and subject to a vote by the Board
of Aldermen to approve the petition for street discontinuance.

RESOLVED FURTHER, that the consideration for the conveyance is the fees for
recording the deed and plan, including any transfer tax due.

Discontinuance Area ‘8B’

Discontinunace Area ‘B’ consitututes those portions of the public right-of-way laid out
by the Selectmen of Nashua on November 24, 1847 that are situated within the boundaries of
Map ‘D’, Lot 23. Any portions of the public right-of-way laid out by the Selectmen of Nashua on
November 24, 1847 that are either (i) within the existing 1937 layout (realignment) of Groton
Road, or (41) not within the boundaries of Map *D*, Lot 23, are specifically excluded from
Discontmuance Area *B’.

The metes and bounds of the entirety of the public right-of-way laid out by the Selectmen
of Nashua on November 24, 1847 @vhich includes Discontinuance Area *B’)}, is as follows:

Beginning ata __ near the southwest corner of the School-house in District No. 7 in said
Nashua, thence westerly 182 34°, 200 fect to a stake in the ground, thence westerly 163° 96 feet
to a stake in the ground, thence westerly 179° 455 feet to a stake in the ground, thence westerly
176° 226 feet to a stake in the ground, thence westerly 176 44° 402 feet to a stake in the ground,
thence westerly 163° 778 feet to an oak tree at a lane running to Peter Terretl’s house, the line
above described is at the north side of said Highway running through Peter Terrells land, and the
highway is three rods wide.

The only portion of the public right-of-way described in the previous paragraph that is
being discontinued is Discontinuance Area *B’.

City of Nashua Resolution R-21-xxx, “Authorizing the Conveyance of Discontinued Portions of
{Old) Groton Road” which authorizes the Mayor’s signature on this deed, was passed by the
Board of Aldermen on , 2021.

Subject to all restrictions, covenants and casements of record, including but not limited to those
shown on the Plan.

Grantor reverses a non-exclusive, perpetual easement over, under, on, upon, through, and across
the Property for utility and sidewalk purposes. Such purposes include but are not limited to the
construction, installation, maintenance, repair, and restoration of the same by the Grantor, at the
Grantor’s sole cost and expense, all in accordance with applicable jaws, statutes, ordinances,
codes, rules, and regulations, as the same may apply from time to time (“City Easement”).

The City Easement includes the perpetual! right of the Grantor, its employees, and its agents to
enter and leave the Property at any reasonable time with workers, equipment and material in
order to inspect and survey the easement and to carry out all of the City Easement purposes.

The City as Grantor is exempt from real estate transfer tax pursuant to NH Rev 802.03{a).
