2. DEFINITIONS

A

Agreement - this Long-Term Service Agreement, including all Exhibits, as
may be amended from time to time.

Availability- Time when PGE is available for operation, represented in %
availability. See Availability Calculation attached as Exhibit E.

PGE-Power Generating Equipment

Customer - Nashua WWTP 2 Sawmill Rd Nashua NH

Effective Date - Contract start date as shown on title page to this Agreement
End Date - Contract end date as shown on the title page to this Agreement

Escalation - The increase to the hourly maintenance cost per year due to
inflation, price changes and rising costs.

. Escalation date- The date the escalation applies to the Agreement

Genset- Engine Generator System

Hour meter- the Genset elapsed time meter

Maintained Equipment - Customer’s Plant equipment subject to this
Agreement, as further identified in the Scope of Work attached as Exhibit A.
Maintenance Hours- the number of hours the Genset is off line for planned
scheduled maintenance.

. Maximum Hours ~ the maximum engine hours as shown on the title page to

this Agreement

. MCAT - Southworth-Milton, Inc. dba Milton CAT

Month-Calendar Month

Not Available Hours- when the Genset is automatically or manually taken
offline by Customer due to utility or Plant disturbances as well as any reason
Customer deems not to run and therefore the Genset is not available to
operate.

Plant - The Genset and equipment included in Customer's PGE system
Regular business hours - Monday-Friday 7am-Spm (Eastern Time)

Hi there
| am a Nashua Resident and work at 60 Main Street.

Although | was in favor in 2020 & 2021 of placing barriers on Main St to assist both businesses &
their staff | think it may no longer serve the purpose it intended.

Since there is no mask mandate & Covid cases are falling | believe the barriers placed on Main St
may be causing more problems than they are solving.

The restaurants and bars that needed to survive by utilizing outdoor dining now have 2x the space
and are flourishing.

So | think it is time to rethink the use of barriers as they may be causing significant traffic issues and
may no longer be as useful as they were during 2020 & 2021.

Thanks for all that you do for our city and | hope you will look for an acceptable compromise that is
beneficial to all of those who work and visit downtown Nashua.

The City of Nashua NEEDS to have the outdoor dining again. I don't necessarily agree with shortening the
number of months but if you want people to come back to downtown don't vote against this extension. People
will go to other cities and Main St will be a ghost town again. If that theater ever takes off you'll benefit from
the expanded dining as well.

Dear Aldermen of Nashua,

Please cast your vote in favor of outdoor dining in downtown Nashua.

I have been a resident of Nashua for 33 years. Downtown Nashua in the evening is usually pretty
sleepy. Having the downtown outdoor dining the past two summers has really made the downtown vibrant and
lively. People are out and having a good time. Speaking for my wife and I, we were eating out much more
frequently with the outdoor dining options available.

Improving the esthetics would definitely be a good move, but overall I very strongly support continuing to
have the downtown outdoor dining.

FYI, | was in Cambridge last weekend on Massachusetts Avenue to attend a
performance of the Central Square Theater. Massachusetts Avenue is down to one
lane in each direction because the outdoor dining from last summer is still in place. |
like Cambridge's approach to outdoor dining.

Nashua Alderman,

I understand the controversy surrounding the continuation of the outdoor dining on Main Street. I agree as a
resident that our Main Street was much more alive and vibrant during the outdoor dining months. I[ also agree
that the concrete barriers were excessive in some locations. | also agree that the concrete barriers, although
serving the purpose to protect diners from vehicular traffic, are not very attractive.

To this end, in support of continued outdoor dining on Main Street, I encourage the Board of Alderman to
invest due time and attention to research a creative compromise the meets the needs of the restaurant owners,
provides safety for the diners, and allows the remaining businesses on Main Street to thrive.

The development of this compromise has begun and includes:

e reducing the time frame from 8 to 5.5 months
e reducing the number of barriers to address concerns identified during the pandemic

I would suggest the following in addition to the ideas presented above:

* investigate more attractive long term mobile solutions for the barriers ~ if outdoor dining is become a
part of our seasonal dining options, then look at this issue from a long term investment ~ below is a
screenshot of just one alternative, there are numerous

e research how other communities are addressing this same issue ~ below is a link to an article about what
is happening in Pasadena, CA, there are many more

Wishing you success in finding a mutually acceptable solution that enables Nashua restaurants on Main Street
to take advantage of seasonal outdoor dining and also supports the remainder of the businesses.
