When | joined the meeting, | joined during public comment, and | heard a speaker making comments about the

contract — the contract between the city and the Senior Activity Center. And there were certain requests that
were being made. How are those going to be addressed this evening?

President McCarthy

| will ask Corporation Counsel if he understands what the issue is what his opinion is on it.

Mr. Bolton, Corporation Counsel

The question asked about how things are going to be handled. | guess that’s up to the Board of Aldermen. I’m
unable to predict that. | have not heard that there is an issue concerning the proposed amendment; however,
the speaker, Mr. Broderick, was correct. Both sides will need to properly adopt the amendment and sign the
amended lease. So it doesn’t matter who goes first. If the Board of Aldermen approves this amendment, if the
Senior Activity Center or the Nashua Association for the Elderly have not yet formally authorized this in
accordance with their procedure, they will have to before it becomes effective.

Alderman Cookson

Thank you, Attorney Bolton. Question, Alderman McCarthy. | would assume that this language has been
reviewed with the Senior Activity Center? Is that correct? Is Alderman Caron able to answer that?

Alderman Caron

| was not at the September or October meeting, so | can’t answer that.

Mayor Donchess may have some wisdom.

Mayor Donchess

For context, what the amendment would suggest is that the representatives of the City, namely David Fredette,
particularly, and Alderman Caron as well, would not be limited to two terms serving on the board. Right now,
Treasurer Fredette is completing his second term and would be disqualified from the board if the lease is not
amended. The request that we make this amendment came to us from the President of the Board of the
Senior Activity Center, namely Barney Barbera, and | believe he was speaking for the board when he brought
this to us, suggesting that he and the board would like Dave Fredette, the city Treasurer, to continue to serve
because he’s been a very constructive member of the board. | think Alderman Caron will ultimately possibly
face this but maybe not quite yet; maybe in another year or something like that. Their comments were the
same regarding Alderman Caron, that they wouldn't want her participation to be terminated as a result of this
lease provision.

So at least from everything Mr. Barbera said, the Senior Activity Board had reviewed this and had instructed
him to request that we undertake this amendment.

Alderman Cookson

So Alderman McCarthy, | guess my question then becomes, again, based on Mr. Broderick’s comments, the
anticipation would be that each one of these current designees from the city would ultimately become
members of their full board, and in fact, expanding their board rather than limiting the size. So my
understanding is that they want to grow their board and they want more good people. How does this

eliminating the term limits allow them to grow the board and continue to keep Treasurer Fredette and Alderman
Caron on the board?

President McCarthy
Attorney Bolton? Do you want to try and answer that?
Mr. Bolton

From what | understand, it has no impact as to whether the board grows or shrinks or stays the same. It
doesn’t interfere with that, it doesn’t require it, and it doesn’t prevent it.

Alderman Cookson
But continuing to work in accordance with their by-laws, they would be able to grow their board by two

members and have two additional members of the city designation brought forward, and that would be a short-
term growth of additional members, and keeping the highly qualified people that are currently on the board.

President McCarthy

| don’t see how that’s possible if the term limits apply to the city members as well as the other board members.
It would not be possible for Mr. Fredette to continue without an amendment to the by-laws.

Alderman Schoneman

Perhaps it’s not imminent. My concern, listening to Mr. Broderick, is that it sounds like other members of their
board would like to be able to weigh in on it. And if Mr. Fredette’s term is not about to expire, | don’t know if

there’s any harm in getting those folks involved with the Finance committee folks just to figure out their overall
plan, so that everyone is moving forward in sync. Would that be possible?

President McCarthy

Are you moving to re-refer this to the committee?

MOTION BY ALDERMAN SCHONEMAN TO RE-REFER R-17-143 TO THE FINANCE COMMITTEE

ON THE QUESTION:

Alderman Clemons

On the Motion to Re-Refer, | would say that it’s sort of an unnecessary step. The reason that | feel that way is
because as Corporation Counsel has pointed out, the other side is going to have to agree to this lease deal
regardless. My feeling is that we ought to send it to them, and if they don’t agree with it, they won't sign it. And
they'll come back with another suggestion. But let’s get the conversation going rather than putting this back
into the committee, and probably what would end up happening is having this go dead until the next Board of
Aldermen comes in.

Alderman Dowd

| was just going to ask for a little clarification from Finance but | think we just got that.

Alderman Wilshire

| agree with Alderman Clemons. Their board came to us to ask for this change. If they don’t agree with the
change we made when we send it back to them, they don’t sign it and they send it back to us. | think that’s the
appropriate move at this point.

Alderman Cookson

We have another piece of legislation coming before us this evening with regard to Absolute Broadcasting. Is
that correct?

President McCarthy

| think so.

Has that already been passed this evening?

My understanding with that lease agreement was that the Mayor, or the Mayor's designee, went back and
negotiated with Absolute Broadcasting; brought forward a lease agreement to Finance, and it ultimately wasn’t
approved that particular evening, then some more work was done on it. And then it ultimately came back to us
to approve. And then you approved it this evening. So I’m wondering — it really sounded like, in the Mayor's
response to my earlier question, was that he assumed Mr. Barbera had discussed this with the Senior Activity
Center, but in fact, we don’t know if that’s the case or not. Is that correct? Through you to the Mayor?

Mayor Donchess

This issue has never come up before tonight; the fact that there might be a disagreement or something. Mr.
Barbera came in, said that the board really wanted Mr. Fredette, whose term is coming up pretty soon, and
ultimately, Alderman Caron, to continue to serve, and asked that we amend the provision of the lease that
requires that they be term limited. | said, great. | think David Fredette does a great job. | know Alderman
Caron does, as well. I’ve been over there a number of times with both of them and it sounds good. So let’s
propose the amendment and proceed.

Tonight is the first time I’ve heard something else. | can’t explain the disagreement or why we’ve got a board
member coming in and asking that we not take action right away. So | don’t really have an explanation for it.

Alderman Cookson

Thank you, Mr. Mayor. That’s what | heard was that we don’t take action on it, and we actually engage in
conversation with the Senior Activity Center, which | agree with. | don’t think there would be any harm in us
making sure that the lease agreement is mutually beneficial and has agreed-upon language by both boards —
the Senior Activity Center board as well as this board, and in particular, the Finance committee. I’m of the
mindset that conversation would be beneficial, and I’d much rather see this go to the Senior Activity Center and
go through the proper process and procedure in order to make sure that we’re both mutually agreeable to the
contract that ultimately comes before us to approve.

President McCarthy

Alderman Clemons, am | led to understand that this amendment was proposed by the Senior Center and that
we adopted it verbatim from what they proposed?

Alderman Clemons

That’s my understanding. That's what Mr. Barbera came to speak about at the Finance committee meeting
that evening.

Alderman Dowd

| think sending it back and forth is just delaying it. If they came to us and asked us to do something, went
through Finance, and there was an opportunity for people with concerns to talk about it in Finance and it
passed Finance, | think that we should move it ahead. We have had a hard time in the city, at times, finding
qualified candidates to serve as volunteers in organizations like this. | think the two people that we’re talking
about from the city have done a huge amount for the Senior Center and | think that we should pass this tonight
and send it to them. If the majority of them have a problem with it, it will come back. | don’t see why delaying it
this evening would be a good move.

Alderwoman Melizzi-Golja

| agree with Alderman Clemons and Alderman Wilshire and Alderman Dowd. Just for clarification, this is only
removing time limits for those two individuals who represent the city, both the representative from the Mayor’s
office and from the Board of Aldermen. If we pass this and we send it to the Nashua Association for the Elderly

and they want to make other changes regarding time limits for other members, they would be able to do that
and propose that and send it back to us. Correct?

President McCarthy

| think if they don’t accept it as written, then they can come forward with whatever proposals they’d like.
Alderwoman Melizzi-Golja

Okay. | thought | heard in the public comment period that there might be other positions that it would be helpful
to have time limits removed from, so people could stay on the board while at the same time adding new
members. | just wanted to clarify that; that they could, in fact, come back and say, “Yes, we like this but we
want to change this language also.”

Alderman Schoneman

| just wanted to point out that a Motion to Re-Refer isn’t a referendum on the two people that are involved in
the board. That was made clear by the speaker tonight and it’s not a referendum on individuals. It was just a
procedural thing. It sounded, to me, from the public comment, that there was some kind of a disconnect with
the chairman or the president of that board and his ability under their by-laws to represent the board if the
board member who spoke didn’t know anything about it. It just seems to me, from a procedural standpoint,
that it ought to be dealt with. And | understand that either way it sounds like they can reject it, and it comes
back and just goes back and forth until it's done. But still, it just seemed right to me that it be done with their
cooperation ahead of time.

Alderman Caron

If you don’t approve this tonight and send it to them this will die, because of the fact that the board only has
one meeting, which is December 6, so it would never get back in time. | don’t Know what caused this. My term
actually ends on the 30" unless I’m reappointed by the president, but that’s not the issue. We have been
getting new people on the board. Right now, we have several people who are on the board who are supposed
to be reappointed or must go off the board because their term is line expired. | don’t think the president of the
board of the Senior Center acted willfully; | think he was trying to get some action so that they would have a
discussion about these term limits. And moving it forward, since Corporation Counsel says they do have to
approve it in the end, | think the right thing to do is to approve it tonight and send it to them and let them have a
conversation. That would be my suggestion.

Alderman Cookson

Alderman Caron, which board was meeting on the 6" of December?

Alderman Caron

The Senior Center has their regular board meeting on December 6".

Alderman Cookson

And you're indicating that if they don’t take action or they’re not able to take action, because that’s their only
meeting?

Alderman Caron

That’s their only meeting for the rest of the year. They normally would have met this week and again in
December.
