| am a member of the Board of Directors for the Nashua Senior Activity Center. | have two other members in
the audience with me this evening. | want to speak on R-17-148, which is approving an amendment to the
lease agreement with the Nashua Association for the Elderly. In our by-laws, Article 3, Board of Directors,
Section 3.1 Power, Responsibilities and Accountability: “The business and affairs of the association shall be
managed by the board who shall have and may exercise all the powers to which the association may be
entitled, pursuant to the applicable laws, the Articles of Agreement and the By-Laws.” In the same article,
Article 3.2.3, | won’t read the whole thing, but down near the bottom of that first paragraph, “Any single person
may serve as one of the City’s designated representatives for as many as three consecutive two-year terms,
but will then have to rotate off the board for at least one full term before being replaced.” That’s our by-laws.
On the Finance Committee’s report, President Barney Bavarra, on November 15, his comment was,
“Personnel assigned to the Senior Activity Center have been an asset to our organization. Their insight and
diligence cannot be easily replaced by deleting this. We can continue with our efforts to bring our services to
the many seniors of the city. This will give the city officials the flexibility to make appointments.” On our by-
laws, under the President, Section 7.2: “The President shall be elected by the board and shall preside at all
meetings of the Board of Directors, except as the board shall otherwise determine it shall have such other
powers and duties as may be determined by the board. The President shall not also be the Treasurer. The
President shall, subject to approval of the Board of Directors, nominate all chairpersons to committees.” It does
not say in here that it includes his ability to negotiate leases.
