AGREEMENT
TO EXERCISE OPTION TO EXTEND
This AGREEMENT is made as of , 2018 by and between the City of
Nashua, New Hampshire with an address of 229 Main Street, Nashua, New Hampshire (“City”)
and American Medical Response of Massachusetts, Inc. with an address of 380 West Hollis
Street, Nashua, New Hampshire (“Contractor’’).
WHEREAS, the City and Contractor entered into an Agreement dated September 16, 2015 for
full-time, 24-hour Emergency Ambulance Service to all citizens of and persons requiring
emergency assistance in the City (“Ambulance Agreement’); and
WHEREAS, Section [.A.2(f) of the Ambulance Agreement states that the initial three (3) year
term of the Ambulance Agreement includes two (2) one-year options to extend which options
shall be awarded at the sole discretion of the City; and
WHEREAS, Section J.A.1 states that the initial three (3) year term of the Ambulance Agreement
terminates at 12:00 midnight on September 30, 2018; and
WHEREAS, the City wishes to proceed with the exercise of the City’s first option to extend the
Ambulance Agreement for an additional one (1) year.
NOW, therefore, in consideration of the mutual covenants contained herein, the parties hereby
mutually agree as follows:
1. That the term of the Ambulance Agreement shall be extended for one (1) year from
October 1, 2018 to 12:00 midnight on September 30, 2019.
2. All other terms of the Ambulance Agreement remain in full force and effect.
IN WITNESS WHEREOPF, the parties hereto have, by their duly authorized representatives
placed their hands as of the date first above written.
