WHETHER ARISING FROM BREACH OF CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF
THE POSSIBILITY OF SUCH LOSS OR DAMAGE OR IF SUCH LOSS OR DAMAGE COULD HAVE BEEN REASONABLY
FORESEEN.
New Era’s Workmens’ Compensation Insurance covers all New Era personnel.
New Era shall not be responsible for any delays or other failures in performance caused by matters reasonably outside of New
Era’s control. To the extent that the terms and conditions set forth in this Proposal conflict with any terms and conditions set forth
in any Purchase Order or other form, the terms and conditions of this Proposal shall control.
Governing Law: This Proposal and any matters that may arise out of or relate to it shall be governed by the laws of the State of
New Hampshire without giving effect to any choice of law rule. In the event of any claim or dispute between the Parties arising
out of or relating to this Proposal, such claim or dispute may be tried solely in a state or federal court for New Hampshire, and
the Parties hereby irrevocably consent to the jurisdiction and venue of such courts. In the event of any claim or dispute between
the Parties, the prevailing Party may seek reasonable attorneys’ fees and other costs of enforcing this Proposal.
